Owner Authority. Owner has full right, power and authority to execute, deliver and perform this Agreement without obtaining any further consents or approvals from, or the taking of any other actions by any third parties, and this Agreement, when executed by the Parties, will constitute the valid and binding Agreement of Owner, as the case may be, in accordance with its terms.

The Owner remains the sole judge in determining the competency and qualifications of all firms responding to its solicitations. The Owner has the absolute right to select any qualified bidder or proposer for the award of the prime contract on the Project, provided that such bidder or proposer shall be willing, ready, and able to execute and comply with this Agreement for the craft workers that it employs in all work classifications for the Project for the duration of the Project.
Owner Authority. Owner shall be responsible for the Stations' compliance with all applicable provisions of the Communications Act of 1934, as amended (the "Act"), the rules, regulations and policies of the FCC and all other applicable laws. Programmer shall cooperate with Owner, at Programmer's expense, in taking such actions as Owner may reasonably request to assist Owner in maintaining the Stations' compliance with the Act, rules, regulations and policies of the FCC and all other applicable laws. Notwithstanding any other provision of this Agreement, Programmer recognizes that Owner has certain obligations to operate the Stations in the public interest, and to broadcast programming to meet the needs and interests of the Stations' communities of license and service area. From time to time Owner shall air, or if Owner requests, Programmer shall air, programming on issues of importance to the local community. Nothing in this Agreement shall abrogate or limit the unrestricted authority of Owner to discharge Owner's obligations to the public and to comply with the Act and the rules, regulations and policies of the FCC, and Owner shall have no liability or obligation to Programmer, for taking any action that Owner deems necessary or appropriate to discharge such obligations or comply with such laws, rules, regulations or policies.

This Agreement constitutes the legal, valid and binding obligation of Owner, enforceable against Owner in accordance with its terms, except to the extent that such enforceability may be (i) subject to bankruptcy, insolvency, reorganization, fraudulent conveyance, moratorium or other similar laws now or hereafter in effect relating to or affecting creditors' rights or remedies generally, or (ii) limited by equitable principles.
Owner Authority. Owner warrants that (a) Owner owns or validly leases the property identified on the cover page to this Agreement (the “Property”), in which the Work is to be performed, (b) Owner has all requisite authority to enter into this Agreement, and (c) this Agreement is not entered into by Owner in violation of any previous agreement with any third party or any applicable statue, law, or ordinance. SCOPE OF THE WORK: The Work, and the purchase price for such Work (the “Price”), is as set forth in the Order Form. This Agreement, if not accepted by Owner in writing (either by signature on the face of the Order Form or otherwise), shall be deemed accepted by Owner once Contractor has begun the Work without objection by Owner. Contractor is not obligated to issue or accept any change to the Order Form. CHANGE ORDERS: Except as provided in this final sentence of this Section, if either party wishes to change the scope or performance of the Work, it shall submit details of the requested change to the other party in writing. Contractor shall, within a reasonable time after such request, provide a written estimate to Owner of: (a) the likely time required to implement the change; (b) any necessary variations to the fees and other charges for the Work arising from the change; and (c) any other impact the change might have on the performance of this Agreement. Promptly after receipt of the written estimate, the parties shall negotiate and may agree in writing on the terms of such change (a "Change Order"). Neither party shall be bound by any Change Order unless mutually agreed upon in writing. Once so agreed to, a Change Order shall become part of this Agreement. Contractor may charge a processing fee for the time it spends assessing and documenting a change request from Owner. Notwithstanding anything to the contrary set forth elsewhere in this Agreement, Contractor may from time to time change the Work without the consent of Owner provided that such change does not materially affect the nature or scope of the Work, or the fees or any performance dates set forth in the Order Form. COOPERATION: Owner shall: (a) cooperate with Contractor in all matters relating to the Work and provide such access to Owner’s premises as may reasonably be requested by Contractor for the purposes of performing the Work; and (b) respond promptly to any Contractor request to provide direction, information, approvals, authorizations, or decisions that are reasonably necessary for Contractor to per...
Owner Authority. Owner and the person signing on behalf of it jointly and severally warrant and represent to City that (i) Owner has the full right, power and authority to enter into this Amendment, (ii) all requisite action to authorize Owner to enter into this Amendment and to carry out Owner’s obligations hereunder has been taken, and (iii) the person signing on behalf of Owner has been duly authorized by Owner to sign this Amendment on its behalf.
