Work Material definition

Work Material means all notes, records, drawings, designs, inventions, improvements, developments, discoveries, copyrightable material, and trade secrets that are conceived, made or discovered by Digimarc in the course of Digimarc’s performance of the Work, solely or in collaboration with others, during the term of this Agreement.
Work Material means material created by the Coach in the course of the Coach’s employment with QAS.
Work Material. All drawings, specifications, plans, computations, data, photographs, records, models, statements, reports, and other deliverables or materials prepared or produced by Contractor Parties in connection with the Services (“Work Material”), whether or not accepted or rejected by LIT, are the property of LIT and for LIT’s exclusive use and re-use at any time without further compensation and without any restriction. Contractor grants and assigns to LIT all rights in and claims to the Work Material and will cooperate with LIT in obtaining or enforcing LIT’s rights and claims. Contractor will not use the Work Material except as expressly authorized by this Agreement. Contractor will not apply for any copyright, patent or other property right related to the Work Material. LABOR RELATIONS: Contractor agrees to take immediate and reasonable steps to continue its provision of the Work under this Agreement in the event of any labor dispute or other action involving its employees. INSURANCE: Contractor, consistent with its status as an independent contractor, will carry and will cause its subcontractors to carry, at least the following insurance in a form, with companies, and in amounts (unless otherwise specified), as LIT may require:

Examples of Work Material in a sentence

  • District shall not have any proprietary interest in materials prepared by Contractor prior to this Contract or not in connection with the Work Material.

  • Contractor shall permanently and irrevocably grant and assign to District all rights and claims of whatever nature and whether now or hereafter arising in and to the Work Material and agrees to cooperate fully with District in any steps District may take to obtain patent, copyright, trademark, or like protections with respect to the Work Material.

  • Ownership and Use of Work Material: Contractor agrees that: All specifications, plans, computations, data, publications, statements, accounts, reports, studies, and other materials prepared by Contractor exclusively for District (collectively, “Work Material”), whether accepted or rejected by District, becomes the property of District and is for its exclusive use and re‑use at any time without compensation and without any restrictions.

  • Work Material will not be used or published by Contractor or any other person or entity unless expressly authorized by District in writing.

  • District may, at all times, retain the originals of the Work Material.

  • Nothing in this Contract will be construed to prevent either Party from moving a court of competent jurisdiction for a temporary restraining order, preliminary injunction, or other emergency relief to restrain the other Party from releasing Confidential Information to a third party, or seeking to transfer Confidential Information property rights thereto, in contravention of Section 13.5 (Ownership and Use of Work Material) of this Contract.

  • Contractor shall treat all Work Material as Confidential Information.

  • Subject to the Confidential Information requirements contained herein, District shall have the right to use the Work Material for Services-related activities or otherwise.


More Definitions of Work Material

Work Material means all specifications, plans, computations, data, publications, statements, accounts, reports, studies, and other materials prepared by Contractor exclusively for District.
Work Material means all the material of the Work in the possession or under the control of the Licensor including all copies of any master material in any form whether electronically stored or otherwise.

Related to Work Material

  • Background Material means any pre-existing works in which the Intellectual Property Rights are owned by either Party, which have been prepared by that Party outside the scope of this Agreement or which were licensed from a third party by that Party.”

  • Input Material means all documents, information, representations, statements and materials provided by Customer or a third party on behalf of Customer, relating to the Services, including computer programs, data, logos, reports and specifications and inventories.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Custom Materials means Materials developed by the Supplier at the Procuring Entity's expense under the Contract and identified as such in Appendix 5 of the Contract Agreement and such other Materials as the parties may agree in writing to be Custom Materials. Custom Materials includes Materials created from Standard Materials.

  • Manufacturing Materials means parts, tools, dies, jigs, fixtures, plans, drawings, and information produced or acquired, or rights acquired, specifically to fulfill obligations set forth herein.

  • SAP Materials means any software, programs, tools, systems, data, or other materials made available by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) prior to or in the course of the performance under any part of this Agreement including, but not limited to, the other SAP Products.

  • Output Material means any Documents or other materials, and any data or other information provided by the Supplier relating to the Specified Service

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • Cloud Materials means any materials provided or developed by SAP (independently or with Provider’s cooperation) in the course of performance under the Agreement, including in the delivery of any support or Consulting Services to Provider or its Customers. Cloud Materials do not include any Customer Data, Provider Confidential Information, or the SAP Cloud Service.

  • Standard Materials means all Materials not specified as Custom Materials.

  • Licensed Material means the artistic or literary work, database, or other material to which the Licensor applied this Public License.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the JBE Materials or Confidential Information.

  • Developed Materials means Materials created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of providing the Work under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Materials, and (iii) all Deliverables; provided, however, that Developed Materials do not include Contractor Materials.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Contractor attributional/proprietary information means information that identifies the contractor(s), whether directly or indirectly, by the grouping of information that can be traced back to the contractor(s) (e.g., program description, facility locations), personally identifiable information, as well as trade secrets, commercial or financial information, or other commercially sensitive information that is not customarily shared outside of the company.

  • Course Materials means lectures, exercises designed for online collaboration, multimedia developed for Web distribution, notes, outlines, syllabi, bibliographies, tests, instructional handouts, videotaped presentations and any like materials and documents (whether in electronic or other medium) that a member of the bargaining unit authors or creates in connection with the preparation or teaching of a course at a University.

  • Contract Material means all material created or required to be developed or created as part of, or for the purpose of performing, the Services, including documents, equipment, information and data stored by any means.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services.
