Parking Lot Closures Clause Samples

The Parking Lot Closures clause defines the conditions under which a parking lot may be temporarily or permanently closed. Parking Lot Closures. Lessor agrees that it shall not approve more than four (4) closures of the Dock 3 parking area annually (or not more than two (2) for the remainder of calendar year 2022). Lessor shall notify Lessee at least three (3) months in advance of any such proposed closures planned to take place before December 31, 2022. For proposed closures requested to take place after January 1, 2023, Lessor shall notify Lessee of all such planned closures at least five (5) months in advance. Notice may be submitted by Lessor via e-mail to ▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇ or any other e-mail address that ▇▇▇▇▇▇ asks Lessor to use for this purpose. Consistent with and building on Lessor’s present practice (and notwithstanding any amendment of this practice by Lessor), Lessee shall have the right to raise an objection within five (5) business days of such notice to any such proposed closure on the grounds that Lessee has an event already booked for the day of the proposed closure. ▇▇▇▇▇▇ agrees that it shall attempt to resolve event conflicts, but ultimately, ▇▇▇▇▇▇ has the sole discretion to allow or not allow a parking lot closure with sufficient notice provided. Any such closures will also avoid blocking the “loading zone” described in Paragraph 3 above. Lessor may seek consent of Lessee for Lessor to approve additional lot closures, which consideration shall include factors such as (i) whether events are booked with TME at the Premises for the subject date; and/or (ii) whether the requested closure is for a large community event (e.g. prior events like “Fall Fest”).

All such closures shall require five (5) months’ booking in advance (except that for events through December 31, 2022, only 3 months’ notice shall be required). Lessor agrees that any such closures will be reviewed with Lessee prior to booking and that all efforts to avoid overlapping events with Lessee will be taken, including but not limited to providing alternative dates where Lessee already has event(s) booked for a particular day. Any such closures will also avoid blocking the “loading zone” described in Paragraph 3 above. Lessor may seek consent of Lessee for Lessor to approve additional lot closures, which consideration shall include factors such as (i) whether events are booked with TME at the Premises for the subject date; and/or (ii) whether the requested closure is for a large TMD-tenant community event (e.g. prior events like “Fall Fest”). The Parties agree that all applicable regulations required by any governmental body, including but not limited to special event permits, will be followed and secured to the extent so required by law.
Parking Lot Closures. CTI reserves the right to close the Parking Lot, without notice, in the event of an emergency, civil disturbance, natural disaster, maintenance, repairs, industry events or other such event. No compensation to the Customer will be made for loss of use of the Parking Lot unless such disruption exceeds 48 hours in duration.
