PARTNERSHIP ROLES AND RESPONSIBILITIES. The Lead organisation (as the accountable body ) has overall control of the Project and agrees that in providing any services or in fulfilling any obligation or dealing with and administering funds under this Memorandum it will ensure, where applicable, it is fully compliant with public sector procurement regulations and incorporate best practice principles. The roles and responsibilities of the partners, for the period 1st Jan 2020 to 30th June 2025 (representing the earliest NLHF project start date and may be subject to change), are set out in this agreement illustrating how they align with the Project objectives. All Partners will work collaboratively and demonstrate the necessary activities to deliver the Project. Details of roles and responsibilities can be found at Appendix 1

PARTNERSHIP ROLES AND RESPONSIBILITIES. Each Party agrees to perform the following responsibilities in order to support the eventual high-volume manufacturing of Materials. XXX Roles and Responsibilities: • Synthetic protocol and purification protocol development and knowledge transfer to ZZZ for execution of process development experiments. • Test and validation of the materials through coating evaluations and () device development. • Work with ZZZ to obtain certifications and registrations with applicable bodies, ensuring compliance with regulations required for sale of the product in target markets, initially North America and Europe. • Filing of appropriate patents, maintenance of trade secrets and execution of Freedom To Operate (FTO) searches in required countries. • As part of the anticipated supply agreement XXX will maintain a rolling quarterly, annual volume forecasts to ensure ZZZ is capable of providing required capacity. • Maintain up to date Materials product specifications ZZZ Roles and Responsibilities: • Execution of process development experiments and suggested protocol modifications to ensure manufacturability • Modification and use of existing equipment, as applicable, to produce Materials. • Initiate appropriate quality assurance/control measures • Support XXX in efforts to obtain certifications and registrations with applicable bodies, ensuring compliance with regulations required for sale of the product in target markets, initially North America and Europe. • Work to develop supply sources of required raw materials.
PARTNERSHIP ROLES AND RESPONSIBILITIES. The role of each stakeholder in the Partnership can be found at Appendix 4. By consenting to the Partnership Agreement, the school and St Mary’s University agree to form a Partnership and commit the institutions to: • ensuring compliance with the DfE ITT Requirements; and • ensuring that St Mary’s University Programme Specifications for the award of Qualified Teacher Status and/or the Post Graduate Certificate in Education are met. As the Accredited Provider St Mary’s University will be the lead partner for communication with DfE regarding the award of Qualified Teacher Status. Course Structure ITT providers must ensure that training programmes are designed to provide trainee teachers with sufficient time being trained in schools to enable them to demonstrate that they have met all the standards for QTS. This means that our courses are designed to include this time in placement based training: Three-year undergraduate programme - 120 days (24 weeks) Primary PGCE programme - 120 days (24 weeks) Work-based route programme - 120 days (24 weeks) of which 50 days are assessed in an away school. Please see course calendars (Appendix 2) for exemplification.

The Donor States shall make funds available in support of eligible programmes proposed by the Beneficiary State and agreed on by the Financial Mechanism Committee within the priority sectors listed in Article 3.1 of Protocol 38c and the programme areas listed in the Annex to Protocol 38c.
