PERSONNEL AND MATERIALS. 13.1. OTG Personnel performing services for Customer may be required, upon reasonable notice by Customer and at the Customer’s cost (as identified in the SOW, Service Order or as otherwise approved by the Customer in advance), to travel to Customer’s place of business as may be reasonably necessary, it being understood that OTG, as an independent contractor, shall have full and sole responsibility for the supervision, direction and control of its personnel on the method and manner of performing the Services. 13.2. All materials, including without limitation, equipment and Services development tools required for performing the Services shall be supplied as agreed in the Service Order and/or SOW. 13.3. Where a Service Order and/or Statement of Work (SOW) requires implementation or acceptance testing of any Service delivered, as part of the Services, prior to commencement of the Services, then: 13.3.1. OTG will notify the Customer in writing that the Services are ready for use in a production environment, Customer shall have thirty (30) days from receipt of the notice to test the Services to determine whether they comply in all material respects with the requirements of the SOW. 13.3.2. Upon completion of Customer's testing, Customer shall notify OTG of its acceptance ("Accept" or "Acceptance") or, if it has identified any noncompliance with the SOW, rejection ("Reject" or "Rejection") of the Services. If Customer Rejects the Services, Customer shall provide a written list of items that are defective. On receipt of Customer's notice, OTG will determine in its reasonable discretion whether the Customer’s Rejection is valid. If the Rejection is determined to be valid then OTG shall promptly commence, at no additional cost or charge to Customer, all reasonable efforts to complete such necessary corrections, repairs, and modifications to the Services to bring them into full compliance with the SOW. 13.3.3. If OTG determines that the Services, as revised, do not comply in all material respects with the SOW, the foregoing procedure shall be repeated until the Services materially comply with the SOW, or OTG may elect to terminate the SOW upon providing written notice to Customer, in which event OTG shall have no liability, obligation, or penalty to Customer by reason of such termination or for any reason under or in connection with such terminated SOW.

PERSONNEL AND MATERIALS. OCL will, at its expense, furnish for the rendering of service(s) all personnel, facilities, materials, and services normally made available by OCL for performances of this kind at the place of service named in this Agreement, including tickets, ticket takers, and ushers. OCL personnel will be available to the Performer for coordination at the time(s) when the Performer must be present as stated in Section 2 above. Unless otherwise agreed in writing between the Performer and OCL, all other personnel, equipment, facilities, materials, and services that the Performer may need will be furnished by the Performer at the Performer’s expense.
PERSONNEL AND MATERIALS. 6.1. The Contractor shall render the Performance described in the Agreement for the Province. The Contractor shall indicate which employees shall be utilized by it in good time. The personnel utilized by the Contractor to implement the Agreement must satisfy the special requirements stated by the Province and, in the absence thereof, the general requirements of competence and expertise. The Contractor’s ‘personnel’ shall also include third parties procured by the Contractor to implement the Agreement. 6.2. Before furnishing a contract to the Contractor, the Province may require the Contractor to obtain approval from it for the employees to be utilized to implement the Agreement. Signing of the document setting forth the contract concerned shall constitute acceptance. For such acceptance, the CVs of the persons concerned must, if desired, be made available. The Province may, by means of one or more preliminary interviews, assess whether the persons designated by the Contractor are suitable for performing the work to be assigned. The Province shall not have to pay any costs in this regard. 6.3. If, during the term of the Agreement, it turns out that an employee utilized by the Contractor is not performing satisfactorily or not in accordance with the Province’s expectations, the Province may demand that the employee concerned be replaced. If the Contractor is unable to offer, within a reasonable period, employees who are acceptable to the Province and the Province therefore justifiably fears that what has been agreed on will not be fulfilled by the Contractor within the stated period, the Province may terminate the contract, without any right to compensation arising for the Contractor. 6.4. The Contractor shall require its employees to comply with the obligations which the Contractor has under this Agreement. The Contractor hereby warrants that the employees responsible for the Services shall be selected with great care and that their combined expertise, experience and familiarity with the Province’s organization shall be optimal. 6.5. If and insofar as the persons utilized by the Contractor perform their work at the Province’s offices, they shall be subject to the internal rules adopted by the Province for that office/building. 6.6. The Province shall be entitled to inspect and test any materials or equipment to be used by the Contractor to perform the Agreement and to establish the identity of the personnel engaged by the Contractor to perform the Agreement...

  • Personnel Equipment and Material Engineer shall furnish and maintain, at its own expense, quarters for the performance of all Engineering Services, and adequate and sufficient personnel and equipment to perform the Engineering Services as required. All employees of Engineer shall have such knowledge and experience as will enable them to perform the duties assigned to them. Any employee of Engineer who, in the reasonable opinion of County, is incompetent or whose conduct becomes detrimental to the Engineering Services shall immediately be removed from association with the Project when so instructed by County. Engineer certifies that it presently has adequate qualified personnel in its employment for performance of the Engineering Services required under this Contract, or will obtain such personnel from sources other than County. Engineer may not change the Project Manager without prior written consent of County.

  • LABOR AND MATERIALS 4.4.1 Unless otherwise provided in the Contract Documents, the Contractor shall provide and pay for all labor, materials, equipment, tools, construction equipment and machinery, water, heat, utilities, transportation, and other facilities and services necessary for the proper execution and completion of the Work, whether temporary or permanent and whether or not incorporated or to be incorporated in the Work. Contractor guarantees that materials shall be of the best quality, that work shall be completed in a neat and workmanlike manner, that equipment will be installed in a first class manner, and that all aspects of the project will be delivered in good working order complete and perfect in every respect and that all systems and materials necessary to make the project a complete operating utility as contemplated by the above description of the project is included in the Contract price. 4.4.2 The Contractor shall a t all times enforce strict discipline and good order among his employees and shall not employ on the Work any unfit person or anyone not skilled in the task assigned to him.

  • Personnel Data The School shall maintain accurate and complete personnel and payroll information and shall provide such information to the Commission, in the format and timeframe prescribed by the Commission, as required for the Legislature or any State agency including but not limited to the Department of Budget & Finance, Employees' Retirement System, and the Hawaii Employer-Union Health Benefits Trust Fund. The School shall ensure each employee receiving State benefits qualifies for such benefits.

  • Time and Materials If this contract is designated as a Time and Materials contract, invoicing and payment shall be as follows: (a) Consultant shall submit invoices, not more often than once a month during the term of this agreement, based on the cost for work performed in accordance with the Rate Schedule in the Scope of Work and authorized reimbursable expenses incurred prior to the invoice date. Invoices shall contain the following information: (i) Serial identifications of bills, i.e., Xxxx No. 1; (ii) The beginning and ending dates of the billing period; (iii) A summary containing the total contract amount, the amount of prior xxxxxxxx, the total due this period, percentage of work completed, the remaining balance available for all remaining billing periods, and a brief description of work completed during the billing period. (b) City shall make monthly payments, based on such invoices, for satisfactory progress in completion of the Scope of Work, and for authorized reimbursable expenses incurred.

  • Supplier Personnel The Customer and Supplier agree and acknowledge that in the event of the Supplier ceasing to provide the Services or part of them for any reason, Call Off Schedule 10 (Staff Transfer) shall apply. The Supplier shall not and shall procure that any relevant Sub-Contractor shall not take any step (expressly or implicitly and directly or indirectly by itself or through any other person) without the prior written consent of the Customer to dissuade or discourage any employees engaged in the provision of the Services from transferring their employment to the Customer and/or the Replacement Supplier and/or Replacement Sub-Contractor. During the Termination Assistance Period, the Supplier shall and shall procure that any relevant Sub-Contractor shall: give the Customer and/or the Replacement Supplier and/or Replacement Sub-Contractor reasonable access to the Supplier's personnel and/or their consultation representatives to present the case for transferring their employment to the Customer and/or the Replacement Supplier and/or to discuss or consult on any measures envisaged by the Customer, Replacement Supplier and/or Replacement Sub-Contractor in respect of persons expected to be Transferring Supplier Employees; co-operate with the Customer and the Replacement Supplier to ensure an effective consultation process and smooth transfer in respect of Transferring Supplier Employees in line with good employee relations and the effective continuity of the Services. The Supplier shall immediately notify the Customer or, at the direction of the Customer, the Replacement Supplier of any period of notice given by the Supplier or received from any person referred to in the Staffing Information, regardless of when such notice takes effect. The Supplier shall not for a period of twelve (12) months from the date of transfer re-employ or re-engage or entice any employees, suppliers or Sub-Contractors whose employment or engagement is transferred to the Customer and/or the Replacement Supplier except that this paragraph 10.5 shall not apply where an offer is made pursuant to an express right to make such offer under Call Off Schedule 10.1 (Staff Transfer) in respect of a Transferring Supplier Employee not identified in the Supplier's Final Supplier Personnel List.

  • Personnel Provide, without remuneration from or other cost to the Trust, the services of individuals competent to perform the administrative functions which are not performed by employees or other agents engaged by the Trust or by the Adviser acting in some other capacity pursuant to a separate agreement or arrangement with the Trust.

  • Equipment and Materials CONTRACTOR shall provide all equipment, materials, and supplies necessary for the performance on the Agreement except:

  • PERSONNEL DISCLOSURE 1 CONTRACTOR shall make available to ADMINISTRATOR a current list of 28 all personnel providing services hereunder, including résumés and job 1 applications. Changes to the list will be immediately provided to 2 ADMINISTRATOR in writing, along with a copy of a résumé and/or job 3 application. The list shall include:

  • Contractor Key Personnel ‌ The Contractor shall assign a Corporate OASIS SB Program Manager (COPM) and Corporate OASIS SB Contract Manager (COCM) as Contractor Key Personnel to represent the Contractor as primary points-of-contact to resolve issues, perform administrative duties, and other functions that may arise relating to OASIS SB and task orders solicited and awarded under OASIS SB. Additional Key Personnel requirements may be designated by the OCO at the task order level. There is no minimum qualification requirements established for Contractor Key Personnel. Additionally, Contractor Key Personnel do not have to be full-time positions; however, the Contractor Key Personnel are expected to be fully proficient in the performance of their duties. The Contractor shall ensure that the OASIS SB CO has current point-of-contact information for both the COPM and COCM. In the event of a change to Contractor Key Personnel, the Contractor shall notify the OASIS SB CO and provide all Point of Contact information for the new Key Personnel within 5 calendar days of the change. All costs associated with Contractor Key Personnel duties shall be handled in accordance with the Contractor’s standard accounting practices; however, no costs for Contractor Key Personnel may be billed to the OASIS Program Office. Failure of Contractor Key Personnel to effectively and efficiently perform their duties will be construed as conduct detrimental to contract performance and may result in activation of Dormant Status and/or Off-Ramping (See Sections H.16. and H.17.).

  • DOCUMENTS AND MATERIALS CONTRACTOR shall maintain and make available to COUNTY for its inspection and use during the term of this Agreement, all Documents and Materials, as defined in Paragraph 9 of this Agreement. CONTRACTOR’s obligations under the preceding sentence shall continue for four
