Responsibility for Personnel. Recipient shall be responsible for the acts or omissions of any persons or entities receiving Confidential Items of the other party from or through Recipient to the extent such acts or omissions, if performed or not performed by Recipient, would constitute violations of this Agreement by Recipient.
Responsibility for Personnel. To the extent that the Contract involves the provision of any services to the UPU by the Contractor's officials, employees, agents, subcontractors and other representatives (collectively, the Contractor's "personnel"), the following provisions shall apply:
Responsibility for Personnel. Each Party shall have responsibility for all acts and omissions of their respective personnel with respect to the performance of this Agreement.

All Personnel supplied or used by Vendor in connection with the provision of Services will not be considered an employee, contractor, representative or agent of Customer for any purpose. Vendor shall be responsible for all acts and omissions of all such Personnel during the term of this Agreement and for the payment of their compensation. Neither Vendor nor any of its Personnel shall be entitled to participate in any vacation, holiday, sick leave, health insurance, life insurance, disability, pension, retirement, or other fringe benefits that Customer may from time to time provide to Customer’s employees. Vendor represents and warrants that Vendor is in compliance and will continue to comply with federal, State and local labor and employment laws applicable to Vendor’s Personnel.
Responsibility for Personnel. The parties agree that the personnel made available to the Affected Entity shall be under the supervision and control of the Affected Entity while performing any actions in response to the Affected Entity’s request for personnel.
Responsibility for Personnel. Contractor shall be fully responsible to Owner for all acts and omissions of Subcontractors and other personnel hired or retained by Contractor to perform or furnish any of the Work required by the Contract Documents. Contractor, however, shall not be responsible for any acts or omissions of personnel hired or retained by Owner in connection with the Project. Nothing in the Contract Documents shall create for the benefit of any personnel hired or retained by Owner any contractual relationship with Contractor nor shall it create any obligation on the part of Contractor to make payment to personnel hired by or retained by Owner.
Responsibility for Personnel. Each Party assumes full responsibility for the actions and omissions of all its Personnel performing Services hereunder, either at Dexcom’s or Roche’s facility, and shall be solely responsible for their supervision, daily direction and control, payment of salary (including withholding of income taxes and social security), workmen’s compensation and occupational insurance as required by law, comprehensive public liability insurance, compensation, disability benefits and the like. Under no circumstances will either Party’s Personnel be considered employees or agents of the other Party. Each Party agrees that, while its Personnel are on the other Party’s premises, they will conform to all of the other Party’s work rules, safety regulations and its standard practices governing behavior of its own employees. Each Party shall be liable for all acts and omissions of any independent contractors that perform Services to the same extent as if they were the acts and omissions of employees of that Party.
Responsibility for Personnel. 11.5.1. Each Party shall be responsible for the management, direction, control, supervision and compensation of its own Personnel.
Responsibility for Personnel. Both Parties shall at all times be solely liable for the acts and omissions of their own personnel. At no time shall personnel of either Party be deemed an employee or under the control of the other Party. Both Parties shall indemnify, defend, hold harmless and release the other Party from any claims made by any personnel against the other Party alleging claims of personal injury or rights or benefits as an employee, contractor, subcontractor or agent, including any payroll related claims and other such claims, including but not limited to, wages, benefits, taxes, withholdings and social security claims.
Responsibility for Personnel. In no event will the employees of any of DMN, RCG or any subsidiary of RCG be deemed employees of the Company, and, as such, no employee of DMN, RCG or any subsidiary of RCG shall be entitled to any employee benefits including vacation pay, sick leave, retirement benefits, Social Security, workers' compensation, or disability or unemployment insurance benefits that may be provided or made available to the Company's employees, if any. The terms of this Section 2.5 shall take precedence over any inconsistent terms that may be found in the policies or other documents of the Company as presently existing or as amended.
