Pricing and Taxes. If the price is not stated in Buyer’s PO or otherwise agreed to in writing by Xxxxx, then the price is Seller’s lowest prevailing market price and includes all applicable taxes, import and export duties, impositions, and other similar charges. Seller warrants that the price charged for the Goods covered in the Order do not exceed the prices charged others under comparable conditions. Seller shall refund any excessive amount paid by Xxxxx. Unless otherwise agreed to in writing by Xxxxx, terms of payment are net 60 days from the receipt of Seller’s invoice. Payment of invoices are not acceptance of Goods. All sales, excise, or other taxes and charges paid by Xxxxx will be separately itemized on the invoice.

Within thirty (30) days following Customer acceptance of the Proposal without addition of any other terms and conditions of sale or any modification, Customer shall provide notification of release for immediate production at Company’s factory. Prices for Work are subject to change at any time prior to shipment to reflect any cost increases related to the manufacture, supply, and shipping of goods. This includes, but is not limited to, cost increases in raw materials, supplier components, labor, utilities, freight, logistics, wages and benefits, regulatory compliance, or any other event beyond Company’s control. If such release is not received within 6 months after date of order receipt, Company reserves the right to cancel any order. If shipment is delayed due to Customer's actions, Company may also charge Customer storage fees. Company shall be entitled to equitable adjustments in the contract price to reflect any cost increases as set forth above and will provide notice to Customer prior to the date for which the increased price is to be in effect for the applicable customer contract. In no event will prices be decreased.

If such release is not received within 6 months after date of order receipt, the prices are subject to renegotiation, or at Company’s option, the order will be cancelled. Any delay in shipment caused by Customer's actions will subject prices to increase equal to the percentage increase in list prices during that period of delay and Company may charge Customer with incurred storage fees.

All prices include packaging in accordance with Company’s standard procedures. Charges for special packaging, crating or packing are the responsibility of Customer.

If the order states no price for an item, Company will bill Intermountain at the price last quoted to, or paid by, Intermountain, or the prevailing market price, whichever is lower. If the invoice includes a higher price than the price established by this order, the price of this order will govern. If any item’s price is higher than stated in this order, Company will immediately notify Intermountain and Intermountain may accept or reject that price. Prices in this order do not include applicable sales, use, or excise taxes, which, if any, are Company’s responsibility to collect and remit to the proper governmental authority.

(a) The goods shipped or services performed against this Agreement must not be invoiced at a higher price than shown on the face of this Agreement without the prior written consent of Fresenius Kabi. The invoice must itemize transportation charges, including foreign inland freight and insurance and taxes separately, if applicable. No charge will be allowed for packing, labeling, commissions, customs duties, storage, crating, express handling or travel, unless indicated in this Agreement.
(b) All fees and amounts payable by Fresenius Kabi to Supplier are exclusive of any value added tax, goods and service tax, sales tax, use tax, consumption tax or any other similar tax only (collectively referred to as “VAT”). If the transactions as described in this Agreement are subject to any applicable VAT, Supplier shall provide Fresenius Kabi with an invoice which specifically states this VAT and which also complies with the applicable tax regulations (“valid invoice”). Provided Supplier has stated VAT (as identified above) on a valid invoice Fresenius Kabi will pay to Supplier the VAT properly chargeable in respect of that payment. Supplier will not invoice or otherwise attempt to collect from Fresenius Kabi any taxes with respect to which Fresenius Kabi has provided Supplier with (i) a valid resale or exemption certificate, (ii) evidence of direct payment authority, or (iii) other evidence, reasonably acceptable to Supplier, that such taxes do not apply. Fresenius Kabi reserves the right to withhold payments to Supplier until Supplier has provided Fresenius Kabi with a valid invoice. If Supplier has incorrectly determined the amount of VAT chargeable to Fresenius Kabi, then the invoice shall be corrected and: • when Fresenius Kabi has overpaid any amount of VAT, Supplier will repay this amount of VAT plus interest to Fresenius Kabi; or • when Fresenius Kabi has paid less than the correct amount of VAT, Fresenius Kabi shall pay the outstanding amount of VAT to Supplier upon receipt of a valid invoice. Fresenius Kabi reserves the right to claim compensation for damages in case a VAT deduction is denied or VAT refund is rejected due to Supplier’s failure to issue a valid invoice.
(c) In the event that any applicable law requires Fresenius Kabi to withhold taxes or similar deductions (including interest, penalties, and additions thereto) imposed on payments made or to be made by Fresenius Kabi to Supplier, Fresenius Kabi may deduct such taxes from such payments provide...
Pricing and Taxes. Xxxxxx Machine Company will not pay prices for work higher than those prices stated in the PO. Supplier warrants that the prices of the items covered by this PO are not in excess of Supplier's lowest prices in effect on the date of this PO for comparable quantities of similar items. If Supplier reduces prices for this work after formation of the PO, but prior to payment, such price reductions will apply to this PO. Unless otherwise specified, the prices include all charges for packaging, handling, storage and delivery. Unless prohibited by law or otherwise specified, Supplier shall pay and has included in the price of the PO any federal, state or local tax, transportation tax, or other tax which is required to be imposed upon the items ordered hereunder, or by reason of their sale or delivery, except for applicable sales and use taxes that are listed separately on Supplier’s invoice. Prices shall not include any taxes, duties, tariffs or similar fees for which the Company has furnished a valid exemption certificate or other evidence of exemption.
Pricing and Taxes. All transactions will be in U.S. Dollars. The BUYER will reimburse the SELLER only for applicable state and local sales and use taxes, unless the BUYER advises SELLER that an exemption applies. Taxes payable by the BUYER shall be billed as separate items on the SELLER's invoices and shall not be included in the SELLER’s prices. The BUYER shall have the right to contest any such taxes that the BUYER deems improperly levied at BUYER’s expense by the SELLER. SELLER shall deliver the Products to the BUYER free and clear of all liens, claims and encumbrances. The BUYER assumes no liability for Products produced, processed or shipped in excess of the amount specified in the Purchase Order.
