For the avoidance of doubt, the Parties acknowledge and agree that the Bonus Payments constitute Wages and Benefits relating to the period prior to the Cut Off Time for purposes of Seller Parent’s obligation to fully credit Purchaser for the costs of the Bonus Payments in accordance with Section 10.1.14 hereof.
Prorations pursuant to this Section 10.1.14 shall be determined consistent with the balance sheet and how Employee Wages and Benefits have been historically accounted for and measured.
