Project Cooperation. The parties recognize that the construction to take place under this Agreement involves unique and special circumstances which dictate the need for the parties to develop specific procedures to promote high quality, rapid and uninterrupted construction methods and practices. The smooth operation and successful and timely completion of the work is vitally important to the parents and the students of the District. The parties therefore agree that maximum cooperation among all parties involved is required; and that with construction work of this magnitude, with multiple contractors and crafts performing work on the Project site of over an extended period of time, all parties agree to work in a spirit of harmony and cooperation, and with an overriding commitment to maintain the continuity of Project Work. Further, the parties recognize that a force majeure event, a default or a termination of a construction contract could require the District to partially or fully suspend Project Work. The parties shall fully cooperate with any request by the District to redirect their equipment, skills and expertise to support the District's efforts necessitated by such events.

The SOW may describe the responsibilities of other entities involved in the Project. In this Contract Consultant shall only be responsible for those responsibilities and deliverables identified as being assigned to Consultant (or its subconsultants) in this Contract and the SOW. All work assigned to other entities, other than subconsultants, is not subject to this Contract, but shall be the subject of separate Intergovernmental Agreements or contracts which will contain the obligations of those entities. Any tasks or deliverables assigned to a subconsultant shall be construed as being the responsibility of Consultant. Any Consultant tasks or deliverables which are contingent upon receiving information, resources, assistance, or cooperation in any way from another entity (other than subconsultants) as described in this SOW shall be subject to the following guidelines:
a. At the first indication of non-cooperation, Consultant shall provide written notice to Agency’s Contract Administrator of the specific acts or inaction indicating non-cooperation and of any deliverables that may be delayed due to such lack of cooperation by other entities referenced in the SOW.
b. Agency’s Contract Administrator shall contact the non-cooperative entity/s to discuss the matter and attempt to correct the problem and expedite items determined to be delaying Consultant/Project. If Consultant has followed the notification process described in section “a”, and delinquency or delay of any deliverable is found to be a result of the failure of other referenced entities to provide information, resources, assistance, or cooperation, as described in the SOW, Consultant will not be found in breach or default with respect to delinquencies beyond any reasonable control of Consultant; nor shall Consultant be assessed or liable for any damages arising as a result of such delinquencies. Neither shall Agency be responsible or liable for any damages to Consultant as the result of such non-cooperation by other entities. ...

Project Cooperation. 3.1 甲方与乙方共同开发用于重型卡车工业的 300-600 马力“爆燃式燃气涡轮发动机( 300-600 马力 DCGT 重卡发动机)”工程产业化应用产品,乙方是甲方在中国的 300-600 马力重卡发动机唯一合作方。当时机成熟时,甲方承诺会优先考虑与乙方共同开发 300 匹马力以下的 DCGT发动机项目。 Party A and Party B will work jointly in developing Detonation Cycle Gas Turbine Engine (300-600 HP DCGT Engine) for application of heavy duty trucks. Party B is Party A’s exclusive partner in China for 300-600 HP DCGT engines for heavy duty trucks. As conditions permit, Party A will also give preferential consideration for joint development of DCGT Engine under 300 HP with Party B.
3.2 双方同意在对双方均为有利的情况下,任何一方均不得不合情理地拒绝在另一方友好地提出建议后向国内外其它用户提供或发布有关此项目的任何协议、文件、报告、出具信函或做出承诺。任何一方在发布任何与此协议有关的信息之前必需得到另一方的书面同意。 Both Parties agree that each party will not unreasonably refuse the other Party to provide or disclose to other domestic or foreign customers with any agreements, documents, reports, letters or commitments relating to this project after the other party has made request on a friendly basis, as long as it is to the best interests of both parties. Either party shall get written content from the other party before releasing any news pertaining to this agreement.
Project Cooperation. It is understood and agreed that this Subcontract Work may constitute only a part of the work being performed for Owner by Contractor and/or others. Subcontractor, therefore, agrees to perform the Work called for hereunder in such manner as not to impede, injure or damage any other work being performed by Contractor or others, and further agrees to pay for any damage that may be caused to such work by Subcontractor or its subcontractors, suppliers, invites and others acting for the benefit of the Work to be performed hereunder and their respective agents, servants and employees. Subcontractor further agrees to cooperate fully in all respects with Owner, Contractor and others working on the project and agrees to notify Contractor immediately of any conflict incurred by Subcontractor. Subcontractor agrees to notify Contractor immediately if the area in which Subcontractor is to work is unavailable or incapable of being worked on by Subcontractor due to some interference either by physical or design conflicts by Contractor or others. All notices shall be in writing. Subcontractor shall, prior to commencing with its Work, inspect the area in which it is going to work in order to determine that the work performed by others is in a suitable condition. Should this inspection show a deficiency in materials, incorrect grades/elevations, etc., or improper installation by others, then Subcontractor shall immediately inform Contractor of its findings in writing and shall not proceed unless instructed by Contractor. If Subcontractor proceeds with its Work without such notice, Subcontractor shall be deemed to have accepted the work performed by others and any costs, which may arise, by such actions.
