Quality Standards and Maintenance. The parties acknowledge and agree --------------------------------- that it is necessary for Licensor to maintain uniform standards governing all material facets of AOL Services in order to provide AOL Service Subscribers worldwide with high quality, cost effective and consistent levels of service, and to protect the reputation and goodwill associated with the AOL Services in the Interactive Services market. Accordingly, Licensee agrees that it shall provide goods and services offered under the AOL Marks that are as high in quality as the quality of the goods and services offered by AOL with respect to the AOL Services and related merchandise subject to reasonable variations resulting from business, legal and technical factors within the Territory. Licensee agrees to comply with such specific standards for use of the AOL Marks as Licensor may, in its reasonable discretion, establish and modify from time to time in writing and provide to Licensee. All use by Licensee of the AOL Marks with respect to form and appearance shall be subject to the written usage standards provided to Licensee by Licensor and, except to the extent provided in Section 4.6, the prior written approval of Licensor to be exercised in accordance with such written guidelines. Once Licensor has approved a specific use of a xxxx, Licensee may continue such specific use or cease and resume such specific use without additional approvals from Licensor.
Quality Standards and Maintenance. All Products sold by the Buyer under any of the Trademarks, and all related uses of the Trademarks by Buyer in accordance with the terms herein shall conform to XXXXXX’x Branding Guidelines and other standards set by and be under the control of XXXXXX as may be provided by XXXXXX from time to time, and the Buyer shall cooperate with XXXXXX in facilitating XXXXXX’x control of such nature and quality, to permit reasonable inspection of Buyer’s operation, and to supply XXXXXX with specimens of all uses of Trademarks upon request. The Buyer agrees to use the Trademarks only in the form and manner and with appropriate legends as prescribed from time to time by XXXXXX in its Branding Guidelines provided by it, and not to use any other trademark or service mark in combination with any of the Trademarks without prior written approval of XXXXXX. The Buyer will at all times use its best efforts to protect and promote the interests, reputation and goodwill of XXXXXX.
Quality Standards and Maintenance. Harvard Bioscience agrees that the quality of all of the Licensed Goods and Services will be maintained at a commercially reasonable level and will comply with the requirements of any federal, state and other governmental regulatory agencies responsible for assuring the quality and fitness of such products. The parties agree that, without limitation, the quality of Licensed Goods and Services as of the date of this Agreement is at a commercially reasonable level of quality. Further, and upon reasonable notice to Harvard Bioscience, which shall not be less than 10 days, Harvard shall have the right, at its own expense and no more than once in a calendar year, to conduct at Harvard Bioscience’s facilities an examination of specimens of its use of the Licensed Marks and of products manufactured by or for it, and to obtain from Harvard Bioscience information and documentation, as would enable Harvard to determine that the quality of the Licensed Goods and Services provided by Harvard Bioscience is maintained in accordance with this paragraph throughout the term of this Agreement.
Quality Standards and Maintenance. Licensee acknowledges that maintaining a high level of quality for the products, services, and/or events that Licensee provides in order to enhance OpenPOWER’s goodwill as symbolized by the Licensed Marks is the essence of this Agreement. Accordingly, Licensee covenants, represents, and warrants that Licensee shall conduct its business operations, including the marketing and selling of its products and services and the operation of its activities and events in compliance with all applicable laws and regulations and in accordance with high quality standards, specifications, and procedures at least equal to those currently used by Licensee.
Quality Standards and Maintenance. Exercise of quality control over the use of the XBRL Logo is critical to XBRL International’s mission. Licensee agrees to comply with all reasonable polices, procedures, and quality standards, and all product and service offerings must at all times comply with those portions of the Specifications established by the Licensor with which it claims to comply OK, as they may be amended from time to time at the discretion of the Licensor. Failure of the Licensee or any product or service offering to comply and conform to the foregoing shall constitute a material breach of this Agreement. If the product or service offerings fail to comply with the specific Specification advertised by Licensee as being implemented, use of the XBRL Logo on or in connection with the product or service offerings shall constitute a breach of this Agreement. Licensor will rely upon Licensee’s quality control procedures in relation to Licensee’s use of the XBRL Logo, which procedures shall be consistent with industry standard norms. From time to time, or upon request, Licensee will provide Licensor, or its duly authorized representative, without cost to Licensor, samples of marketing collateral distributed by Licensee, as well as a declaration that the quality of the product or service offerings bearing the XBRL Logo is consistent with industry standard norms. If, following its own internal review due process, Licensor objects to the use of the XBRL Logo on any such materials, Licensor shall provide its objections in writing to Licensee. If these objections have not been addressed by Licensee to Licensor’s satisfaction within 60 days of delivery of said notice by Licensor to Licensee, Licensee shall refrain from such further use of the XBRL Logo until Licensee has satisfied Licensor’s objections.
Quality Standards and Maintenance. Licensee agrees that the nature and quality of all services rendered by Licensee in connection with the Xxxx shall be advertised, offered and provided in a high-quality manner and consistent with the quality control standards established by NLEOMF. Licensee further agrees to cooperate with NLEOMF in facilitating NLEOMF’s control of such nature and quality, to permit reasonable inspection of Licensee's operation, and to supply NLEOMF with specimens of all uses of the Xxxx upon request.
Quality Standards and Maintenance. 6.1 The TSMD Group agrees to cooperate with Xxxxxxx-Xxxxxxx in facilitating Xxxxxxx-Xxxxxxx'x control of the nature and quality of the Marks. The TSMD Group is familiar with the quality standards of Xxxxxxx-Xxxxxxx. The TSMD Group shall use the Marks licensed to it by Xxxxxxx-Xxxxxxx hereunder only in accordance with those same reasonable standards of quality currently used by Xxxxxxx-Xxxxxxx, which standards shall be equal to, but which shall not exceed, the standards of quality currently used by Xxxxxxx-Xxxxxxx, and such standards of quality are acceptable to Xxxxxxx-Xxxxxxx. Xxxxxxx-Xxxxxxx shall have the right once per year, upon reasonable advance written notice (at least ten (10) business days in advance), to receive from the TSMD Group specimens of the TSMD Group's use of the Marks, as may be reasonably necessary in order to confirm that such quality control standards are being observed.
Quality Standards and Maintenance. A. Maintenance of Standards on all Sporting Goods containing the Sport Tech and SquareRoot/(™)/ Xxxx or Sport Tech and SquareRoot/(™)/ Inside Xxxx or the Sport Tech and SquareRoot Xxxx. Licensee agrees that all Sporting Goods containing any of the Sport Tech and SquareRoot/(™)/ Xxxx or the Sport Tech and SquareRoot/(™)/ Inside Xxxx or the Sport Tech and SquareRoot Xxxx shall include Sport Tech and SquareRoot/(™)/ Sporting Goods be of equal standards as the current production of Licensee's existing products with respect to quality and consistency. Trademark License and Royalty Agreement
Quality Standards and Maintenance. The parties acknowledge and agree that it is necessary for DKC to maintain uniform standards governing all facets of the DKC Site in order to provide users worldwide with high quality and consistent levels of service and to protect the reputation and goodwill associated with DKC and the DKC Site. Accordingly, SH agrees to maintain the level of quality of the portions of the SH Site which link to the Co-Branded Center at least at the level in place on the Effective Date.
Quality Standards and Maintenance. The parties acknowledge and agree that it is necessary for each party to maintain uniform standards governing all facets of its web site in order to provide Users worldwide with high quality and consistent levels of service, and to protect the reputation and goodwill associated with its web site. Accordingly, the parties agree that the quality of goods and services offered under each of their respective sites shall be at least as high as the quality of the goods and services offered by the other party. The parties agree to comply with such specific standards for use of the respective Marks as each party may, in its discretion, establish and modify from time to time.
