RAC Sample Clauses

RAC. RAC" means the ASIC cell developed by Rambus which is --- specified in "Rambus ASIC Cell Specification (version 5.7)".

RAC. RAC is a corporation duly organized, validly existing and in good standing under and pursuant to the laws of the State of Delaware. RAC has duly qualified and is authorized to conduct business and is in good standing as a foreign corporation in all jurisdictions where such qualification is necessary. RAC has all requisite corporate power and authority to enter into this Agreement and to consummate the transactions herein contemplated. RAC has taken all corporate action necessary to duly authorize the execution of this Agreement and the consummation of all transactions herein contemplated.

RAC. Rambus agrees to develop the Modified RAC and provide the RAC --- Deliverables to Goldstar. [***] [*] Confidential treatment requested. [***] Rambus estimates that it will require approximately four (4) months from commencement of development to completion of the RAC Deliverables. Upon receipt of the RAC Deliverables from Rambus, Goldstar will implement the Modified RAC (as set forth in Exhibit G hereto), including without limitation development and manufacture of a RAC test chip ("TRAC"), fabrication, Modified RAC verification and characterization using the HP 83000 tester, and final circuit layout adjustments to the Modified RAC to meet speed specifications and yield targets.

RAC. RAC shall make additional cash contributions to the capital of the Company up to a maximum of $5,214,000. RAC shall make such additional cash contributions to the capital of the Company on such dates and in such amounts as requested in writing by the Manager. RAC shall make each requested additional cash capital contribution to the Company within ten (10) business days of the applicable written request from the Manager. The Company shall use the additional cash contributions from RAC to the Company for the Company’s operating expenses and to upfit, improve and rehabilitate, the Properties contributed by FixPads to the Company so that the Properties may be sold or leased by the Company.

RAC. The RAC Agreement and the related RAC Check issued and delivered to such taxpayer pursuant to the Refund Anticipation Check Service.

RAC. INDEPENDENCE CONTRACT DRILLING, LLC, a Delaware limited liability company

RAC. RAC is a Florida corporation and a wholly owned subsidiary of RGF.

RAC. Can refer to either the LORAC; the NRAC or both.

RAC waives demand and presentment for payment, protest, notice of protest and notice of non-payment or dishonour of this Note; (b) consents to any extension of the time of payment hereof; (c) waives all defences based on suretyship or impairment of collateral; and (d) waives any defences which RAC may assert on the Obligations including but not limited to failure of consideration, breach of warranty, fraud, payment, statute of frauds, bankruptcy, lack of legal capacity, statute of limitations, lender liability, accord and satisfaction, and usury. In consideration of the premises and the mutual covenants and conditions contained herein, the parties further agree as follows:

RAC. Recognize, Assess, Control. The RAC is a safety tool that is required Company Wide by the Xxxxxx Group of Companies. This safety tool is not a disciplinary instrument. Any reference in the general agreement to the term "skilled trade" includes only employees classified in the listed trades. The skilled trades covered by this Appendix constitute those trades for which an apprenticeship is usually served, together with those classifications which form a part of an apprenticeable trade. Shop and Field Group SGV Group 2. The Company agrees to deduct Canadian Skilled Trades Council dues in the amount of one-half (½) hour pay per year upon receipt of individual authorization cards signed by the employee. 3. Advancement of apprentices: refer to the Company Policy on advancement of apprentices. 4. Skilled trade employees will receive, on average of twenty-four (24) hours of technical and Health and Safety training per year. Said hours will be signed off by the trainee in 30-minute increments.
