Recognition Bonus. 1. Subject to the terms and conditions described below, you will be eligible to receive a bonus equal to $171,000.00 (the “Recognition Bonus”). 2. The Recognition Bonus will be payable, in cash, in two equal installments, as follows: (a) fifty percent (50%) of the Recognition Bonus will be paid as soon as administratively feasible (but in no event later than thirty (30) days) following December 31, 2022, and (b) fifty percent (50%) of the Recognition Bonus will be paid as soon as administratively feasible (but in no event later than thirty (30) days) following March 31, 2023 (each of the payment events in subclauses (a) and (b), a “Payment Event”), in either case so long as you remain in active employment with the Company or its affiliates until the occurrence of the applicable Payment Event. 3. If your employment terminates for any reason prior to a Payment Event, it will be in the sole discretion of the Compensation Committee to determine whether you are eligible to receive any portion of the Recognition Bonus that has not already been paid, and unless otherwise determined by the Compensation Committee, you will have no entitlement to receive any such unpaid amounts. 4. The Recognition Bonus is subject to all applicable tax withholding requirements, as determined by the Company.

Recognition Bonus. All bargaining unit employees with a 1.0 timebase or greater, in active pay status, or on leave, as of the date of ratification of this Agreement shall receive a one-time payment of $2,500. Payments will be pro-rated for employees who are less than a 1.0 timebase on the date of ratification. For hourly intermittent employees, the formula for determining the pro-rata amount is as follows:

The Charge Nurse differential shall be paid exclusively for hours 9 worked and shall not be included in any other form of compensation or benefits.
Recognition BonusFollowing the ratification of this Collective Bargaining Agreement by the Union, there shall be a one-time bonus, non-base building, payment of 2% for each employee in active pay status, or on leave, as of the date of ratification.

Recognition BonusIn consideration of (i) Executive's considerable contributions during his long service to the Company, (ii) Executive's services in identifying and training his successor as Chief Executive Officer, (iii) Executive agreeing to resign as Chief Executive Officer on the Change of Status Date and (iv) Executive's execution of this Agreement, the Company shall pay Executive a Recognition Bonus of $1,500,000 promptly after the Change of Status Date.

This bonus will be paid in a lump sum on the tenth (10th) day after your execution of this Agreement (the “Execution Date”) provided you have met your obligations under this Agreement. The Company will issue federal tax form 1099 – MISC to you with respect to the Recognition Bonus.
