Reimbursable Costs and Expenses. Unless otherwise specified in the applicable SOW, in addition to the hourly rates described in the applicable SOW, Orbitz shall pay ITA’s actual out-of-pocket expenses of the types agreed to in writing by the parties, provided that (1) ITA obtains Orbitz’s prior written approval before incurring such reimbursable expenses; or (2) such expenses are incurred in accordance with Orbitz’s then-current standard policy regarding such reimbursable expenses (advance notice of any modifications to which Orbitz agrees to provide to ITA). ITA agrees to provide Orbitz with access to such original receipts, ledgers, and other records as may be reasonably appropriate for Orbitz or its accountants to verify the amount and nature of any such expenses.

Reimbursable Costs and Expenses. The Borrower will pay all Reimbursable Costs and Expenses of the Lender incurred in connection with, or incident to: (i) the preparation, administration, amendment, modification or waiver of, or consent with respect to, this Agreement and the other Loan Documents, including any workout or other restructuring of the Obligations, provided the Borrower shall not be required to pay Reimbursable Costs and Expenses of the Lender incurred in connection with, or incident to, the preparation of the Credit Agreement and the Loan Documents for the closing on the Closing Date; (ii) any litigation, suit, proceeding, contest, dispute or action (whether instituted by the Lender or any other Person) in any way relating to the Collateral, this Agreement, the Collateral Documents and the other Loan Documents, including any litigation, suit, proceeding, contest, dispute or action taken by or on behalf of the Lender under the Bankruptcy Code or any other similar Law now or hereafter in effect; (iii) the inspection and audit of the books and records of the Loan Parties; (iv) the inspection, management, protection, custody, appraisement, sale or collection of, or realization upon, the Collateral and any other assets or properties securing the payment of the Obligations; (v) the collection or attempted collection of the Obligations; and (vi) the perfection, protection, continuation, enforcement or termination of any Liens granted to the Lender to secure payment of the Obligations.
Reimbursable Costs and Expenses. 7.1 The Basic Fee shall include all the Designer’s expenses associated with the performance of its services pursuant to this Contract. Any Amendment that increases the Basic Fee shall likewise include all expenses associated with the performance of the services that is the subject of the Contract. 7.2 The Designer shall be reimbursed by the Town for: .1 the actual cost to the Designer of special consultants, not specified in its response to the RFQ, and approved in writing by the Town, provided, however, that no reimbursement for such expense shall be made unless the rates of compensation for said consultant services shall have been previously approved in writing by the Town. The Town may approve a lump sum fee; .1 The Designer shall not be entitled to compensation under this Article for the services of Subconsultants hired to perform Basic Services under this Agreement. If a Subconsultant hired to perform Basic Services performs Additional Services approved by the Town, compensation for such Additional Services shall be made under Article 6. .2 other actual costs, including special printing, but only when specifically authorized in writing by the Town or its designee; and .3 for document copies in excess of numbers specified in the Contract if requested by the Town. 7.3 The Town shall not reimburse the Designer for the following: any expenses associated with performing its services; .2 travel expenses under this Contract, provided, however, that in special circumstances and with prior approval of the Town, the Designer may be reimbursed for out-of-state travel expenses consistent with applicable statutes, rules, and regulations; and .3 any telephone (land line and cellular), computer or other out-of-pocket expenses unless specifically authorize as provided above.

The timing of Licensee ' s payment obligations under this paragraph (e) will be subject (in the case of costs and expenses payable during calendar year 2001) to Exhibit G.
Reimbursable Costs and Expenses. Subject to pre-approval by the Partnership as provided in Section 1.8, all costs, fees and expenses incurred by Manager in performance of its duties under this Section 1, including the Pre-Opening Program and Technical and Development Services, shall be borne by the Partnership and shall not be the responsibility of Manager. Manager shall receive monthly reimbursement payments from the Partnership in respect thereof, or, at Manager's request, the Partnership shall pay such costs, fees or expenses directly upon submission of third party invoices therefor. Such costs shall include, but not be limited to, the following: (A) travel, meals, lodging and other living expenses in connection with travel outside of Puerto Rico; (B) salaries personnel of Manager other than Xxxx Xxxxxxx, to the extent directly involved in the performance of services hereunder; (C) reproductions, postage and handling of drawings, plans, specifications and other documents; (D) Manager's computer and duplicating services at its usual and customary hourly rate or the actual cost of use of outside data processing, computer or duplicating services; (E) photography and video procedures, whether by Manager or third parties; (F) renderings, models and work-ups; (G) cost of establishing and maintaining an on-site office for Manager and/or the Partnership's use including furnishings, equipment and utilities in connection therewith; (H) local and long distance phone charges and telecommunication costs; (I) entertainment and promotional expenses, particularly in connection with the Pre-Opening Program; (J) advertising expenses; (K) salaries and fees of third parties such as accounting, law, architectural, design, engineering and decorating firms; (L) overtime work requiring higher than regular rates; (M) insurance, if any, carried by Manager in connection with its services; (N) transportation to and from or otherwise in connection with the Project and the performance of Manager's obligations under this Section 1; and (O) any other expense incurred by Manager in connection with performance of its obligations under this Section 1.
Reimbursable Costs and Expenses. Reimbursable costs and expenses shall be limited to those items set forth in the Schedule of Program Manager’s Reimbursable Costs and Expenses (Exhibit G). Program Manager’s charges to Owner for reimbursable costs and expenses shall be subject to audit to verify the Program Manager’s actual reimbursable costs.

Reimbursable Costs and Expenses. Unless otherwise specified in the applicable SOW, in addition to the hourly rates described in the applicable SOW, Kayak shall pay the reasonable actual out-of-pocket expenses incurred by ITA in rendering services to Kayak pursuant to any SOW, including without limitation costs of travel, provided that such expenses are incurred in accordance with Kayak’s then-current standard policy regarding such reimbursable expenses. Kayak agrees to provide ITA advance notice of any modifications to such policies. ITA agrees to support its invoices of such expenses with copies of receipts and, upon request. provide Kayak with access to such original receipts, ledgers, and other records as may be reasonably appropriate for Kayak or its accountants to verify the amount and nature of any such expenses.
Reimbursable Costs and Expenses. The Base Fee and fees for additional services do not include the following reimbursable costs and expenses, which shall be reimbursed to Xxxxxxxx Architects by the Board of Education, in accordance with the agreement: A. Reimbursable Costs and Expenses. Purchaser shall, and shall cause its Affiliates to, upon reasonable prior notice and during regular business hours, afford Seller and its Affiliates and their respective Representatives reasonable access to the personnel, properties, books and records of Purchaser and its Affiliates relating to all Reimbursable Costs and Expenses, and Purchaser shall furnish to Seller all information concerning Reimbursable Costs and Expenses as Seller may reasonably request; provided, that Purchaser may restrict the foregoing access to the extent that in the reasonable judgment of Purchaser, any applicable Law requires it to restrict such access; and provided, further, that such access shall not unreasonably disrupt the operations of Purchaser or any of its Affiliates; provided, further, that the provisions of Article VIII shall govern indemnification subject to Article VIII.
