Replacements and spare parts. 2.1. In performing the Planned Maintenance Services, Sycous shall use all reasonable endeavours to source spare parts required to restore the Maintained Equipment to Good Working Order. Where replacements and spare parts are not included in the agreed fee for the Planned Maintenance Services Sycous shall have the right to charge the Customer for the spare parts.
2.2. All spare parts and/or replacements provided by Sycous to the Customer shall become part of the Maintained Equipment. All parts and components removed from the Maintained Equipment by Sycous in the course of performing the Maintenance Services shall no longer constitute part of the Maintained Equipment.
Replacements and spare parts. 3.1 In performing the Preventative Maintenance, Corrective Maintenance and the Additional Services, the Supplier shall use all reasonable endeavours to source spare parts (new or refurbished) required to restore the Maintained Equipment to Good Working Order. The Supplier shall have the right to charge the Customer for the spare parts.
3.2 All spare parts and/or replacements provided by the Supplier to the Customer shall become part of the Maintained Equipment and the property of the Customer. The Supplier will assign to the Customer, with full title guarantee and free from all third-party rights, all spare parts and/or replacements provided by the Supplier. All parts and components removed from the Maintained Equipment by the Supplier in the course of performing the Preventative Maintenance, Corrective Maintenance and/or the Additional Services shall no longer constitute part of the Maintained Equipment and will be the property of the Supplier. The Customer will assign to the Supplier, with full title guarantee and free from all third-party rights, all parts and components removed from the Maintained Equipment by the Supplier in accordance with this clause 3.2.

4.2 All spare parts and/or replacements provided by Avoira to the Customer shall become part of the Maintained Equipment and the property of the Customer. Avoira will assign to the Customer, with full title guarantee and free from all third-party rights, all spare parts and/or replacements provided by Avoira. All parts and components removed from the Maintained Equipment by Avoira in the course of performing the Maintenance Services shall no longer constitute part of the Maintained Equipment and will be the property of Avoira. The Customer will assign to Avoira, with full title guarantee and free from all third-party rights, all parts and components removed from the Maintained Equipment by Avoira in accordance with this clause 4.2.

Where CTME is unable to source individual spare parts for less than this amount, CTME shall have the right to charge the Customer for the spare parts.
8.3.2. All spare parts and/or replacements provided by CTME to the Customer shall become part of the Equipment. All parts and components removed from the Equipment by CTME in the course of performing the Equipment Maintenance Services shall no longer constitute part of the Equipment and will be the property of CTME.

8.3.2. All spare parts and/or replacements provided by CTMEA to the Customer shall become part of the Equipment. All parts and components removed from the Equipment by CTMEA in the course of performing the Equipment Maintenance Services shall no longer constitute part of the Equipment and will be the property of CTMEA.
Replacements and spare parts. In performing the Hardware Support Services, K3 shall use reasonable endeavours to source spare parts required to correct Hardware malfunctions and failures. K3 may charge the Customer for spare parts not provided free under manufacturer’s warranty. Any component of the Supported Hardware may be replaced on a temporary or permanent basis by a component of substantially equivalent functionality. All replacement components provided by K3 on a permanent basis shall become part of the Supported Hardware and the property of the Customer. Provisions in the Agreement relating to the supply of Hardware shall apply to any such components. All components removed from the Supported Hardware shall no longer constitute part of the Supported Hardware and will be the property of K3.
Replacements and spare parts. 4.1 In performing the Support Services and the Additional Services, where the Supported Equipment is inside of any applicable and valid warranty period, the Supplier shall use all reasonable endeavours to source spare parts required to restore the Supported Equipment to Good Working Order or to facilitate the manufacturer’s warranty. The Supplier shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from the manufacturer’s failure or delay to implement any applicable and valid warranty. Where the Supported Equipment is outside of any applicable warranty period, the Supplier shall not be obliged to source spare parts however where it does so, the Supplier shall have the right to charge the Customer for the spare parts. The amounts owed pursuant to this Paragraph 4.1 shall be invoiced in accordance with Clause 12.10 and shall be payable by the Customer in accordance with Clause 12.
4.2 The costs of delivering the spare parts and/or replacements to the Support Site shall be met by the Customer. The amounts owed pursuant to this Paragraph 4.2 shall be invoiced in accordance with Clause 12.10 and shall be payable by the Customer in accordance with Clause 12.
4.3 All spare parts and/or replacements provided by the Supplier to the Customer shall become part of the Supported Equipment and the property of the Customer. All parts and components removed from the Supported Equipment by the Supplier in the course of performing the Support Services or the Additional Services shall no longer constitute part of the Supported Equipment and will be the property of the Supplier. The Customer will assign to the Supplier, with full title guarantee and free from all third-party rights, all parts and components removed from the Supported Equipment by the Supplier in accordance with this Paragraph 4.

Where Avoira can reasonably source individual spare parts, Avoira shall have the right to charge the Customer for the spare parts.
5.2 All spare parts and/or replacements provided by Avoira to the Customer shall become part of the Hardware and the property of the Customer. Avoira will assign to the Customer, with full title guarantee and free from all third-party rights, all spare parts and/or replacements provided by Avoira. All parts and components removed from the Hardware by Avoira in the course of performing the Services shall no longer constitute part of the Hardware and will be the property of Avoira. The Customer will assign to Avoira, with full title guarantee and free from all third-party rights, all parts and components removed from the Hardware by Avoira in accordance with this clause 5.2.
5.3 In circumstances where the Hardware and/or Software and/or spare parts and/or skills relevant to the Hardware and/or Software become unavailable or obsolete, Avoira may be unable to continue to offer the Services. In this event, Xxxxxx will immediately contact the Customer and inform them of the reasons for the inability to provide the Services and shall, where possible, provide alternative options to the Customer to enable the Services to be resumed. If no other options are available or the available options are not acceptable to the Customer, Avoira may terminate this agreement with 60 days’ written notice.

Where CTSA is unable to source individual spare parts for less than this amount, CTSA shall have the right to charge the Customer for the spare parts.
10.2 All spare parts and/or replacements provided by CTSA to the Customer shall become part of the Equipment. All parts and components removed from the Equipment by CTSA in the course of performing the Equipment Maintenance Services shall no longer constitute part of the Equipment and will be the property of CTSA.
Replacements and spare parts. 4.1 In performing the Maintenance Services, the Supplier shall use all reasonable endeavours to source spare parts required to restore the Maintained Equipment to Good Working Order. The Customer will be charged separately to the Standard Maintenance Fees for the spare parts used in connection with the Maintenance Services.
4.2 Upon payment in full the Supplier will assign to the Customer, with full title guarantee and free from all third-party rights, title in all spare parts and/or replacements provided by the Supplier. Upon delivery to the Location and until title in the spare parts passes to the Customer, they shall be at the Customer’s risk.
