Representations, Warranties and Covenants of Dealer. Dealer hereby expressly warrants, guarantees, represents and covenants as follows: (1) That the goods or services which are the subject of the contract were owned by the Dealer free of encumbrances, and the Dealer had the legal right to sell the same; (2) That the contract sold to Priority shall be valid and legally enforceable in accordance with the terms and conditions stated therein; (3) That all statements of fact made in the application and other documents accompanying such account contract, by Dealer and account debtor, shall be true and correct and shall continue to be true and correct so long as the account contract remains unpaid; (4) That each and all contracts shall correctly describe the goods covered thereby; (5) That each of the parties to such contract, whether maker or endorser, shall have legal capacity to contract at the time he or she, or it, enters the contract; (6) That the signatures of all parties appearing on each contract shall be true and correct signatures of all parties purported to have signed and that the names shall not be an alias or adopted name; (7) That Dealer has verified the accuracy of the account debtor’s employment and income; (8) That each closed-end contract shall correctly set forth the cash price and the down payment made to Dealer in cash (if any shown) and the amount allowed by Dealer for any property taken in trade, and that the down payment by the account debtor shown in each closed-end contract shall not represent either directly or indirectly a loan from Dealer to the account debtor; (9) That the financial disclosures in each open-end contract shall be true and correct; (10) That the sale of each of the goods covered by each contract shall be a sale at retail value in the regular course of the Dealer’s business; (11) That each of the goods at the time of purchase shall be in the condition represented to the account debtor; (12) That at the time of the sale and assignment of account contracts the merchandise will be in the possession of the account debtor and delivered to the address of the account debtor and that there are no disputes regarding said merchandise; (13) That there shall be no setoffs, counter-claims, or defenses available to any account debtor; (14) That no account contract shall be past due or contested by the account debtor at the time it is sold to Priority hereunder, nor is there any undisclosed delinquency by the account debtor on any account contract; (15) That Priority on the purchase o...
