REQUIREMENTS THE SFA AGREES TO. (for all programs): 1. Comply with the intent and purpose of program statutes and program regulations cited in this Agreement, and memoranda, directives, and other guidance as issued by the SA for covered programs. This Agreement incorporates the statutory and regulatory provisions applicable to covered programs by reference. 2. Provide eligible participants with meals, snacks, or milk, in accordance with nutritional and other requirements specified for each covered program. 3. Provide free and reduced price meals, snacks, or free milk (if participating in free milk option of SMP) to participants according to the applicable policy statements for covered programs as listed below. 4. Submit claims for reimbursement, program applications, and other required information as prescribed by the SA. 5. Accept final financial and administrative responsibility for management of an effective food service. 6. Adhere to all federal, state, and local procurement regulations and laws, per 2 CFR Part 200. 7. Operate a nonprofit food service, use program income only for program purposes, and maintain a financial system as prescribed by the SA. 8. Complete corrective actions issued by the SA within timeframes specified by the SA. The SFA and participating schools under its jurisdiction agree to comply with all provisions of 7 CFR Part 210 – National School Lunch Program; Part 220 – School Breakfast Program (if applicable); Part 245 – Determining Eligibility for Free and Reduced Price Meals and Free Milk in Schools; Part 250 – Donation of Foods for Use in the United States, its Territories and Possessions and Areas under its Jurisdiction. 1. Serve meals and, if applicable, afterschool program snacks that meet minimum program requirements, as prescribed in 7 CFR 210.10 and 220. 8. Serve snacks in an afterschool program sponsored or operated by the SFA that provides children with regularly scheduled activities in an organized, structured, and supervised environment and includes educational or enrichment activities. 2. Price the meal and/or snack as a unit. 3. Serve meals and snacks free or at a reduced price to all children who are determined by the local education agency (LEA) to be eligible for such meals or snacks in accordance with 7 CFR 245 and the SFA Policy Statement for Free and Reduced Price Meals of this Agreement. 4.   • Compliance with Xxxxx-Xxxxx and Related Act requirements All rulings and interpretations of the Xxxxx-Xxxxx and Related Acts contained in 29 CFR parts 1, 3, and 5 are herein incorporated by reference in this contract.

  • Compliance with Xxxxxxxx Act requirements The contractor shall comply with the requirements of 29 CFR part 3, which are incorporated by reference in this contract.

  • NOW THEREFORE THE PARTIES AGREE AS FOLLOWS The employee is paid 100% of their earnings during the working period.

  • Compliance with the Laws and Agreements; No Defaults (a) Each of the Borrower and each Subsidiary is in compliance with all Governmental Requirements applicable to it or its Property and all agreements and other instruments binding upon it or its Property, and possesses all licenses, permits, franchises, exemptions, approvals and other governmental authorizations necessary for the ownership of its Property and the conduct of its business, except where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect. (b) Neither the Borrower nor any Subsidiary is in default nor has any event or circumstance occurred which, but for the expiration of any applicable grace period or the giving of notice, or both, would constitute a default or would require the Borrower or a Subsidiary to Redeem or make any offer to Redeem under any indenture, note, credit agreement or instrument pursuant to which any Material Indebtedness is outstanding or by which the Borrower or any Subsidiary or any of their Properties is bound. (c) No Default has occurred and is continuing.

  • Compliance with Xxxxxxxx-Xxxxx Act The Company will comply with all applicable securities and other laws, rules and regulations, including, without limitation, the Xxxxxxxx-Xxxxx Act, and use its best efforts to cause the Company’s directors and officers, in their capacities as such, to comply with such laws, rules and regulations, including, without limitation, the provisions of the Xxxxxxxx-Xxxxx Act.

  • NOW THEREFORE THE PARTIES AGREE TO THE FOLLOWING During the term of this agreement, if the proclamation of the above noted legislation results in additional costs for teachers or School Divisions, TEBA and the Association shall meet within sixty (60) days to discuss the appropriate apportionment of costs.

  • Scope of Cooperation 1. The Authorities recognise the importance of close communication concerning the Covered CCPs and intend to cooperate regarding: a) general issues, including with respect to regulatory, supervisory, enforcement or other developments concerning the Covered CCPs and Australia; b) issues relevant to the operations, activities and services of the Covered CCPs; c) the coordination of supervisory activities and, where appropriate and consistent with applicable laws and each Authority’s mandate, providing assistance in the implementation of enforcement decisions; d) any other areas of mutual interest. 2. The Authorities recognise in particular the importance of close cooperation in the event that a Covered CCP, particularly one whose failure likely would be systemically important to an Authority, experiences, or is threatened by, a potential financial crisis or other Emergency Situation. One or both of the Local Authorities should provide notification to ESMA, and ESMA should provide notification to the Local Authorities, consistent with Article 3(4) below and each Authority should keep the other Authorities appropriately informed throughout the Emergency Situation. The Local Authorities should coordinate and lead in an Emergency Situation and should consult with and take account of the views of ESMA to the greatest extent practicable. ESMA should coordinate with the relevant CBI(s) regarding an Emergency Situation of a Covered CCP and any emergency measures that the CBI may consider appropriate. 3. Cooperation will be most useful in circumstances where issues of regulatory, supervisory or enforcement concern may arise, including but not limited to: a) the initial application of a Covered CCP for recognition in the European Union pursuant to Article 25 of EMIR and the periodic reviews of its recognition pursuant to Article 25(5) of EMIR; b) ESMA’s assessment of compliance and monitoring of the ongoing compliance by a Covered CCP with the Recognition Conditions; c) the tiering determination of a Covered CCP by ESMA pursuant to Article 25(2a) of EMIR; d) changes in a Covered CCP's internal rules, policies and procedures that could affect the way in which the Covered CCP complies with any Recognition Conditions; e) regulatory, supervisory or enforcement actions or approvals taken by a Local Authority or ESMA in relation to a Covered CCP, including changes to the relevant obligations and requirements to which the Covered CCPs are subject that may impact the Covered CCPs' continued compliance with the Recognition Conditions; and f) changes to regulatory status or requirements that could result in a change in the regulatory status of, relief granted to, or supervisory treatment of a Covered CCP and potentially could disrupt cross-border clearing arrangements.
