Responsibility for Products. Supplier shall be responsible for and bear all risk of loss or damage to the Products to be delivered by Supplier to the Warehouse while the Products are in Supplier’s care, custody and control. Such responsibility includes, but is not limited to, any loss or damage resulting from the improper storage, handling, packing, crating, loading, blocking and/or transportation of the Products to be delivered by Supplier. For the purpose of this Section, the time during which the Products are in transit from Supplier’s facility to the Warehouse, or other reasonable destination designated by HQ, shall be deemed to be a period during which the Products are in the care, custody and control of Supplier. For greater certainty, the Products shall be f.o.b. the Warehouse.

Responsibility for Products. Lipha must ensure at all times that Stage 2 Research is conducted and Products are developed, manufactured, tested and used strictly in accordance with all relevant applicable requirements and standards of relevant jurisdictions and Lipha will be responsible for conducting its own independent examination and verification of the accuracy and suitability of Pre-Stage 2 Results and for ensuring the same are suitable for the purposes for which the same are used.
Responsibility for Products. Caribou shall have the sole control, responsibility, and authority for developing, manufacturing, filing for and obtaining all necessary regulatory approvals, and commercialization of Products; provided, however, that nothing in this Agreement shall impose any obligation on Caribou to develop or commercialize Products and Caribou may discontinue developing or commercializing such Products at its sole discretion at any time; provided, however, that Caribou shall provide written notice to ProMab of such discontinuation and shall remain responsible for any Calendar Quarter reports under Section 3.3 and associated royalty payments (if any) due to ProMab under Section 3.2 based on sales (if any) that occurred prior to such discontinuation.

Such responsibility includes, but is not limited to, any loss or damage resulting from the improper storage, handling, packing, crating, loading, blocking and/or transportation of the Products to be delivered by Bayer Canada. For the purpose of this section, the time during which the Products are in transit from Talecris’ facility to the Warehouse, or other reasonable destination designated by CBS, shall be deemed to be a period during which the Products are in the care, custody and control of Bayer Canada. For greater certainty, the Products shall be f.o.b. the Warehouse.

Responsibility for Products. Unless otherwise agreed, --------------------------- Transporter may process or cause to be processed for the removal of Products any gas received prior to the Delivery of same. Transporter shall nonetheless remain obligated to Deliver gas at the Point(s) of Delivery which has the saw Thermal Content as that of the Receipt Quantity (lease fuel reimbursement). Unless otherwise agreed, Shipper shall have no further rights with respect to Products obtained by Transporter from the gas while the gas is in Transporter's possession. Unless otherwise agreed, title to all such Products shall vest in Transporter, and Shipper shall indemnify Transporter against all damages, costs, and expenses of any nature whatsoever arising from every claim against said Products or the right to payment for same. If Shipper enters into a separate agreement for processing of Shipper's gas gathered under this Agreement, Shipper also shall enter into separate agreements with Transporter for gathering and transportation of Shipper's liquefiable gas to the processing plant.
Responsibility for Products. The parties acknowledge that XXX'x duties are in the nature of acting as SeaLife's sales force as provided herein, and that XXX shall have no responsibility related to the preparation, quality and shipment of Products.
