Return of All Company Property. Executive shall deliver to Company all keys, credit cards, computers, correspondence, software, drawings, cell phones, blueprints, manuals, letters, notes, notebooks, reports, flowcharts, programs, software, proposals, and any documents concerning Company's customers, or concerning products or processes used by Company and any other property of Company, by December 28, 2002.

Xxxxx agrees that he will return any and all property (including, but not limited to, his Company-provided computer, personal computing devices, keys, security and parking cards or fobs, tools, credit cards and Company files and documents and all copies thereof, whether in hard copy or stored electronically) of the Company, its parents, subsidiaries or affiliates in his possession.

No later than seven (7) days after the Separation Date and except as the Company may expressly authorize in writing under the Consulting Agreement, Executive shall return in good condition to the Company all property of the Company that has yet to be returned that was or is in his possession or under his control. In addition, Executive shall return to the Company on a computer disk any electronically stored confidential information that is the property of the Company, including but not limited to any data and files Executive has stored on his home or other computer or on a portable storage device; Executive shall also permanently and completely delete and remove such electronically stored information from wherever it is stored and provide written verification of doing so.

Upon expiration or termination of this Agreement for any reason, or at any other time upon Company’s written request, Contractor must within 3 days after such expiration or termination: (a) deliver to Company all work product (whether complete or incomplete) and all hardware, software, tools, equipment, key cards, or other materials provided for Contractor’s limited use by Company (including transferring access to applicable accounts that Contractor maintained on Company’s behalf); (b) deliver to Company all tangible documents and materials (and any copies) containing, reflecting, incorporating, or based on the Confidential Information; (c) permanently erase all of the Confidential Information from your computer systems and internal hardcopy files; and (d) certify in writing to Company that Contractor has complied with the requirements of this clause.

You warrant that upon the conclusion of Your consulting duties, or when requested by the Company, You will return all property of the Company, including but not limited to, passwords to password-protected files, all confidential information( including all records, notes, data, memoranda, models, reports, lists, other documents, and any copies thereof), computer hardware or software, computers, cell phones, smartphones, files, papers, memoranda, correspondence, customer lists, vendor lists, supplier lists, financial data, credit cards, keys, tape recordings, pictures, security access cards, Company identification, and any other items of any nature which were or are the property of the Company or relate to Company’s business and that are in Your possession or under Your control. (“Company Property”), irrespective of whether such Company Property was prepared by You or not. You also agree to immediately cease using any of the Company’s tradenames and to return to the Company all advertising matter and other materials. You further agree not to retain any copies of any such Company Property in Your possession or under Your control. You have read and fully understand this Agreement and have voluntarily signed this Agreement with the full knowledge and understanding that You are waiving valuable rights, and You acknowledge that, unless properly revoked, this Agreement is final and binding.
