Return of Property Upon Termination. Upon termination of employment for any reason, Employee shall return to the Company all property of the Company, including but not limited to customer lists, records, software, documents, notes, tapes and other repositories of Confidential Information in the possession of Employee; whether prepared by Employee or by others, including copies thereof. Employee shall be responsible for any property loss or damage suffered by the Company due to delay in the return of such property. Employee represents and warrants that he shall not use any of the aforesaid items in any future business with which he shall become involved as an employee or otherwise.
Return of Property Upon Termination. Upon termination of this Agreement, whether by its terms or upon notice or breach, the Agency shall return to the Client all tangible personal property and work performed by the Agency on the Client’s behalf during the term of the agreement, conditioned upon receipt of full payment by the Client of all amounts due and owing under this Agreement (including any Addendums and Change Orders).
Return of Property Upon Termination. Subject to Article 24 - Transition at Expiration or Termination of this Agreement, upon termination and regardless of any dispute between the Parties, all property, equipment, data, documents or other materials of Customer or the Users pertaining to this Agreement in the possession of Contractor, its employees, agents or subcontractors shall be returned to their owners within fifteen (15) days of the notice of termination or such later date as Customer may designate.
Return of Property Upon Termination. Upon the termination of the Employee’s employment with the Company or upon the Company’s request at any time and for any reason, the Employee shall immediately deliver to the Company all materials (including all soft and hard copies) in his/her possession which contain or relate to Confidential Information. Employee agrees to participate in an exit interview to facilitate such transfer.
Return of Property Upon Termination. If this Agreement is terminated for any reason, you agree to provide for the immediate return of this property to us in good condition. You must remove all of your personal property from the Property prior to the return. If you do not remove your personal property, we have the right to remove it for you and charge you our reasonable costs of removing and disposing of it.
Return of Property Upon Termination. Upon termination of this Contract for any reason whatsoever, Contractor must immediately deliver to City all of City’s property (including without limitation any Work or Work Products for which City has made payment in whole or in part) that is in the possession or under the control of Contractor in whatever stage of development and form of recordation such City property is expressed or embodied at that time. Upon receiving a notice of termination of this Contract, Contractor must immediately cease all activities under this Contract, unless City expressly directs otherwise in such notice of termination.
Return of Property Upon Termination. All documents (including but not limited to all originals, copies and summaries of manuals, memoranda, notes, notebooks, records, reports, plans, drawings, and other documents or items of any kind concerning any matters affecting or relating to the Business or Potential Business, each as defined below, of the Company), information and other property of the Company, whether or not they contain or comprise Confidential Information, are and shall continue to be the property of the Company to be held by the Consultant in trust and solely for the Company's benefit. All such documents, information or other property in the possession or under the control of the Consultant (whether in electronic or hard copy form, whether stored or maintained on Company-owned or privately-owned equipment or discs (including wireless or hand-held equipment), and whether located at the Company's place of business or in any other location (including the private residence of any employee, agent or advisor of the Consultant)) shall be delivered to the Company by the Consultant immediately upon termination of this Agreement.
Return of Property Upon Termination. All documents and other tangible objects containing or representing Confidential Information which have been disclosed by either Party to the other Party, and all copies thereof which are in the possession of the other Party, shall be and remain the property of the disclosing Party and shall be promptly returned to the disclosing Party upon the disclosing Party’s written request or termination of this Agreement. Each Party shall delete from its electronic storage all copies or files relating to the same. If requested by the other Party, each Party shall provide the other Party with written certification (by an authorized officer of the Party) of compliance with the foregoing obligations. In addition, Company shall cease use of all copies of the ConnectWise Products and Marks (if applicable), return the original and all copies of the ConnectWise Products and Documentation to ConnectWise, and certify to ConnectWise in writing that all copies thereof have been destroyed and deleted from any computer libraries or storage devices and are no longer in use by Company.
Return of Property Upon Termination. Consultant agrees that on or before the termination of his/her engagement, he/she will return to the Company all originals and copies of all or any part of:
(1) Lists and sources of customers and/or vendors and suppliers;
(2) Any and all other things, equipment and written materials obtained by Consultant from the Company or any customer or vendor of the Company, including all matters covered in Paragraph 7 of this Agreement;
(3) Information Technology related information;
(4) All property of the Company, including, without limitation, keys, credit cards, manuals, records, and proprietary information of the Company, its customers and/or vendors.
Return of Property Upon Termination. Contractor or his personal representative shall deliver to Fxxxxx Mae, within 10 days of termination of this Agreement or, in the case of termination by death, within a reasonable time, all (i) work in progress under this Agreement, (ii) Fxxxxx Mxx property and (iii) materials containing or embodying Proprietary Information and Innovations. Contractor will make or retain no partial or entire copies of any of the foregoing and will destroy all computer files containing such data and materials. Fxxxxx Mae shall deliver all Contractor property to Contractor or his personal representative within 10 days of termination of this Agreement.
