Rightholder Clause Samples
The Rightholder clause defines the individual or entity that possesses the legal rights to a particular work, property, or intellectual asset covered by the agreement. This clause typically identifies the Rightholder by name or description and clarifies the scope of their rights, such as ownership, licensing, or the ability to enforce those rights. By clearly designating who holds the relevant rights, the clause ensures that all parties understand who has authority over the asset, thereby preventing disputes and ensuring proper management or transfer of rights.
Rightholder the holder of the intellectual property rights in respect of the Licensed Material that can set conditions, on an exclusive basis, for the use, duplication and distribution of Licensed Material with one or more specific brands (including trade names), or the party designated by such holder for a particular region or target group of customers that has the exclusive right to allocate the Distribution function requested by SURF to SURF.
Rightholder. Subject only to Section 7.5, prior to the transfer of the Property to T.F.M.
(i) Gécamines was the sole holder of all and any rights, titles and interest in and to the Property;
(ii) Gécamines had the right to transfer its interest in the Property to T.F.M., free and clear of any and all Encumbrances;
(iii) Gécamines held any and all authorizations necessary to proceed with Operations on the Property including without limitation all surface rights with respect to the Property and access, under conditions to be agreed upon with the providers of the services in question, to all infrastructures (water, electricity, rail, roads, airport and so forth) necessary for Operations;
(iv) There were no matters that affected the rights, title and interest of Gécamines in the Property, or that could materially impair the ability of T.F.M. to carry on Operations. Gécamines shall continue to insure that T.F.M. shall have completely free and unencumbered title and quiet enjoyment of the Property. In the event any third party claims or proves any right, title or interest in or to the Property claimed to have existed prior to entry into force of the Formation Agreement, Gécamines undertakes, at its cost, to immediately do all such acts and things necessary to completely clear the Property of such third party right, title or interest, or claim thereto, and shall at all times indemnify T.F.M. and the other Shareholders and hold them harmless from any Claims, damages, costs or liabilities in connection therewith.
Rightholder. In accordance with the provisions of this agreement, the rightholder authorizes PI:
1. To determine the conditions for the use of performance, including the remuneration amounts, to conclude contracts and issue permits in connection with the use of performances, to collect appropriate remuneration for the use of performances, to manage collected fees until their final distribution in accordance with good business practices, and to undertake all necessary measures to effectively and efficiently manage transferred economic rights;
2. To initiate in its own behalf judicial and other legal proceedings relating to the protection of performers rights, to conclude judicial and extrajudicial settlements, to agree the Arbitration jurisdictions and take other measures required for the management of transferred economic rights;
3. To conclude contracts on mutual representation with appropriate foreign entities, for the purpose of protecting the interests of the rightholders;
4. To take all necessary measures and actions to strengthen the legal and social protection of rightholders, as well as to promote the role and impact of performers in developing the national culture.
Rightholder. This is the main actor of the Registry of Orphan work and can be the rightholder itself, an agent or an organisation like the RRO. He/she needs to have the possibility to search/browse in the ROW and possibly claim the rightsownership on an orphan work. The access to the ROW to browse the catalogue is public; to claim for rights he/she needs to provide contact data. External Applications These are applications belonging to organisations external to Arrow that prefer to submit queries in the Arrow services through external systems that connect to the Arrow web service, like the library IT services that submit queries in the Arrow services via B2B to the Arrow web service.
