Sales Procedure. The Sales Representative shall at all times observe the terms and conditions of sale (including delivery periods, price, and payment terms) prescribed by Mag-Well.
Sales Procedure. Prior to the commencement of the Company’s quarterly trading window, any Partner interested in selling Shares through the Sales Program shall indicate his or her interest in writing, via e-mail, to the Chief Financial Officer, or such other employee of the Company as may be designated from time to time, stating the amount of Shares and the minimum sales price for which that Partner would be interested in selling such Shares or at the market price. After public announcement of the Company’s earnings press release, such Partner will be required to confirm, reduce, increase or decline his or her participation in the Sales Program and indicate the number of Shares, if any, such Partner is interested in selling. In the event the aggregate participation level indicated by the Partners is in excess of the internal limits established by the Company for either the affiliates and non-affiliates as a single group or as two separate groups (in each case, a “Group”), such Partners will participate pro rata based on the percentage derived by dividing the number of Shares such Partner desires to sell by the aggregate number of Shares all participating Partners in a Group desire to sell. In the event the aggregate participation level indicated by Partners who are affiliates is in excess of the time and volume limitations set forth in Rule144 (e)(1) of the Act, such Partners will participate pro rata among the affiliate Group.
Sales Procedure. A purchase and sale of a JV2 Project in accordance with this Section 14.1 shall be accomplished in accordance with the following provisions:
Sales Procedure. You will enter the data related to a Card Transaction into a terminal approved by Company at the time of each Card Transaction. You will use a sales slip or other form approved by Company to document each Card Transaction. You will deliver a complete copy of the sales slip to the Cardholder at the time of the transaction. You will retain the “merchant copy” of the sales slip for at least 3 years following the date of completion of the Card transaction. If Company requests a copy of the sales slip, you will provide it within 3 business days following the request.
Sales Procedure. 7.1 The parties agree to meet, discuss and cooperate in good faith in order to agree on and implement mutually beneficial policies and procedures with respect to the marketing, solicitation and sales of the Products, including without limitation those relating to the identification of leads and prospective customers (“Prospects”), marketing and solicitation activities, and closing of sales to Prospects. In this regard, the Marketing Manager for PSS (“Marketing Manager”) and the Vice President of Sales for Cutera shall take the lead in such discussions toward reaching mutual agreement on such details.
Sales Procedure. PURCHASER and SELLER mutually agree that the sale of the Subject Property shall be processed in accordance with SELLER’S Delinquent Tax Property Sales Procedure pursuant to T.C.A. § 67-5-2507. (See “Delinquent Tax Property Sales Procedure” attached hereto and made a part hereof)
Sales Procedure. The Debtor Company may not dispose of any part of its assets (other than the International Notes Assets) without having paid the Preferential Financing in full, or having ensured its full payment to the satisfaction of the creditor of said credit. Once the Preferential Financing has been paid, or its full payment has been secured to the satisfaction of the respective creditor, the following provisions shall apply. Prior to the Completion of the Corporate Restructuring, the sale of any business unit of Enjoy may not be carried out, with the exception of the International Notes Assets. Once the Completion of the Corporate Restructuring occurs, NewCo 2 and NewCo 3 will be able to sell their assets, subject to the following provisions:
