Delivery periods. The delivery periods shall determine the time of delivery ex works. They shall only apply approximately; they shall be extended appropriately if the Purchas- er does not fulfil his obligations. Even in case of agreed deadlines, we shall only get into default following a reminder. In case binding delivery periods and deadlines have been promised explicitly and after an appropriate period of grace has expired without results, the Purchaser may only request compensa- tion for damages on account of non-performance of the entire obligation or re- scind the entire contract if partial performance of the contract is not in his in- terest. Other claims for damages on account of non-performance or delayed performance shall be ruled out. If we are prevented from performing our obligations by unforeseen circum- stances which could not be averted despite reasonable care being exercised, the delivery period shall be extended by the duration of the obstruction. This shall also apply in case of labour unrest, disturbances in our operations or in those of our subcontractors including our carriers, disturbances caused by government measures and disturbances of traffic routes. If delivery or perfor- xxxxx is prevented due to such circumstances, we shall be exempted from our obligation to provide compensation for damage regarding our obligation to supply. If the Purchaser proves that subsequent delivery due to the delay is not in his interest, he may rescind the contract with the exclusion of further claims. Delivery call-offs and specification of individual part deliveries shall be effected over periods of time and quantities which are as uniform and timely as possible so as to ensure correct production and delivery within the contractual deadlines. If no dead- line has been stipulated for the allocation in question, three months shall be consid- ered as agreed. If call-off is not effected or specified at all or not in time, we shall be entitled to set a reasonable period of grace and, upon expiry thereof without results, rescind the contract or claim compensation for damages instead of the entire per- formance. If a period of acceptance has been fixed, we shall not be obligated to deliver upon expiry thereof.
Delivery periods. All periods for delivery of Drill Stem Products shall commence on the date on which the applicable purchase order is delivered by Buyer and shall be not less than 120 days, unless industry practice changes and shorter or longer periods become standard, in which case the delivery period shall be adjusted accordingly. Notwithstanding the foregoing, Grant Prideco shall provide for shorter delivery times if requested by Weatherford and such requested delivery periods are not shorter than those offered by Grant Prideco to its best rental tool customers for similar orders.
Delivery periods. 1. We strive to comply with delivery periods and delivery dates stated by us. Due to no express guarantee, stated delivery dates shall serve as a guideline, thus, they only have the function of providing the customer with a rough estimate of the delivery date.
2. If, in exceptional circumstances, written delivery periods and delivery date have been agreed as binding, then these are only valid, if at the time of such written promise all commercial and engineering details have been finally clarified and settled.
3. The delivery period and delivery date shall been deemed as complied with, if the delivery item has left the works by its expiry, or notification of readiness for shipment has been provided.
4. An Act of God entitles us to a reasonable extension of the period or, by our choice, to completely or partially revoke the contract, without causing claim for damages against us by the customer. Deemed as an Act of God shall be especially obstructions by official or governmental agencies, operating issues, faulty casts or other causes for quality rejection, strikes, lockouts, other such labor disputes, as well as late delivery of accessory parts, raw materials and supplies for reasons not within our control.
5. We are not obliged to comply with delivery periods in the event the Customer does not fulfill his contractual obligations to us in due time. If the Customer does not comply with his contractual obligations to cooperate, then the delivery period shall be extended by a reasonable period of time.
Delivery periods. For all contract parts, the Supplier guarantees a maximum delivery period of x calendar days. For parts for which no quantity purchase contracts are issued (individual orders), the Supplier guarantees a maximum delivery period of x calendar days. These delivery periods include in each case the transport of the goods to the place of delivery specified in the order. Irrespective of these agreed delivery periods and of specific orders or contracts placed, the Supplier shall inform Bürkert without delay if any delivery periods for relevant raw materials will be significantly prolonged. In so far as delivery dates are oriented on these delivery periods, they are binding and are to be adhered to by the Supplier. Should, in exceptional cases, delivery dates be postponed by the Supplier, the Supplier shall, unprompted and stating all relevant details, inform Bürkert within 2 days after the facts become known and state the new binding delivery date. The Supplier may only make partial deliveries following consultation with the stock disposition section at Bürkert.
Delivery periods. Global Crossing will deliver the services and capacities set out in Paragraph A below within the periods set out below. Delivery will be from acceptance of a completed order by Global Crossing.
Delivery periods. 6.1 Unless express guarantee is given in the particular terms and conditions of the Seller (pursuant to Section 1.7), the delivery periods mentioned in said particular terms and conditions shall not be strict deadlines. 6.2 A delay in delivery shall under no circumstances lead to the cancellation of the order by the Buyer.
Delivery periods. Delivery periods shall, unless otherwise agreed, not be binding. Should a delivery be delayed a reminder from the purchaser shall place the supplier in default. The purchaser shall grant an appropriate period for performance. Acts of God, manufacturing and transport delays such as strikes, lock-outs, shortages of energy or raw materials, disruption of transport or official measures, as well as any such events which may make performance non-economic for the foreseeable future shall, along with any future acts of God, even those affecting our suppliers, release us from our obligation to supply for the duration of the event and its after effects without subjecting us to any obligation to deliver at a later date. Such events shall entitle us wholly or partially to withdraw from the contract but shall not provide the purchaser with grounds for claiming damages.
Delivery periods. They are given as an indication. Possible delay do not give the right to the Customer to cancel the order, to refuse the goods or to claim damages. ELA Innovation is automatically released from any engagement of relative time and can expressly suspend it: - If agreed terms of payment would not be observed by the customer - If technical information to be provided by the customer would not be received at the appropriate time - in out of hand situations , such as: social conflicts, epidemic, war, requisition, fire, flood, important reject of sets during manufacturing, interruption or delay of transportation or other cause involving total or partial unemployment within ELA Innovation or his suppliers.
Delivery periods. The delivery periods indicated in the contractual documentation are given for informational purposes only. The delivery period begins to run only when the Seller is in possession of all information necessary for proper performance of the order, including any general specifications, plans, technical specifications, or order confirmation, and after deposit of the agreed-upon advance, if applicable. Delivery later than the indicated delivery period shall in no event give rise to a right to damages, to the withholding of payment, or to cancellation of orders in progress. In no event shall the Customer have the right to refuse the merchandise. In any event, on-time delivery can only occur if the Customer is current in its obligations. Transport time is in addition to the indicated delivery period, as the merchandise is deemed delivered as soon as it leaves the Seller’s factories. If the delivery date is pushed back at the Customer’s request, the merchandise shall be deemed delivered on the date stated in the order confirmation, and the invoice shall be sent on the initially planned date.
Delivery periods. Buyer acknowledges that delivery periods provided by Seller are estimates only and that Seller will not be liable for failure to deliver within such periods. Seller reserves the right to make deliveries in installments. Delay in delivery of one installment will not entitle Buyer to cancel any other installment(s). Delivery of any installment of products within thirty (30) days after the date requested will constitute a timely delivery. Delivery of a quantity which varies from the quantity specified shall not relieve Buyer of the obligation to accept delivery and pay for the products delivered. Any delivery period shall begin at the time Buyer has fullfilled his obligations, including but not limited to necessary information for the execution of the order and receipt of payment in case of prepaid orders.
