SCHEDULE AND TERM. Consultant shall perform the scope of work as described in Exhibit A according to the schedule detailed in Exhibit #, which is attached to this Contract and incorporated by this reference. This contract shall commence on the date written above and shall expire on DATE, unless extended by mutual agreement through the issuance of a Contract Change Order. a. Invoices submitted by Consultant to City must contain a brief description of work performed, time used and City project number. Payment shall be made within thirty (30) days of approval of invoice by City. b. Upon completion of work and acceptance by City, Consultant shall have sixty (60) days in which to submit final invoicing for payment. An extension may be granted by City upon receiving a written request thirty (30) days in advance of said time limitation. City shall have no obligation or liability to pay any invoice for work performed which Consultant fails or neglects to submit within sixty (60) days, or any extension thereof granted by the City, after work is accepted by City.

SCHEDULE AND TERM. The term of this agreement will be for a four-year term commencing upon the District's issuance of a written notice to proceed. Work Directives may be issued under this Agreement any time during the four-year term. The Contractor's performance of services shall commence for each Work Directive upon receipt of the Notice to Proceed issued by the District for the respective Work Directive and the Contractor shall complete the services within the period specified in the Work Directive. Unqork will make a commercially reasonable effort to provide the Professional Services within the T&M Estimate. Unqork will make a reasonable effort to notify Customer as soon as practicable if it appears that the T&M Estimate may be exceeded. In the event that actual costs are higher than the T&M Estimate, both parties shall negotiate in good faith based on the rates set forth in the table below and execute a written Change Order. In the event that Customer seeks to change the scope and objectives of Professional Services that impact the timing, cost, or the deliverables set forth in this SOW, Customer shall discuss such proposed changes with Unqork. If Unqork elects to perform such changes to the Professional Services, both parties shall negotiate in good faith to execute a Change Order, which will reflect the change in scope of the Professional Services, along with the revised fees payable to Unqork. Unqork shall not be obligated to perform any additional Professional Services unless both parties have executed a mutually agreed upon written Change Order...
