Scope of Services and Parties’ Obligations. The Parties agree to fulfill the following obligations for delivery of services under this Agreement: 4.1 Responsibilities of ESD112. ESD112 shall: 4.1.1 Provide 3.0 FTE BHP support for the District, not to exceed two hundred 4.1.2 Provide evaluation and supervision for BHP staff in collaboration with the District’s administrators. 4.1.3 Ensure confidentiality compliance for student data and records that are shared with BHP staff under Section 4.2 below, consistent with terms in 4.1.4 Send the District proposed amendments to this Agreement at least forty- five (45) days before the amendments take effect. 4.1.5 Invoice the District in accordance with Section 3 above. 4.2 Responsibilities of the District. The District shall: 4.2.1 Provide an enclosed, quiet space or office that will ensure confidentiality of services without interruption, a locked filing cabinet, and materials as required for BHP services. 4.2.2 Provide clerical assistance typical for District professional staff, as requested. 4.2.3 Provide student evaluation data such as GPA, absenteeism, disciplinary referrals, etc., as requested by the BHP. 4.2.4 Provide access to the school facilities for the entirety of the agreement period, September 1, 2023 through August 31, 2024, for services to be provided during the summer season. 4.2.5 Discuss any additional services that may be needed that are beyond the scope of the Agreement and execute mutually agreed upon amendments to this Agreement in accordance with Exhibit B, Section 3. 4.2.6 Pay ESD112 in accordance with Section 3 above.

  • Parties Obligations The Parties’ obligations under this Agreement will continue notwithstanding the existence of a Material Change.

  • Parties to Perform Obligations 16.4.1 Notwithstanding the existence of any Dispute and difference referred to the Appropriate Commission and save as the Appropriate Commission may otherwise direct by a final or interim order, the Parties hereto shall continue to perform their respective obligations (which are not in dispute) under this Agreement.

  • Scope of Services The specific scope of work for each job shall be determined in advance and in writing between TIPS Member, Member’s design professionals and Vendor. It is permitted for the TIPS Member to provide a general scope description, but the awarded vendor should provide a written scope of work, and if applicable, according to the TIPS Member’s design Professional as part of the proposal. Once the scope of the job is agreed to, the TIPS Member will issue a PO and/or an Agreement or Contract with the Job Order Contract Proposal referenced or as an attachment along with bond and any other special provisions agreed by the TIPS Member. If special terms and conditions other than those covered within this solicitation and awarded Agreements are required, they will be attached to the PO and/or an Agreement or Contract and shall take precedence over those in this base TIPS Vendor Agreement.

  • Scope of Services and Term Subject to the provisions for early termination as set forth herein, the Contractor agrees that it will perform the Services enumerated in the scope of services attached hereto as Exhibit A and incorporated herein by reference (the “Scope of Services”) for a term of beginning , 2024 through , 2027 (the “Term”).
