Seagoing Field Duties. (a) Technical Officers and Technical Assistants engaged in duties at sea on a seagoing vessel but not involving an overnight stay shall be paid a rate of 38% for each day spent at sea. (b) Technical Officers and Technical Assistants engaged in duties at sea involving an overnight stay on a seagoing vessel shall be paid a rate of 45% for each day involving an overnight stay; provided that i) the day of the return from the trip, which does not involve an overnight stay, shall be paid at the rate as prescribed in subclause 14.5 (a) of this clause. ii) there shall be no entitlement to claim Hard Living Allowance as prescribed in Clause 52(3) - Seagoing Allowance of the Public Service Award (1992). (c) For the purposes of seagoing field duties, where practicable, Employees shall not be required to be on duty for greater than 10 hours per day, averaged over a financial year. (d) The Director Research or an approved delegate may approve the payment of an allowance under 14.5 (a) to Employees performing duties at sea on a vessel other than a seagoing vessel. Prior approval must be sought, and will only be provided where it can be shown that it is more efficient, cost effective or otherwise necessary due to external requirements for Employees to be on duty for an average of 10 hours per day over the course of a trip. (e) The Director Research may also approve the payment of an allowance under 14.5 (a) for each day where a seagoing vessel works directly alongside a non seagoing vessel, and the crew of both vessels are required to be on duty for 10 hours or more on that day. (f) At the completion of 12 months or upon transfer, termination or resignation, Employees shall add the number of seagoing hours on duty and divide the total by the number of seagoing field days worked to calculate the average time on duty at sea. Where the average seagoing hours are greater than 10 hours, the difference (at a rate of time and one half) will be multiplied by the number of seagoing field days undertaken in the 12 months and recorded as time off in lieu. (g) Where an Employee gains prior approval from their Research Scientist or Research Supervisor to work an ‘Extensive Day’ at sea, the time in addition to the 11 hours on duty shall be considered as additional hours and recorded as time in lieu at a rate of time and one half.   • Retained Duties With respect to all Appointments, the Sellers shall continue to perform the Retained Duties in accordance with the terms of the applicable Corporate Trust Contracts and this Agreement and in compliance with applicable Law. The Purchasers shall pay to the Sellers compensation for the Retained Duties on commercial terms that are reasonably agreed between the Purchasers and the Sellers. The parties agree that the Sellers shall not receive any compensation with respect to any Retained Duties described in clause (c) of the definition thereof.

  • Position; Duties (a) The Executive shall serve as the President of the Company under this Agreement during the Employment Term. As President of the Company, the Executive shall have such duties, authorities and responsibilities commensurate with the duties, authorities and responsibilities of persons in similar capacities in similarly sized companies and such other duties and responsibilities as the CEO of Kaman or the Company’s Board of Directors (the “Sub Board”) shall designate that are consistent with the Executive’s position as President of the Company. (b) During the Employment Term, the Executive shall use the Executive’s best reasonable efforts to perform faithfully and efficiently the duties and responsibilities assigned to the Executive hereunder (including applicable obligations under state law) and devote substantially all of the Executive’s business time (excluding periods of vacation and other approved leaves of absence) to the performance of the Executive’s duties with the Company, provided the foregoing shall not prevent the Executive from (i) participating in charitable, civic, educational, professional, community or industry affairs or, with prior written approval of the Sub Board, serving on the board of directors or advisory boards of other companies; and (ii) managing the Executive’s and the Executive’s family’s personal investments so long as such activities do not materially interfere with the performance of the Executive’s duties hereunder or create a potential business conflict or the appearance thereof. If at any time service on any board of directors or advisory board would, in the good faith judgment of the Sub Board, conflict with the Executive’s fiduciary duty to the Company or create any appearance thereof, the Executive shall promptly resign from such other board of directors or advisory board after written notice of the conflict is received from the Sub Board. (c) The Executive further agrees to serve without additional compensation as an officer and director of any of the Company’s subsidiaries and agrees that any amounts received from any such corporation may be offset against the amounts due hereunder.

  • Services and Duties As Administrator, and subject to the supervision and control of the Trustees of each Trust, EIS will hereafter provide facilities, equipment and personnel to carry out the following administrative services for operation of the business and affairs of each Trust and each of its series: (a) Prepare, file and maintain each Trust’s governing documents, including the Declaration of Trust (which has previously been prepared and filed), the By laws, minutes of meetings of Trustees and shareholders, and proxy statements for meetings of shareholders; (b) Prepare and file with the Securities and Exchange Commission and the appropriate state securities authorities the registration statements for each Trust and each Trust’s shares and all amendments thereto, reports to regulatory authorities and shareholders, prospectuses, proxy statements, and such other documents as may be necessary or convenient to enable the Trust to make a continuous offering of its shares; (c) Prepare, negotiate and administer contracts on behalf of each Trust with, among others, each Trust’s distributor, and custodian and transfer agent; (d) Supervise each Trust’s fund accounting agent in the maintenance of each Trust's general ledger and in the preparation of each Trust's financial statements, including oversight of expense accruals and payments and the determination of the net asset value of each Trust's assets and of each Trust’s shares, and of the declaration and payment of dividends and other distributions to shareholders; (e) Calculate performance data of each Trust for dissemination to information services covering the investment company industry; (f) Prepare and file each Trust's tax returns; (g) Examine and review the operations of each Trust's custodian and transfer agent; (h) Coordinate the layout and printing of publicly disseminated prospectuses and reports; (i) Prepare various shareholder reports; (j) Assist with the design, development and operation of new series of each Trust; (k) Coordinate shareholder meetings; (l) Provide general compliance services; and (m) Advise each Trust and its Trustees on matters concerning the Trust and its affairs. The foregoing, along with any additional services that EIS shall agree in writing to perform for each Trust hereunder, shall hereafter be referred to as "Administrative Services." Administrative Services shall not include any duties, functions, or services to be performed for each Trust by such Trust’s investment adviser, distributor, custodian or transfer agent pursuant to their agreements with such Trust.

  • Licensee Responsibilities Licensee is responsible for Licensee’s Users’ compliance with this Agreement. Licensee is responsible for all of Licensee’s uses and accounts. Licensee will be responsible for maintaining the security of Licensee’s accounts, passwords and files. Licensee and Users cannot share Licensee’s accounts or passwords or allow any third party to use Licensee’s accounts or passwords. Licensee will exercise reasonable precautions to prevent unauthorized use of the Software.

  • Extra Duties The Trustee shall be entitled to refuse to approve any Substituted Obligor if, pursuant to the law of the jurisdiction of incorporation of the Substituted Obligor, the assumption by the Substituted Obligor of its obligations hereunder imposes responsibilities on the Trustee over and above those which have been assumed under this Trust Deed.

  • Exclusive Nature of Duties The Distributor shall be each Fund's exclusive representative to act as principal underwriter and distributor of its Shares, except that: (a) Each Fund may, upon written notice to the Distributor, from time to time designate other principal underwriters and distributors of Shares with respect to areas other than the United States as to which the Distributor may have expressly waived in writing its right to act as such. If such designation is deemed exclusive, the right of the Distributor under this Agreement to sell Shares in the areas so designated shall terminate, but this Agreement shall remain otherwise in full effect until terminated in accordance with the other provisions hereof. (b) The exclusive rights granted to the Distributor to purchase Shares from each Fund shall not apply to Shares issued in connection with the merger or consolidation of any other investment company or personal holding company with a Fund or a Fund's acquisition by purchase or otherwise of all (or substantially all) the assets or the outstanding Shares of any such company. (c) Such exclusive rights also shall not apply to Shares issued by a Fund pursuant to reinvestment of dividends or capital gains distributions. (d) Such exclusive rights also shall not apply to Shares of any class issued by a Fund pursuant to any conversion, exchange or reinstatement privilege afforded redeeming shareholders or to any other Shares as shall be agreed between the Fund and the Distributor from time to time.
