Service Agent. If you are not a UK entity, you authorise and appoint the individual or entity specified in paragraph 9 of the statement of work to accept on your behalf service of all legal process arising out of or in connection with any proceedings before the English courts in connection with this agreement. You also agree to maintain the appointment for service of process in England for so long as any amount is outstanding or services are unperformed under this agreement. Notwithstanding this, we may also serve all legal process in connection with this agreement directly upon you
Service Agent. The Generator or Offtaker (as applicable) irrevocably appoints the Generator Service Agent or Offtaker Service Agent (as applicable, and, in each case, a Service Agent) to be its agent for the receipt of Service Documents, and Service Documents may be effectively served on it in England and Wales by service on the relevant Service Agent effected in any manner permitted by the Civil Procedure Rules.
Service Agent. Responsible for the preparation, inspection and fleet check of vehicles, the local movement of vehicles, other related functions including assistance to renters and other tasks as may be assigned.

Such services shall include the following: establishing and maintaining shareholder accounts; processing purchase and redemption transactions; arranging for bank wires; performing shareholder subaccounting; answering client inquiries regarding the Funds and Classes; assisting clients in establishing and changing dividend options, account designations and addresses; providing periodic statements showing the client's account balance; transmitting proxy statements, periodic reports, updated prospectuses and other communications to shareholders and, with respect to meetings of shareholders, collecting, tabulating and forwarding to the Trust executed proxies; and obtaining such other information and performing such other services as the Trust may reasonably request and agree upon with Bankers, but in each case only to the extent permitted by applicable statute, rule or regulation. Bankers shall provide such personnel and facilities as are necessary to render the foregoing services, shall comply with all legal requirements relating to it, including, without limitation, any requirement to provide Trust materials to shareholders. In addition to the above services, Bankers shall provide each shareholder with confirmations of purchases, redemptions or exchanges of shares of the Trust. Bankers agrees to furnish to the Trust all such records to the extent required by regulatory authorities having jurisdiction over the Trust or to the extent necessary due to lawful process upon the Trust. Bankers acknowledges and agrees that, in performing the foregoing duties, no person is authorized to make any representation concerning the Trust other than such representations as are contained in the current Prospectuses, Statements of Additional Information and printed information subsequently issued by the Trust as information supplemental to such Prospectuses and/or Statements of Additional Information.
Service Agent. CV hereby irrevocably authorises and appoints CooperVision Limited of Aspect House, Xxxxxx Xxxx, Xxxxxx, Xxxxxxxxx XX00 0XX as its agent for service of proceedings in relation to any matter arising out of or in connection with this Agreement and service on such service agent shall be deemed to be service on CV.

Service Agent. The Fund shall designate and appoint an agent in New Jersey to receive service and process on behalf of the Fund.
Service Agent. Each Member hereby authorizes the Board to designate a service agent for the Pool and its Members, individually and collectively, subject to its continued approval as a service agent by the Commission. The service agent shall calculate all annual contributions due from the members, pay all approved items of expense as directed by the Board, service claims under the Pool against Members, give a monthly account of all monies so handled, and undertake all other duties set forth in the agreement employing service agent. For handling the administrative and servicing functions of the Pool, the service agent shall receive such fee as shall be agreed upon by the Board which shall be in consideration of all services and expenses contracted for with the Pool which services or expenses may include counseling with the Board as to safety procedures, claims handling and investigations, and providing for reinsurance or excess insurance coverage. The service agent's books and records are to be open to inspection by the Board or its agents or designees at all reasonable times. The Board, in its sole discretion, may at any time select a substitute service agent.
