Service Term Extension. 6.3.1 If the Recipient wishes to continue to receive a Service after the expiry of the relevant Service Term (or any period previously specified by the Recipient in accordance with this Section) owing to the material fault of the Provider pursuant to Section 4.1.3, it must give, together with an explanation as to why such extension is attributable to the material fault of the Provider, notice to specify the period for which the Recipient wishes to continue to receive the Service; provided, however, that such extension period shall not extend beyond December 31, 2016. 6.3.2 Promptly upon receipt of such notice, the relevant Provider shall indicate if it: (i) agrees, in which case the Service Term shall be extended until the Revised Migration Date; or (ii) disagrees, as to either the degree of fault attributed to it or the period for which the relevant Service should be extended, in which case such dispute shall be resolved pursuant to Section 11.
Service Term Extension. Notwithstanding anything to the contrary in this TSA, or the Service Schedules, in no event shall Service Provider or any of its Affiliates have any obligation to provide any Services beyond the Agreement Term. Subject to the foregoing, Service Recipient may upon written notice of no less than sixty (60) days (or, solely with respect to Services with initial Service Terms that are three (3) months or less, thirty (30) days) prior to the end of the then-current Service Term request an extension of such Service Term. Upon receipt of a timely request for the extension of a Service Term in accordance with this Section 5.2, solely for any Service which is not designated as “Non-extendable” in the Service Schedules, the applicable Service Term shall be extended for a single extension period of three (3) months or such shorter period set forth in such request; provided that (a) as set forth on the Service Schedules, a surcharge shall be added to the Fees payable by Service Recipient for such extended Service, (b) any consents required in connection with extending a Service shall be sought by Service Provider in accordance with this TSA and (c) if Service Recipient requests to extend a Service that is interdependent with other Services, as indicated in the Service Schedule for such Service (any Services so indicated in their respective Service Schedules as being interdependent, “Bundled Services”), then Service Recipient must also extend such interdependent Services, to the extent necessary.

Upon receipt of a timely request for the extension of a Service Term in accordance with this Section 5.2, solely for any Service which is not designated as “Non-extendable” in the Service Schedules, where (i) the initial Service Term is ten (10) months or less, the applicable Service Term shall be extended for an extension period of a minimum of two (2) months and the applicable Service Term shall not extend beyond the date that is twelve (12) months after the Effective Date, and (ii) the initial Service Term is greater than ten (10) months, the applicable Service Term shall be extended for an extension period of a minimum of two (2) months and the applicable Service Term shall not extend beyond the date that is fifteen (15) months after the Effective Date; provided that (a) as set forth on the Service Schedules, a surcharge shall be added to the Fees payable by Service Recipient for such extended Service, (b) any consents required in connection with extending a Service shall be sought by Service Provider in accordance with this TSA, (c) if Service Recipient requests to extend a Service that is interdependent with other Services, as indicated in the Service Schedule for such Service (any Services so indicated in their respective Service Schedules as being interdependent, “Bundled Services”), then Service Recipient must also extend such interdependent Services, to the extent necessary, and (d) there shall be no right to extend the Service Term for any Services for less than an additional two (2) months or to extend the Service Term beyond the date that is either twelve (12) or fifteen (15) months after the Effective Date (as applicable in accordance with (i) and (ii), above).
Service Term Extension. Not later than May 31, 2006, Customer may notify PanAmSat of its desire to extend the Service Term to the end of life of the Satellite. In this event, PanAmSat and Customer shall negotiate in good faith to establish the monthly Service Fee for an extended Service Term, which fee shall not be increased by a percentage that is greater than that which is equal to the increase in the CPI (as defined below) from the Initial Service Date to the month and year in which an extended Service Term commences. Unless otherwise agreed in writing, all other provisions of this Agreement shall apply during such extended Term. The "CPI" means the Consumer Price Index now known as the United States Bureau of Labor Statistics Consumer Price Index for Urban Wage Earners and Clerical Workers, All Items, for All Urban Consumers. If such CPI shall be discontinued, the foregoing calculations shall be made using a reasonably equivalent successor or comparable measure of increases in the cost of living in the United States. If Customer does not agree to such CPI increase The information below, marked with [*], is being filed pursuant to a request for confidential treatment. and PanAmSat and Customer do not agree upon another monthly Service Fee for the extended Service Term, within ninety (90) days of Customer's notice of its desire to extend, neither party shall have any obligation to the other with respect to the provision of Service from the Satellite beyond the end of the initial Service Term.

  • Patent Term Extension The Parties will cooperate in selecting a patent within the Patent Rights to seek a term extension for or supplementary protection certificate under in accordance with the applicable laws of any country. Each Party agrees to execute any documents and to take any additional actions as the other Party may reasonably request in connection therewith.

  • Patent Term Extensions The Parties shall use reasonable efforts to obtain all available supplementary protection certificates, patent term restorations, and other extensions (collectively, “Extensions”) of the Acceleron Patent Rights and Joint Patent Rights (including those available under the Xxxxx-Xxxxxx Act). Each Party shall execute such authorizations and other documents and take such other actions as may be reasonably requested by the other Party to obtain such Extensions. The Parties shall cooperate with each other in gaining Extensions wherever applicable to Acceleron Patent Rights or Joint Patent Rights. The holder of the applicable NDA may determine what Extensions of any such Patent Rights shall be made; provided that, if in any country such holder has an option to extend the patent term for only one of several patents, the first Party shall consult with the other Party before making the election. If more than one patent is eligible for such an Extension, the Parties shall select in good faith a strategy that shall maximize patent protection and commercial value for each Licensed Product. All filings for such Extensions, as determined by the holder of the applicable NDA, shall be made by the Party to whom responsibility for Prosecution of the Acceleron Patent Rights or Joint Patent Rights are assigned, and the owner of record of the applicable Patent Right shall assist with such filings; provided that, in the event that the Party to whom such responsibility is assigned elects not to file for an Extension, such Party shall (a) inform the other Party of its intention not to file, (b) grant the other Party the right to file for such Extension in the Patent Rights’ owner’s name, and (c) provide all necessary assistance in connection therewith. The Parties acknowledge and agree that (i) pursuant to the Shire Agreement, Shire and Acceleron will consult in selecting Patent Rights to extend the patent term with respect to “Licensed Products” under the Shire Agreement, and Shire shall make the decision in all countries of the world other than those of North America with respect to such “Licensed Products” under the Shire Agreement, and the filings for Extensions with respect thereto will be made by the party who is responsible for Prosecuting Patent Rights under the Shire Agreement, and, as such, Celgene’s rights under this Section 8.9 are subject to Shire’s prior rights; and (ii) Acceleron shall keep Celgene informed of all elections with respect to Extensions made pursuant to the Shire Agreement that affect Acceleron Patent Rights, and, to the extent that Shire is making any such elections, Acceleron shall use commercially reasonable efforts to cause Shire to take the actions specified by this Section 8.9 in a manner consistent with the Shire Agreement; provided that Acceleron will not be in breach of its obligations under this Section 8.9 if, after using such commercially reasonable efforts, it is unable to comply with such obligations because of actions taken or not taken by Shire.

  • Term Extension It is understood and agreed that the State may extend the Term an additional period of time, not to exceed one hundred-eighty (180) days beyond the expiration date of this Grant Contract, under the same terms and conditions. In no event, however, shall the maximum Term, including all extensions or renewals, exceed a total of sixty (60) months.
