Interdependent Services. In the event that Purchaser desires to terminate this Agreement in respect of a Service, then to the extent that (i) Seller’s ability to provide (or cause to be provided) a Service is dependent on the continuation by Purchaser of another Service (including continuation of access to the facility), to the extent either expressly provided in Schedule 1 by way of reference to bundling of related Services, or such interdependence is reasonably likely given the nature of the Service to be terminated, as reasonably substantiated by Seller, then Purchaser shall not be entitled to terminate or reduce part of the scope or amount of, any such Service unless, concurrently therewith, Purchaser also terminates or reduces all such other interdependent Services or Purchaser agrees in writing to pay the cost for all such interdependent Services (including the Service that Purchaser seeks to terminate), and (ii) Seller informs Purchaser that Seller’s actual cost of providing any other Service would be increased by such termination or reduction, then Purchaser shall not be entitled to terminate or reduce part of the scope or amount of, any such Services unless, concurrently therewith, Purchaser agrees to such increased costs and expenses for such other Services.

Interdependent Services. If Service Recipient delivers a Service Termination Request to Service Provider with respect to any Service pursuant to Section 13.2 and Service Provider reasonably determines that such Early Terminated Service is interdependent with a different Service or several other Services provided by Service Provider under this Agreement (each such Service, an “Interdependent Service”), Service Provider will deliver written notice to Service Recipient within fifteen (15) days following Service Provider’s receipt of such Service Termination Request specifying which other Services are Interdependent Services that would automatically terminate upon the termination of the applicable Early Terminated Service (an “Interdependent Services Analysis”). Within ten (10) days following Service Recipient’s receipt of an Interdependent Services Analysis, Service Recipient will notify Service Provider in writing whether it desires to withdraw the applicable Service Termination Request or that it still desires to terminate the Early Terminated Service notwithstanding the concurrent automatic termination of each Interdependent Service, and if Service Recipient elects to terminate the Early Terminated Service or does not deliver written notice to Service Provider within such ten (10) day period indicating whether or not it elects to terminate the Early Terminated Service, such Early Terminated Service and each Interdependent Service identified in the Interdependent Services Analysis shall automatically terminate effective as of the desired effective date of termination of the Early Terminated Service specified in the applicable Service Termination Request, and in such case Service Recipient shall be responsible for paying all Termination Charges in respect of the Early Terminated Service and each Interdependent Service pursuant to Section 13.3. Service Recipient shall be responsible for the payment of all reasonable and documented third party costs incurred by Service Provider in preparing an Interdependent Services Analysis.
Interdependent Services. Notwithstanding anything in Section 4.2 to the contrary, to the extent the provision of any Service is interdependent on the provision of any other Service or the termination of any Service without the termination of any other Service would result in undue cost or burden on Xxxxx Xxxxxx (as determined in good faith by Xxxxx Xxxxxx), such Services must be terminated concurrently.
Interdependent Services. If a Service is terminated for any reason, including pursuant to Article 5 (Termination), which Pioneer reasonably determines to be interdependent with a different Service under this Agreement (each, an "Interdependent Service"), and such termination causes Pioneer's cost of providing an Interdependent Service to increase, Pioneer is excused from providing such Interdependent Service unless S&W agrees to pay the revised fees and Expenses for such Interdependent Service as established in accordance with the Cost Principles. Within thirty (30) days following Pioneer's receipt of a notice of termination of a Service, Pioneer will advise S&W which other Services, if any, are Interdependent Services and the revised fees and Expenses for continuation of such Interdependent Services. S&W shall notify Pioneer within ten (10) days of receipt of an Interdependent Services determination from Pioneer whether (i) S&W agrees to the revised fees and Expenses of any Interdependent Service(s), or (ii) such Interdependent Service(s) should be terminated. Unless S&W agrees to pay the revised fees and Expenses under (i), Pioneer shall have no obligation to provide such Interdependent Service(s) as of the date that the corresponding Service is terminated. Notwithstanding anything to the foregoing to the contrary, S&W shall not be relieved from its obligation to comply with the Required Notice Period set forth in any SLA for any Service or Interdependent Service.
Interdependent Services. Services which the specified service will require access to routinely, for care provided during the period of the pathway described in this specification, but for which there is no absolute requirement for these services to be physically co- located on the same healthcare delivery site are: • positron emission tomography - computed tomography (PET-CT) scanning facilities and other complex imaging services • Histopathology The service forms part of a pathway of care provided in a number of settings by different providers. The service will need to maintain excellent communication with other agencies and services providing care to the patient including their General Practitioner and secondary care Cancer Centre who will be responsible for the longer-term follow-up of patients treated by this service. This service is MDT based and relies on many specialities working together both in the primary (referring) MDT and the ERC MDT. It involves travel and possible treatment away from home which may need input from social services.

  • Student Services a. High school students in dual credit courses will be given access to the College library, accorded appropriate privileges, and have adequate library resources convenient for use at the site where the course is offered. b. High school students in dual credit courses will be provided the academic support services, including academic advising and counseling, as those on the college campus. c. Prior to the start of each academic year, the High School and College shall collaborate on the development and communication of procedures for the provision of accommodations for students with disabilities enrolled in Dual Credit courses (“Established Procedures”). High School and College shall provide disability services in accordance with Established Procedures and applicable law. d. If a student is enrolled simultaneously in College and in high school in a dual credit program, the two schools may share information regarding the student, in accordance with FERPA. e. All other services provided to regular Dallas College students will also be provided to high school students enrolled in dual credit courses in accordance with applicable law and Dallas College policies.

  • Outpatient Services Physicians, Urgent Care Centers and other Outpatient Providers located outside the BlueCard® service area will typically require You to pay in full at the time of service. You must submit a Claim to obtain reimbursement for Covered Services.
