Services Engagement. (a) Effective as of immediately following the Closing, the Buyer hereby engages the Company as an independent contractor to provide to the Buyer, for use in connection with the transition of services in connection with the sale of all or substantially all of the assets of the Company pursuant to, and in accordance with, the Purchase Agreement, the transition services described on Schedule A and any amended or additional services (including with respect to the scope and duration of such services) that are agreed to in writing by the Company and the Buyer from time to time hereafter, (collectively, the “Services” and each, individually, a “Service”) during the Services Period (as defined below), upon the terms and subject to the conditions set forth herein and on Schedule A.
Services Engagement. Café Wakefern provides dog boarding, dog daycare, pick-up and drop- off services related to such boarding and day care, and other services as described in this Section 1 (collectively, the “Services”). Parent hereby engages Café Wakefern to provide the Services for Parent and Parent’s dog, which is more fully identified on Schedule A attached hereto and incorporated herein (the “Dog”), from time to time, and Café Wakefern agrees to be so engaged, on the terms and conditions of this Agreement. The Services may include, upon request by Parent and for a fee, a bath for the Dog while the Dog is at the Premises (defined below) for purposes of boarding or day care. Café Wakefern may also, without notice to Parent and for no charge, give the Dog a bath if the Dog becomes dirty during its stay at the Premises or Café Wakefern determines, in its sole discretion, that a bath is necessary. Café Wakefern may provide other grooming services for the Dog for a fee and upon mutual agreement of Café Wakefern and Parent. Café Wakefern will also perform nail clippings for the Dog upon request by Parent and for an additional fee. Café Wakfern may take the Dog for a walk, at no additional charge to Parent. Café Wakefern agrees to exercise reasonable care for the Dog during its stay and, if applicable, during transport. As used herein, “boarding” means the Dog will stay at the Premises overnight (whether over one night or multiple nights), and “day care” means the Dog will be at the Premises during one day and does not stay at the Premises overnight.
Services Engagement. Drexel engages LSP to provide services for the engagement described below (collectively, “Services”). These Services are intended to be limited in terms of time for performance and/or scope. Additional details may be provided in Exhibit A hereto, which is fully incorporated herein by reference. Description of Engagement/Services: If applicable, place of engagement/performance of Services if other than Drexel-owned property: (the “Premises”) NOTE: If the Services will be performed at a location not owned by Drexel, LSP also shall comply with any and all requirements of such location that are applicable to LSP. Services Engagement. 1.1 AMIC hereby engages IHC and IHC hereby agrees to perform the Services in accordance with the terms and subject to the conditions contained in this Agreement.
Services Engagement. 2. The Company hereby appoints Advisor as a member of its Advisory Board. Advisor, pursuant to the provisions of this Agreement, agrees to serve as a member of the Company’s Advisory Board.
Services Engagement. In exchange for the fee paid by Pet Owner, Xxxx’s Backyard & Friends shall provide any or all of the following services: dog boarding, bathing, play time and other related services (the “Services”). Pet Owner hereby agrees to pay the rate for Service in effect at the time Pet is checked into the Kennel. (Pet Owner initials)
Services Engagement. In exchange for the fee paid by Pet Owner, the Company shall provide pet lodging, pet day care, pet bathing, training, transportation, and other related services (the “Services”). Pet Owner hereby agrees to engage the Company to provide the Services for his or her pet or pets (collectively, the “Pet”) as set forth in this Agreement and in any supplemental pet information or reservation forms provided in connection with this Agreement by the Company.
Services Engagement. Sponsor desires to engage the Company, and Company desires to accept Sponsors’ engagement, in and for the provision of its Services, pursuant to the Statement of Work (“SOW”) attached hereto and incorporated by reference as Exhibit “A” (collectively “Business Services”).
Services Engagement. The Company hereby retains Consultant as an independent contractor, and Consultant hereby accepts such retention, to perform services for the Company as set forth herein.
