Shared Personnel. The Payment Amount will include a prorata share of all Personnel Costs of Shared Personnel, as determined by CVR on a commercially reasonable basis, based on the percent of total working time that such Shared Personnel are engaged in performing any of the Services.

Shared Personnel. During the term of this MOU, the Parties shall coordinate with each other for shared personnel (“Shared Personnel”) to perform the educational services described in Attachment A (the “Services”) under the terms and conditions set forth herein. All shared personnel shall be documented between the Lessor and Lessee Schools, as defined herein, pursuant to Attachment B as outlined in a written process to be mutually agreed upon between the parties. No third party shall have the authority to unilaterally impose the sharing of personnel between the Parties.

Shared Personnel. It is understood that certain of the senior management of ACTV may provide services to the Company from time-to-time. In order to reimburse ACTV for the foregoing, the Company will pay to ACTV for each month in which it is using such senior management, a charge equal to the Company's pro rata share of the aggregate costs actually incurred by ACTV in connection therewith and the provision of such services.
