Shipping Dates. Shipping dates quoted represent a reasonable estimate of the time required for manufacturing at the time of order acceptance or quotation. These dates will not be construed as promises or contractual agreements to ship or deliver goods unless specifically agreed to in writing.

Palm will promptly notify OEM Partner if any order or part of an order cannot be filled or if there will be any delays in delivery. If Palm fails to ship on the scheduled ship date, OEM Partner may reschedule without charge.

MTS shall have no obligation to ship any Product unless and until MTS has received payment of the applicable invoiced amount from Customer.
Shipping Dates. 4.1 NeoPhotonics will use commercially reasonable efforts to meet any shipping date(s) indicated in the quotation; provided however, that NeoPhotonics will not be liable under any circumstances for its failure to meet such shipping date(s). Any shipping dates provided by NeoPhotonics to Buyer are best estimates only.
Shipping Dates. All quoted shipping schedules are approximate and will depend upon prompt receipt from Buyer of any drawings and other information necessary for the design and manufacture of the Equipment by Despatch. Delay time in return of approved drawings will extend the proposed shipping date(s). Seller shall not be liable for failure to meet shipping schedules, including, without limitation any penalty or liquidated damages claim, unless such timely delivery of the Products is specifically agreed to in writing by an officer of Seller. If Buyer delays shipment sixty (60) days or more beyond Despatch’s proposed shipping date, the purchase price is subject to adjustment at the time of shipment for any increase in labor, material or storage costs of Despatch occurred during any such period of delay. On the date Despatch is notified of delay, Buyer may be billed for work in progress, including engineering, fabrication and equipment, and components purchased from Despatch’s suppliers.

Seller shall be excused from performance and shall not be liable for any delay in delivery or nondelivery, in whole or in part, caused by the occurrence of any contingency beyond the reasonable control of Seller, including but not limited to, war (whether an actual declaration thereof is made), sabotage, or other act of civil disobedience, judicial action, labor dispute, accident, earthquakes, defaults of suppliers, fire, act of God, shortage of labor, fuel, raw material or machinery or technical or yield failures where Seller has exercised ordinary care in the prevention thereof. Seller may at its sole discretion allocate production and delivery among Seller's customers.
