Sublessee's Representations and Warranties. Sublessee represents and warrants to Sublessor as of execution of this Agreement and each other Transaction Document, and as of the Delivery Date each of the following representations and warranties.
(i) Corporate Status: Sublessee is a corporation duly incorporated, validly existing and in good standing under the laws of the State of Incorporation and has the corporate power and authority to carry on its business as presently conducted and to perform its obligations hereunder.
Sublessee's Representations and Warranties. Sublessee represents and warrants that (i) Sublessee is a corporation existing and in good standing under the laws of the State of Delaware, and Sublessee is duly authorized to enter into this Sublease; (ii) the officer executing this Sublease on behalf of Sublessee is duly authorized to do so and to bind the Sublessee hereto; and (iii) Sublessee shall provide Sublessor, upon request, with financial information on Sublessee and any guarantor of Sublessee’s obligation hereunder reasonably satisfactory to Sublessor.
Sublessee's Representations and Warranties. Sublessee represents and warrants that, during the Term or any extension thereof, or for such longer period as may be specified herein, Sublessee shall comply with the following provisions unless otherwise specifically approved in writing by County:
a. Sublessee shall not cause or permit any Hazardous Materials to be brought, kept or used in or about the Premises by Sublessee, its agents, employees, assignees, contractors or invitees, except as required by Sublessee's permitted use of the Premises, as described in Section 5.1, "Permitted Uses."
b. Any handling, transportation, storage, treatment or usage by Sublessee of Hazardous Materials that is to occur on the Premises following the Commencement Date shall be in compliance with all applicable Hazardous Materials Laws.
c. Any leaks, spills, release, discharge, or emission of Hazardous Materials caused by Sublessee, or disposal of Hazardous Materials owned by Sublessee, which may occur on the Premises during the Term shall be promptly and thoroughly cleaned and removed from the Premises by Sublessee at its sole expense, and any such discharge shall be promptly reported in writing to County, and to any other appropriate governmental regulatory authorities.
d. No friable asbestos shall be constructed, placed on, deposited, stored, disposed of, or located by Sublessee in the Premises.
e. No underground improvements, including but not limited to treatment or storage tanks, or water, gas or oil xxxxx shall be located by Sublessee on the Premises without County's prior written consent.
f. Sublessee shall conduct and complete all investigations, studies, sampling, and testing procedures and all remedial, removal, and other actions necessary to clean up and remove all Hazardous Materials on, from, or affecting the Premises in accordance with all applicable Hazardous Materials' Laws and to the satisfaction of County.
g. Activities proposed by Sublessee that involve disturbing asbestos materials on site shall only be conducted in accordance with all federal, state and local asbestos rules and regulations including, but not limited to, the California Occupational Safety and Health Administration (Cal/OSHA), Environmental Protection Agency (EPA) and Air Pollution Control District (APCD), with prior written consent of the County, as follows: Prior to conducting asbestos related activities, Sublessee shall notify County of the proposed work at least one month in advance. Sublessee's Representations and Warranties. Sublessee represents and warrants as follows, as of the Effective Date and as of the Delivery Date.
Sublessee's Representations and Warranties. Sublessee covenants, warrants and represents that:
(a) Sublessee is a Delaware corporation duly organized, validly existing and in good standing under the laws of the State of Delaware;
(b) Sublessee has all requisite corporate power and authority to execute, deliver and perform its obligations under this Sublease, and the execution, delivery and performance of this Sublease by the Sublessee, and the consummation of all transactions contemplated hereby, have been duly authorized by all necessary corporate action of Sublessee and will not violate any laws or governmental or court regulations or orders or any agreements of which Sublessee is a party or is subject or by which it is otherwise bound;
(c) Sublessee shall perform all of its obligations under this Sublease (including, without limitation, all of the obligations arising under the Lease which are incorporated herein by reference);
(d) that Sublessee will not do or omit to do anything which would constitute a default under the provisions of the Lease incorporated herein by reference; and
Sublessee's Representations and Warranties. As an inducement to Sublessor to enter the Sublease, to Sublessee's actual current knowledge, Sublessee represents and warrants with respect to the Sublease Premises that:
(a) There are no pending or threatened actions, suits or proceedings before any court or administrative agency against Sublessee or third parties which could, in the aggregate, adversely affect the Sublease Premises or any part thereof or the ability of Sublessee to perform its obligations under the Sublease, and Sublessee is not aware of any facts which might result in any such actions, suits or proceedings.
Sublessee's Representations and Warranties. Sublessee represents and warrants to Sublessor that each of the persons executing this Sublease on behalf of Sublessee has full power and authority to execute this Sublease and to bind Sublessee, and upon their execution, this Sublease shall constitute a valid and binding obligation upon Sublessee.
Sublessee's Representations and Warranties. Sublessee represents and warrants that:
(a) Sublessee is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware and is qualified under the laws of the State of New Jersey to do business in New Jersey;
(b) Sublessee has all requisite corporate power and authority to execute, deliver and perform its obligations under this Sublease, and the execution, delivery and performance of this Sublease by Sublessee, and the consummation of all transactions contemplated hereby, have been duly authorized by all necessary corporate action of Sublessee and will not violate any laws or governmental or court regulations or orders or any agreements of which Sublessee is a party or is subject or by which it is otherwise bound;
(c) This Sublease constitutes the legal, valid and binding obligation of Sublessee, enforceable against the Sublessee in accordance with its terms; and
(d) To the best of its knowledge, Sublessee has received a true and complete copy of the Lease.
Sublessee's Representations and Warranties. Sublessee hereby represents and warrants to Sublessor that Sublessee has full authority to execute this Agreement without the joinder or consent of any other party and that Sublessee has not assigned any of its rights, title or interest in or to the Sublease to any other party. Sublessor hereby represents and warrants to Sublessee that Sublessor has full authority to execute this Agreement without the joinder or consent of any other party. The representations and warranties contained in this paragraph shall survive the termination of the Sublease.
