Suspension; Cancellation. In addition to any of the actions we may take under this Agreement, we may suspend or cancel your Account privileges at our sole option, subject to applicable law, at any time with or without cause and without giving you notice, including but not limited to a situation in which (1) you cease to be an account holder in good standing with respect to any other accounts you may have with TCM Bank, N.A., or (2) you are in default. Any such action on our part will not cancel your obligations to pay us the outstanding balance, Finance Charges, and other charges due on your Account under the terms of the Agreement in effect at the time of the cancellation or suspension of your account or as subsequently amended. You agree to pay us all such obligations despite any suspension or cancellation of your account. Fees: We may charge the following fees, subject to applicable law:
Suspension; Cancellation. (a) If any of the following events shall have occurred and be continuing, the Association may, by notice to the Recipient, suspend in whole or in part (i) the right of the Recipient to make withdrawals from the Grant Account or (ii) the right of the Recipient to make withdrawals from the Grant Account ("the Preparatory Grant Account") opened pursuant to the Grant Agreement Number TF 27395 (Preparation of Commercial Debt Reduction Program) entered into between the Recipient and the Association dated August 17, 1994 ("the Preparatory Grant Agreement"), or both:
(i) the Recipient shall have failed to perform any of its obligations under this Agreement or under the Preparatory Grant Agreement;
(ii) any representation made, or statement furnished, by the Recipient in connection with this Agreement and intended to be relied upon by the Association in making the Grant shall have been incorrect in any material respect;
(iii) the Association shall have suspended in whole or in part the right of the Recipient to make withdrawals under any agreement between the Recipient and the Association because of a failure by the Recipient to perform any of its obligations under such agreement;
(iv) the right of the Recipient to withdraw proceeds of any financing (other than that provided hereunder) provided for the Debt Reduction Program shall have been suspended, canceled or terminated;
(v) as a result of events which have occurred after the date of this Agreement, an extraordinary situation shall have arisen which shall make it improbable that the Debt Reduction Program can be carried out in whole or in part or that the Recipient will be able to perform its obligations under this Agreement or any agreement related to the Debt Reduction Program; or
(vi) the Recipient shall have been suspended from membership in or ceased to be a member of the Association, or ceased to be a member of the International Monetary Fund.
(b) If the Recipient shall have failed, after the Closing Date, to perform any of its obligations under this Agreement, the Association may, by notice to the Recipient, suspend in whole or in part the right of the Recipient to make withdrawals under any agreement between the Recipient and the Association.

Suspension; Cancellation. We have the right to limit, suspend or cancel your access to the Service, in whole or in part, at any time, without cause or notice. Your Service privileges may also be suspended or revoked if your Account becomes overdrawn. If the Service is suspended or cancelled, you understand that any scheduled transactions will not be made as scheduled. Suspension or cancellation shall not affect your liability or obligations under this Agreement. Your eBanking, Mobile Deposit and Bill Payment Service remains in effect until terminated by you and/or us. You may cancel your Service at any time by notifying us of your intent to cancel in writing or through eBanking, Mobile Deposit and Bill Payment secure message service. This cancellation applies to your eBanking, Mobile Deposit and Bill Payment Service and does not terminate your Accounts. We recommend that you cancel any scheduled Payments prior to notifying us that you are discontinuing the Service.
Suspension; Cancellation. Section 5.01. If the right of the Recipient to disbursement from the Grant is suspended or terminated by the Administrator pursuant to the provisions of the Grant Agreement, the right of the Federation to disbursement from the Subsidiary Grant shall, likewise and simultaneously, be suspended or canceled, as the case may be.
Suspension; Cancellation. 6.1. XXXXXXX reserves the right to request, at any time, that the further execution of the order be suspended. If execution is suspended for a period of more than three months, then the contractor must provide XXXXXXX with detailed information about the costs incurred as a result of the delay beyond the period of three months, but not about any loss of profit. The contractor may only claim compensation for costs proven in this manner. In all other cases of interruption, the contractor is not entitled to assert any claims.
6.2. XXXXXXX reserves the right to withdraw fully or in part from the contract, even if the contractor is not at fault. In such cases, the contractor shall only be entitled to charge for all proven deliveries and services it has provided up until the withdrawal date.
Suspension; Cancellation. Section 3.01. If any of the following events shall have occurred at any time after the date of this Financing Agreement and be continuing, ADB may by notice to the Government suspend in whole or in part the right of the Government to apply for disbursements from the TFF Grant Account:
(a) The Government shall have failed to perform any of its obligations under this Financing Agreement.
(b) The loan provided by ADB under the Loan Agreement shall have become liable for suspension or cancellation. The right of the Government to apply for disbursements from the TFF Grant Account shall continue to be suspended in whole or in part, as the case may be, until the event or events which gave rise to such suspension shall have, in the reasonable opinion of ADB, ceased to exist or until ADB shall have notified the Government that the right to make withdrawals has been restored in whole or in part, whichever is the earlier.
Section 3.02. If (i) the right of the Government to apply for disbursements from the TFF Grant Account shall have been suspended with respect to any amount of the TFF Grant for a continuous period of thirty (30) days, or (ii) at any time ADB determines, after consultation with the Government, that any amount of the TFF Grant will not be required for the purposes of the Project, or (iii) except as otherwise agreed upon between the Government and ADB, by the closing date for withdrawals from the Loan Account an amount of the TFF Grant shall remain undisbursed from the TFF Grant Account, ADB may by notice to the Government terminate the right of the Government to apply for disbursements with respect to such amount. Upon giving of such notice, such amount of the TFF Grant shall be cancelled.
Section 3.03. Notwithstanding any cancellation or suspension, all the provisions of this Financing Agreement shall continue in full force and effect except as in this Article specifically provided.
Suspension; Cancellation. 15.1 Without prejudice to any other rights pursuant to the Agreement and/or the Conditions and/or the law, ALTRAD SERVICES is authorized to suspend its commitment to or, without requiring any notice of default or judicial intervention, fully or partially terminate the Agreement by written notice to the Supplier, or, at the risk and expense of the Supplier, fully or partially entrust the execution of the Agreement to one or more third parties, if:
a. Supplier does not timely or properly meet an obligation arising from the Agreement and/or these Terms and/or the law;
b. ALTRAD SERVICES has good reason to fear that the Supplier will fail to perform any of its obligations
c. Supplier is declared bankrupt, its bankruptcy has been filed, provisional moratorium has been granted to the Supplier or a request is made for this purpose, or, the Supplier has a legal debt rescheduling arrangement or a request for such has been made; 7
d. Supplier is put under administration;
e. Supplier dies;
f. The Supplier's company is liquidated;
g. The Supplier ceases its business undertaking or the control of his company is transferred to another;
h. Executory arrest placed on goods from the Supplier or a preservation order that is not lifted within one month of the date of the seizure;
i. The Supplier has directly or indirectly, quotationed gifts or promises in any form to ALTRAD SERVICES's employees or the Client's that are unacceptable to ALTRAD SERVICES;
j. The Client withdraws, on the basis of force majeure, the assignment he has provided ALTRAD SERVICES and in connection with which ALTRAD SERVICES has contracted the Supplier, including the occurrence of such a drastic change in the political and/or economic conditions that maintaining said commission cannot be reasonably be asked of the Client.
15.2 If the neglect of the Supplier, under both the law and the Agreement and these conditions only occurs after notice of default, ALTRAD SERVICES will not proceed with the whole or partial termination of the Agreement as mentioned in paragraph 1a of this article, before sending a written notice to the Supplier stating a reasonable deadline for compliance, and compliance within this period failed to materialize.
15.3 In the case mentioned in paragraph 1 under j of this Article, the Supplier can only claim compensation from ALTRAD SERVICES if and insofar ALTRAD SERVICES can make a claim against the Client in respect to the part of the work assigned to the Supplier. Outside said case, A...
Suspension; Cancellation. Bank reserves the right, for any reason, to discontinue offering or supporting any Mobile Card and/or the Digital Wallet Service. Except as otherwise required by applicable law, Bank may block, restrict, suspend or terminate your use of any Mobile Card at any time without notice and for any reason, including if you violate the terms of this Agreement or any of your cardholder agreements, if Bank suspects fraudulent activity, or as a result of the cancellation or suspension of your Payment Card account. You agree that Bank will not be liable to you or any third party for any block, suspension, cancellation, or termination of your use of any Mobile Card. Bank may disqualify a Mobile Card or discontinue providing any services to any individual suspected of violating the terms of this Agreement or the third-party agreements related to your Digital Wallet or the Digital Wallet Service in its sole and absolute discretion. Bank also cautions you that ANY ATTEMPT BY AN INDIVIDUAL OR ENTITY TO DELIBERATELY INTERFERE, INTERRUPT, MODIFY, AUDIT, ASSESS, RE-ENGINEER, OR DAMAGE ANY ASPECT OF A MOBILE CARD OR THE DIGITAL WALLET SERVICE OR UNDERMINE THE LEGITIMATE OPERATION OF A MOBILE CARD OR THE DIGITAL WALLET SERVICE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND BANK RESERVES THE RIGHT TO SEEK DAMAGES AND COSTS (INCLUDING, WITHOUT LIMITATION, ATTORNEYS’ FEES) FROM ANY INDIVIDUAL OR ENTITY RESPONSIBLE FOR SUCH ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. You may remove one or more of your Mobile Cards from your Digital Wallet at any time by following the instructions in your Digital Wallet or by calling the number on the back of your Payment Card.
Suspension; Cancellation. Section 5.01. The following are specified as additional events for suspension of the right of the Recipient to make withdrawals from the Grant Account for the purposes of Section 8.01(k) of the Grant Regulations or cancellation of the Grant pursuant to section 8.02 of the Grant Regulations:
(a) the Recipient or Barki Tojik shall have failed to perform any of their respective obligations under the Subsidiary Loan Agreement, or the Subsidiary Loan Agreement or any provision thereof shall have been transferred, assigned, amended, suspended, abrogated or waived without the prior approval of ADB; and
(b) Barki Tojik's organizational structure shall have been significantly altered in such a manner that in the reasonable opinion of ADB will or may adversely affect the carrying out of the Project or the operation of the Project facilities.
