Taxes and Contributions. Designer will have sole responsibility for all tax returns and payments required by any federal, state, or local tax authority, and for paying all disability, unemployment insurance, workers’ compensation contributions, and any other contributions and expenses that may be required in connection with Designer’s activities under this Agreement. Designer understands that Company will not: (a) withhold income, social security, or Medicare taxes; (b) make unemployment or disability insurance contributions; or (c) obtain workers’ compensation or other insurance on Designer’s behalf. Designer understands that Company will withhold, from fee and royalty payments under Section 2, taxes, fees, or other amounts as may be required by state, city, or other local law.

Taxes and Contributions. Contractor will have sole responsibility for all tax returns and payments required by any federal, state, or local tax authority, and for paying all disability, unemployment insurance, workers’ compensation contributions, and any other contributions and expenses that may be required in connection with Contractor’s performance of the Services and receipt of fees under this Agreement. Contractor understands that Client will not withhold income, social security, or Medicare taxes, make unemployment or disability insurance contributions, or obtain workers’ compensation or other insurance on Contractor’s behalf.
Taxes and Contributions. The Subcontractor for the Price herein provided for, hereby accepts and assumes exclusive liability for and shall indemnify, protect and save harmless Contractor and the Owner from and against the payment of: all contributions, taxes, or premiums (including interest and penalties thereon) which may be payable under the Unemployment Insurance Law of any State, the Federal Social Security Act, Federal, State, County and/or Municipal Tax withholding laws, or any other laws, measured upon the payroll of or required to be withheld from employees, by whomsoever employed, engaged in the Work to be performed and furnished under this Agreement; and all sales, uses, personal property and other taxes (including interest and penalties thereon) required by any Federal, State, County and Municipal Law to be paid or collected by the Subcontractor or any of its subcontractors or vendors or any other person or persons acting for, through or under it or any of them, by reason of the performance of the Work or the acquisition, ownership, furnishing or use of any materials, equipment, supplies, labor, services or other items for or in connection with the Work; and all pension, welfare, vacation, annuity and other union benefit contributions payable under or in connection with labor agreements with respect to all persons, by whomsoever employed, engaged in the Work to be performed and furnished under the Subcontract; and the Subcontractor’s proportionate share of any and all other taxes imposed by any governmental body as a consequence of Contractor’s performance of the Construction Contract other than Federal, State, County and Municipal Income Taxes.

Taxes and Contributions. Contractor assumes full responsibility for and agrees to pay all contributions and taxes payable under all applicable federal, state and local social security laws, unemployment compensation laws and income tax laws as to all of its employees, including Seconded Personnel, engaged in the performance of Services hereunder, and to pay any and all valid sales or use taxes levied on general office, engineering and drafting supplies, materials, equipment, and services performed by Contractor hereunder, except for: (A) those taxes directly associated with the materials, equipment, and unique services that Contractor, acting as agent for Company, acquires for Company pursuant to Section 6.2; Contractor shall, where applicable, separately list on invoice(s) to Company all such valid sales taxes on Services to be provided hereunder. Contractor further agrees to pay any tax, interest, penalty, fines, costs, losses and expenses (including, without limitation, court costs and attorney’s fees) of whatever kind, which Company may incur, be required by law to pay, or be liable for as a result of, arising from, in connection with, related to or based on any failure to withhold any amounts from any payments made or any amounts which Contractor fails to pay in connection with, as a result of, arising from or based on the Services or any portion of the Services hereunder or otherwise comply with this Section 10.

Contractor further agrees to pay any tax, interest, penalty, fines, costs, losses and expenses (including, without limitation, court costs and attorney’s fees) of whatever kind, which Company may incur, be required by law to pay, or be liable for as a result of, arising from, in connection with, related to or based on any failure to withhold any amounts from any payments made or any amounts which Contractor fails to pay in connection with, as a result of, arising from or based on the Services or any portion of the Services hereunder or otherwise comply with this Section 10.
