Technical Steering Committee. In order to ensure the proper oversight of the Project and coordination among the Recipient’s ministries and agencies responsible for the Project, the Recipient shall establish and thereafter maintain throughout the period of Project implementation, with membership, functions and resources satisfactory to the Association, a technical steering committee chaired by a representative of the Ministry of State of Labor, Social Affairs and Solidarity, and comprised of representatives of the ministries, districts, municipalities and public and private sector stakeholders involved in the Project, to be responsible for providing overall guidance on and oversight of the Project, and ensuring the coordination of the Project.

Technical Steering Committee. The Recipient, through the MALF, shall not later than three (3) months after the Effective Date, establish and thereafter maintain throughout Project implementation, a national Technical Steering Committee under terms of reference satisfactory to the Association vested with responsibility for providing policy guidance and for overseeing Parts 1.1, 1.3, 1.4, 2, 3.1(b), 3.2, 3.3 and 4(ii) of the Project. The Technical Steering Committee shall be chaired by the Secretary General of the MALF and its composition shall include representatives from the government, stakeholders, producers and the private sector. The Technical Steering Committee shall meet at least three times each Fiscal Year to undertake, inter alia, the approval of the draft AWP&B and the approval of the annual report to be prepared by the Project Coordinator not later than October 31 each year to follow-up on, and assess the progress in, the carrying out of the precedent AWP&B.

Technical Steering Committee. 3.1 The Parties shall establish a Technical Steering Committee, and each Party shall, at its own cost, provide a representative to attend all meetings of the Technical Steering Committee, who shall be a person engaged in the management of the HF Alkylation Project on behalf of such Party. The Technical Steering Committee shall: monitor progress of the HF Alkylation Project; provide advice to the Parties relating to the conduct of the HF Alkylation Project; review the results and recommendations of HF Alkylation Project reports, and provide guidance regarding the satisfactory performance of the work; and suggest changes to the HF Alkylation Project Proposal. 3.2 The Technical Steering Committee shall consist of one representative from each Party, who shall notify the other Party of the identity of its representative and of any replacement. 3.3 The Technical Steering Committee will convene meetings as necessary, and shall vote as a body on the recommendations, guidance and suggestions set forth in Clause 3.1; provided that OLI shall retain sole control and autonomy with respect to the direction and performance of the HF Alkylation Project and no vote of the Technical Steering Committee shall be binding upon OLI. Each representative shall have one vote at meetings of the Technical Steering Committee and matters shall be decided by the affirmative vote of a majority of the persons present at the meeting, other than the following actions by the Technical Steering Committee which shall require in all cases the affirmative consent of the Technical Steering Committee member designated by OLI: (a) any recommended change to the HF Alkylation Project Proposal; and any recommendation for the early termination of the HF Alkylation Project, and of this Agreement.

Technical Steering Committee. The Committee’s purpose shall be to advise pilot communities during the planning and implementation phases; determine and promote opportunities for cross-county and cross- state collaboration and learning among the counties and with the State; make funding recommendations to Building Changes Board of Directors for grants awarded through the Washington Families Fund; make funding recommendations to partners for aligned funding, if requested; review evaluation findings and share findings throughout the State. • Shall be co-chaired by a Building Changes executive staff or board member and government representative. • Shall supersede and include members from the existing Washington Families Fund Steering Committee. • Additional members will be added as referenced above and from multiple systems at the state and local level at the discretion of Building Changes and the Leadership Committee co- chairs. • Shall meet up to four (4) times per year. This MOU is a statement of intent only, and is not binding upon the parties. The parties will not be liable to each other for any damages or losses arising from or relating to this MOU.
