Term and Option to Extend. The initial term of this Lease will commence on the Effective Date and expire on the Expiration Date. The Tenant may extend the Term of this Lease for [two] additional [two]-year extension term(s), on all the same terms and conditions (except for Rent, which will increase during extension Terms as provided below) contained in this Lease, by notifying the Landlord in writing of the Tenant’s election to do so not less than 30 days before the expiration date of the then-current Term, as the case may be. The initial term and any applicable extension term are referred to in this Lease as the “Term.”

The Parties shall 1038 agree on how depreciation and interest expenses shall be treated during the extension period. Parties 1039 shall analyze whether, and if so, how much the depreciation and interest expenses may be reduced for 1040 equipment that is fully depreciated and how to address depreciation and interest expense of any 1041 equipment that will need to be purchased during the extension period under consideration. The 1042 CCCSWA Executive Director shall make the final determination in the event any disputes arise regarding 1043 depreciation and interest expenses during the extension period. 1044 The CCCSWA has no obligation to renegotiate, renew, or extend the rights granted to Contractor beyond 1045 the initial ten‐year (10‐year) Term of the Agreement. 1046 4.2 Extension Conditions 1047 Any extension to the Term of the Agreement is conditional upon Contractor meeting the following two 1048 requirements, each or either of which may be waived by the CCCSWA:

Subject to the "Condition Precedent Regarding Environmental Law Compliance" set forth below, the term of this Agreement shall commence on the first day of the first month following MERA's notice to the Licensor that MERA has obtained all approvals necessary for MERA to be legally entitled to construct a facility for providing a public safety and emergency radio system (the "Commencement Date") and continue for a period of five (5) years, except in the case that such approvals are not obtained within five (5) years from the date of approval of this Agreement then this Agreement shall automatically terminate and be deemed null and void. MERA shall be permitted to occupy the License Space and commence construction of the MERA facilities upon receipt of all such approvals. Prior to receipt of all such approvals, and following full execution of this Agreement, MERA shall have the right to enter the License Space for the purpose of making appropriate engineering and surveys, inspections, soil test borings and other reasonable necessary tests.

If applicable, before expiration or earlier termination of this Agreement, Contractor will take direction from the Authority Contract Manager and cooperate with the subsequent Contractor to assist in a timely and orderly transition of services from Contractor to subsequent contractor.
