Term of Consulting Period. A. The term of the consulting period shall commence October 1, 2004 and shall continue for twenty-four (24) months, ending September 30, 2006, unless earlier terminated for cause as hereinafter set forth.
B. The Company may terminate Heinkele for cause at any time, and from that date forward no further obligations shall exist on the part of Company to Heinkele. Termination for cause shall mean termination based on the following events or conditions of which the Company has reasonably persuasive evidence:
1. Overt and willful disobedience of orders or directives issued to Heinkele and within the scope of Heinkele’s duties to the Company.
2. Conviction of Heinkele of the commission of deliberate, illegal acts in connection with the performance of duties under this Agreement.
3. Violation by Heinkele of the Company’s rules and policies concerning business conduct, conflicts of interest, or the non-competition or confidentiality obligations of this Agreement.
4. The immoderate use of alcoholic drinks or illegal narcotics which renders Heinkele incapable of performing services to a normal extent.
Term of Consulting Period. The term of this Agreement is from April 5, 2008 through December 31, 2008 and is renewable at the end of the initial term for additional periods upon mutual written agreement (the “Term”).
Term of Consulting Period. Yamada’s engagement as Consultant shall be for a term of twenty-four (24) calendar months beginning on the Retirement Date and ending on November 30, 2018 or an earlier or later date if this Agreement is terminated earlier in accordance with its terms or extended by mutual agreement of the Parties (the “Termination Date”, and the term beginning on the Retirement Date and ending on the Termination Date, the “Consulting Period”).
Term of Consulting Period. Subject to Section 6 hereof, the term of this Agreement shall commence on the Closing Date and continue through the close of business on the day prior to the first anniversary of the Closing Closing Date (the "Term")
Term of Consulting Period. The Term of this Agreement is from March 15, 2013 through March 15, 2014.
Term of Consulting Period. Ching’s engagement as Consultant shall be for a term of up to five (5) calendar months beginning on February 1, 2018 and ending on June 30, 2018, or on an earlier date if this Agreement is terminated in accordance with Section 6 (the “Termination Date,” and the term beginning on February 1, 2018 and ending on the Termination Date, the “Consulting Period”).
Term of Consulting Period. Subject to Section 7 of the Agreement, the Consulting Period is from the Effective Date through the first anniversary of the Effective Date and renewable at the end of the initial one (1) year term upon mutual written agreement.
Term of Consulting Period. As set forth in the Agreement, the Consulting Period shall be the period commencing on the day following the Termination Date set forth in the Agreement (January 9, 2010) and expiring on May 31, 2011.
Term of Consulting Period. This Consulting Period shall commence as of the Consulting Period Commencement Date and shall end on the second anniversary of the Consulting Period Commencement Date. The Consulting Period may be renewed or extended for such time as the Company and Xx. Xxxxx may agree upon in writing.
Term of Consulting Period. The Consultant shall render consulting services, on the terms and conditions set forth in this Agreement, for the period beginning on the Effective Date and ending upon the first to occur of (a) the Consultant’s death or permanent disability and (b) the date that is one year after the Effective Date (the “Initial Consulting Period”). At the conclusion of the Initial Consulting Period, the term of this Agreement may be extended for up to an additional one year (the “Renewal Consulting Period”), at the option of the Company, by the Company giving written notice to the Consultant. The period of time between the Effective Date and the termination of the Consultant’s service to the Company hereunder shall be referred to herein as the “Consulting Period.”
