Termination Due to Poor Performance. An Employee may be dismissed for continued poor performance, including punctuality, continued unauthorized absences, and reliability. Procedural fairness will be afforded to an Employee prior to any decision being made to dismiss an Employee under this clause. If an Employee is dismissed due to poor performance, the required period of notice plus payment of all accrued wages and leave entitlements (other than sick leave).

  • Termination Due to Death or Disability The expiration of one (1) year from the date of the death of the Optionee or cessation of an Optionee’s employment or contractual relationship by reason of disability (as defined in Section 5.1(g) of the Plan). If an Optionee’s employment or contractual relationship is terminated by death, any Option held by the Optionee shall be exercisable only by the person or persons to whom such Optionee’s rights under such Option shall pass by the Optionee’s will or by the laws of descent and distribution.

  • Substantial Performance This Contract shall be deemed to be substantially performed only when fully performed according to its terms and conditions and any written amendments or supplements.
