Termination for PPP Co. Default RETENDERING ELECTION82 Where a PPP Co. Default gives rise to termination the Authority will be entitled, subject to paragraph 1.2 below, either to: retender the provision of the Services in accordance with Paragraph 2 below (Retendering Procedure); or require an expert determination in accordance with Paragraph 3 below (No Retendering Procedure); The Authority will be entitled to retender the provision of the Services in accordance with Paragraph 2 below (Retendering Procedure) if: the Authority notifies PPP Co. on or before the date falling 20 Business Days after the Termination Date; and there is a Liquid Market, and either: the Senior Lenders have not exercised their rights to step-in under Clause [  ] of the Funder Direct Agreement; or PPP Co. or the Senior Lenders have not procured the transfer of PPP Co.’s rights and liabilities under this Project Agreement to a Suitable Substitute Contractor (as defined in the Funder Direct Agreement) and have failed to use all reasonable efforts to do so. but otherwise the Authority will not be entitled to retender the provision of the Services and Paragraph 3 below (No Retendering Procedure) will apply RETENDERING PROCEDURE83 If the Authority elects to retender the provision of the Services, then the following provisions will apply: The objective of the retendering procedure will be to establish and pay to PPP Co. the Highest Compliant Tender Price, as a result of the Tender Process. The Authority will (subject to any legal requirements preventing it from doing so) use its reasonable endeavours to complete the Tender Process as soon as practicable. The Authority will notify PPP Co. of the qualification criteria and the other requirements and terms of the Tender Process, including the timing of the Tender Process but will act reasonably in setting such requirements and terms. PPP Co. authorises the release of any information by the Authority under the Tender Process which would otherwise be prevented under Clause 52 (Confidentiality) that is reasonably required as part of the Tender Process. PPP Co. may, at its own cost, appoint a person (the “Tender Process Monitor”) to monitor the Tender Process for the purpose of monitoring and reporting to PPP Co. and the Senior Lenders on the Authority’s compliance with the Tender Process and making representations to the Authority.   • Termination for Cause If Vendor fails to materially perform pursuant to the terms of this Agreement, TIPS shall provide written notice to Vendor specifying the default. If Vendor does not cure such default within thirty (30) days, TIPS may terminate this Agreement, in whole or in part, for cause. If TIPS terminates this Agreement for cause, and it is later determined that the termination for cause was wrongful, the termination shall automatically be converted to and treated as a termination for convenience.

  • TERMINATION FOR CAUSE BY CITY 4.05.1 If Contractor defaults under this Agreement, the Director may terminate this Agreement after providing Contractor written notice and an opportunity to cure the default as provided below.
