Termination with Cause or Resignation Without Good Reason. If the Company terminates Executive’s employment with Cause or Executive resigns without Good Reason, the Company shall provide Executive compensation and benefits as follows:
(1) Payment of Executive’s earned but unpaid Salary through the effective date of termination.
(2) Payment of the value of Executive’s earned but unused vacation consistent with Company policy that applies to all employees.
(3) Reimbursement of all reasonable business expenses incurred for activities prior to the Effective Date of termination.
(4) Any vested equity grants which shall remain exercisable to the extent provided under the terms of any grant or plan.
Termination with Cause or Resignation Without Good Reason. If the Company terminates Executive’s employment with Cause or Executive resigns without Good Reason, the Company shall provide Executive with the Standard Termination Payments within five business days of termination, as well as any benefits provided for in the Equity Plan and Cash Plan.
Termination with Cause or Resignation Without Good Reason. In the event that (i) the Executive's employment hereunder is terminated with Cause by ERPT, or (ii) the Executive resigns without Good Reason on or before December 31, 2008, the Executive shall not be entitled to receive any deferred compensation hereunder.
Termination with Cause or Resignation Without Good Reason. If the Company terminates your employment and such termination is for “Cause,” as defined above, or if you resign your employment without “Good Reason,” as defined above, then the Company shall pay you all wages due through the Termination Date. In the event of termination for Cause or your resignation, the Company will not pay any severance or Salary Continuation Payments, and the restrictions contained in Sections 1 and 2 above will remain in full force and effect unless waived by the Company.
Termination with Cause or Resignation Without Good Reason. If the Company terminates the Executive’s employment with Cause pursuant to Section 8(c), if the Executive resigns without Good Reason pursuant to Section 8(f), if the Executive resigns following his notice of nonrenewal of this Agreement or if the Executive is entitled to the severance benefits pursuant to Section 9(c) and either does not execute or revokes the general release of claims required pursuant to Section 9(e), the Company will pay the Executive his Base Salary accrued and unpaid as of the date of termination of employment as well as any accrued but unused PTO and appropriate expense reimbursements. The Company shall have no further obligations under this Agreement to the Executive.
Termination with Cause or Resignation Without Good Reason. If Executive’s employment is terminated pursuant to Section 3.1(b) or (c), above, Executive shall have no further rights against the Company hereunder, except for the right to receive the Accrued Obligations. The treatment of Executive’s incentive compensation provided under Section 2.2 hereof and the treatment of Executive’s equity awards, if any, shall be governed by the terms of the applicable plans or grant agreements, except as explicitly provided to the contrary pursuant to this Agreement.
Termination with Cause or Resignation Without Good Reason. In the event of the Participant’s Termination by the Company with Cause or by the Participant without Good Reason all PSUs shall be immediately forfeited and cancelled upon the Participant’s Termination.
Termination with Cause or Resignation Without Good Reason. In the event that the Executive's employment as Chairman hereunder is terminated with Cause by ERPT; or (ii) the Executive resigns as Chairman without Good Reason on or before age 62, the Executive shall not be entitled to receive any retirement compensation hereunder.
Termination with Cause or Resignation Without Good Reason. If, during the Transition Period, your employment with the Company is terminated with Cause, or you resign from your employment with the Company without Good Reason, then you will not be eligible for any severance benefits (except for the Change in Control Severance Benefits, under the circumstances and conditions described below), including the Retention Bonus, Salary Continuation, Accelerated Vesting, Additional Accelerated Vesting, COBRA Payments, Change in Control Severance Benefits or the Consultancy.
Termination with Cause or Resignation Without Good Reason. If the Bank terminates Executive’s employment with Cause or Executive resigns without Good Reason, the Bank shall provide Executive compensation and benefits as follows:
(1) Payment of Executive’s earned but unpaid Salary through the effective date of termination.
(2) Reimbursement of all reasonable business expenses incurred for activities prior to the Effective Date of termination.
(3) Any vested equity grants shall remain exercisable for a period of 90 days after termination under the terms of any grant or plan.
