Terms of Licence. 8.1. Licensee agrees that this Licence does not grant Licensee any title to or ownership in the product or any component thereof (except for the Documentation), including any confidential proprietary information or other intellectual property relating thereto. 8.2. Licensee agrees that neither the Product nor any part thereof received by Licensee from Licensor under this Licence (except for the Documentation) shall be duplicated or reproduced. 8.3. Licensee agrees not to remove, destroy or render illegible any proprietary markings or confidential legends placed upon or contained within the Product. 8.4. Licensee shall comply with all laws, ordinances, rules and regulations relating to or in connection with this agreement and/or the use of the Product. 8.5. Any controversy or claim arising out of or relating to this agreement or any breach, termination or invalidity thereof shall, unless it is settled amicably by direct negotiations, be referred to arbitration in accordance with the United Nations Commission on International Trade Law (UNCITRAL) Arbitration Rules then obtaining. Such arbitration shall be conducted under the auspices of the American Arbitration Authority (AAA), which shall also serve as the Appointing Authority under the Rules. The place of arbitration shall be New York City, New York. The parties shall be bound by the arbitration award rendered in accordance with such arbitration, as the final adjudication of any such controversy or claim. 8.6. It is expressly understood and agreed that all of the obligations of Licensee hereunder shall survive the expiration or sooner termination of this agreement. 8.7. This agreement contains the entire understanding of the parties hereto, and neither it nor the rights and obligations hereunder may be changed, modified or waived, except by a formal written instrument duly signed by all of the parties hereto.

Terms of Licence. Fujitsu grants to the Customer a non-transferable, non-exclusive licence in the Territory to: a) install and/or operate the Software or any portion thereof only in object code form solely for its own internal purposes on one unit of equipment (or multiple units where so specified in a Schedule); b) install and/or operate the Software in the manner and for the purposes specified in an Agreement; and c) make copies of the Software solely for the Customer's own backup purposes. The Customer will reproduce and include on all copies of the Software any copyright or trade xxxx notices or legends which appear on the initial copy of the Software supplied by Fujitsu. Terms of Licence. The Writer hereby grants to the NT Entity the following rights, upon receipt of written notice from the NT Entity in accordance with clause 8 (Educational Usage) of the Agreement: the right to make the Title available for unlimited broadcast to schools and sixth form colleges, higher education colleges and universities and providers of online learning programmes and academic libraries (“Educational Establishments”) and their users in the English language in the United Kingdom and throughout the world, by way of streaming; the right to make the Title available for unlimited broadcast to public libraries (“Library Establishments”) and their users in the English language in the United Kingdom and throughout the world, exclusively on their premises; the right to grant Educational Establishments and Library Establishments access to the Title on a perpetual access basis whereby any Educational and Library Establishment may acquire the right to grant access to the Title to its users and also to retain a copy of such Title in order to facilitate such streaming in perpetuity; the right to make available clips from the Title via streaming and by way of downloads in teaching aids, educational publications and digital products such as digital textbooks; the right to authorise Educational Establishments to make available the Title by way of public performance exclusively on their premises for teaching purposes (e.g. in lecture halls and classrooms); the right to include extracts including still images from the Title in educational, marketing and promotional material; any ancillary rights reasonably necessary to properly exploit the rights in this Annex e.g., the right to stream or provide copies of the Title to sales representatives to facilitate the licensing of a Collection (as defined in clause Error: Reference source not found of this Annex), the right for the NT Entity’s authorised platforms to make back-up copies of the Title; and the right to sublicense the above rights to the NT Entity’s authorised educational and library platforms and to Educational and Library Establishments. The NT Entity does not anticipate that the total number of titles in a Collection which have no in-copyright contribution from a writer or adaptor will exceed one third of the total number of titles in a Collection.
