The Contract Manager. 8.1 The Contractor shall appoint an individual to act as the Contract Manager.
8.2 The Contract Manager may exercise the functions, rights and powers conferred by this Contract upon the Contractor.
8.3 The Contract Manager shall at all times act in the spirit of partnership as defined in the Charter.
The Contract Manager. The Contract Manager is the person designated on behalf of the Authority to oversee the implementation of the terms of this contract and to coordinate the performance of said Services with the Contractor.
The Contract Manager i. is the representative of the Contractor in relation to the management of any current or future performance or policy issues in respect of this Contract; and
ii. has the authority to make decisions binding on the Contractor in relation to this Contract;
iii. must attend meetings and briefings with Members as reasonably required;
iv. must provide reports in relation to the provision of the Services to Liable Members as reasonably requested;
v. must make all reasonable efforts to ensure the Contractor fulfils all its obligations under this Contract, including cooperating with and not in any way hindering the Members and their other contractors in the performance of their duties, responsibilities and obligations;
vi. must be replaced by the Contractor with another Contract Manager if so requested by a Member or AFAC (acting reasonably); and
vii. may be replaced by the Contractor with a new nominated Contract Manager provided the Contractor advises AFAC in writing prior to the appointment of a new Contract Manager and/or updates ARENA as required.
The Contract Manager. 4.1 The Artwork are to be carried out under the direction of the Contract Manager or a nominated representative.
4.2 The Contract Administrator shall have full authority to act on behalf of the Customer for all purposes connected with the Contract.
4.3 The Customer shall notify the Supplier in writing of the replacement of the Contract Manager, or if any person ceases to be the Contract Manager for this Contract.
The Contract Manager. 15.2.1. The Concessionaire shall at all times during the Contract Period ensure that a suitably senior and competent person is appointed as the Contract Manager and is thereby empowered to act on behalf of the Concessionaire for all purposes connected with this Contract. Prior to the Effective Date the Concessionaire shall notify the Council of the name and contact details of its proposed Contract Manager. The Concessionaire shall immediately give notice of any subsequent proposed appointments with details of such person’s qualifications, experience and training. Any person proposed to be appointed as Contract Manager must first be approved in writing by the Council, such approval not to be unreasonably withheld.
15.2.2. The Concessionaire shall inform the Council of the identity of any person proposed to act for any period as deputy for the Contract Manager before the start of that period. Any person proposed to be authorised to act as deputy for the Contract Manager must first be approved in writing by the Council, such approval not to be unreasonably withheld.
15.2.3. The Contract Manager or his appointed deputy shall be the authorised representative of the Concessionaire and as such is empowered on behalf of the Concessionaire for all purposes connected with the Contract. Any notice, information, instruction or other communication given or made to the Contract Manager or his deputy shall be deemed to have been given to the Concessionaire.
15.2.4. The Concessionaire shall ensure that at all times during the Contract Period:
15.2.4.1. the Contract Manager or his appointed deputy is available to be contacted at all times between 9:00 and 17:00 on each Working Day;
15.2.4.2. there is a telephone number notified to the Authorised Officer in writing at which the Contract Manager or his authorised deputy may in emergencies be contacted at all times; and
15.2.4.3. the Concessionaire shall liaise and co-operate and ensure that its Employees and supervisors shall liaise and co-operate with the Authorised Officer and comply with the Authorised Officers reasonable requests.
15.2.5. The Contract Manager shall inform the Council promptly and in writing of any instances of acts or omissions on the part of the Council or its employees which may prevent or hinder the Concessionaire from meeting its contractual obligations and the Council shall advise the Concessionaire of any action required to be taken by the Concessionaire in connection with such acts or omissions.
The Contract Manager. 8.1 The Provider must appoint a person to exercise its rights and powers under this Agreement, called the ‘Contract Manager’. This will not limit in any way either the Provider’s rights or obligations.
8.2 Details of the person the Provider has appointed to act as Contract Manager from the Commencement Date (the name, telephone number, fax number, e- mail address and postal address) are set out in Schedule 3.
8.3 The Contract Manager will also be entitled to appoint another person or persons to exercise some or all of her functions (each a ‘deputy Contract Manager’) but if it does so, the Provider must give the Contract Administrator at least 5 Working Days written notice.
8.4 The Provider will be entitled to change the identity of the Contract Manager at any time (and the Contract Manager may change the identity of any deputy Contract Manager at any time) but if the Provider or the Contracts Manager does then the Provider or Contracts Manager as appropriate must give the Contract Administrator at least 5 Working Days written notice, unless for reasons beyond their control, this is not possible. If this is the case, the Provider or Contract Manager (as appropriate) ) will notify the Contract Administrator by whatever means appears reasonable to them although they must then confirm any such notice in writing within 5 Working Days. If the contact details of the Contract Manager or Deputy Contract Manager change the Provider must notify the Contract Administrator and supply updated contact details in accordance with clause [31] (Notices)
8.5 Any such notice referred to in clauses [8.3] or [8.4] must contain the same details regarding the replacement Contract Manager or (replacement) deputy Contract Manager as are set out in Schedule 3 regarding the original Contract Manager.
8.6 Until the Provider has notified the Contract Administrator of any change in the identity of the Contract Manager or the Contract Manager has notified the Contract Administrator of any change in the identity of a deputy Contract Manager, the Contract Administrator will be entitled to treat the last person notified as the Contract Manager or the deputy Contract Manager (as the case may be).
8.7 All notifications of changes under this clause [8] (the Contract Manager) should be made in accordance with clause [31] (Notices).
The Contract Manager. 6.1 Landlord shall appoint a person to exercise Landlord rights and powers under this Agreement, called the ‘Contract Manager’. This will not limit in any way either Landlord’s rights or obligations.
6.2 Details of the person the Landlord has appointed to act as Contract Manager from the Commencement Date are set out in Schedule 1 to this Agreement.
6.3 The Contract Manager will also be entitled to appoint another other person or persons to exercise some or all of her functions (each a ‘deputy Contract Manager’) upon giving the Council not less than 5 working days prior written notice.
6.4 Until Landlord has notified the Council of any change in the identity of the Contract Manager or the Contract Manager has notified the Council of any change in the identity of a deputy Contract Manager, the Council will be entitled to treat the last person notified to it as the Contract Manager or the deputy Contract Manager (as the case may be).
6.5 All notifications of changes under this clause 6 (Contract Manager) should be made in accordance with clause 24 (Notices).
6.6 If no such ‘’Contract Manager’’ is appointed by the Landlord, it is deemed that the Landlord is the ‘’Contract Manager’’ until such time the Landlord notifies the Council in writing of the appointment of a Contract Manager.
The Contract Manager. a. serve as the liaison between the Department and the Contractor;
b. verify receipt of deliverables from the Vendor, if applicable;
c. submit requests for change orders, if applicable; and
d. review, verify, and approve invoices from the Vendor, if applicable.
The Contract Manager. (a) The State:
(i) must, as soon as practicable after the Signature Date, appoint a person to be the Contract Manager; and
(ii) may replace the Contract Manager from time to time by notice to the Contractor.
(b) Subject to clause 6.1(e) and any other provisions of this Agreement, and except as otherwise specified by the State, the Contract Manager:
(i) is the agent of the State for the purpose of doing anything to be done under this Agreement; and
(ii) has authority to make and give, or accept, on the State’s behalf, any approvals, acceptances, directions, notices and other decisions that the State may make, give or accept under this Agreement, which does not extend to (unless the Contractor receives a formal delegation setting out the Contract Manager's authority to do so):
(A) direct any Variation, or
(B) calculate any Abatement Amount.
(c) The State must ensure that the person appointed as Contract Manager has the appropriate authority under the Prisons Act and any other applicable laws to perform the functions of a Contract Manager under this Agreement.
(d) If the Contractor requests the Contract Manager to confirm an oral direction, the Contractor must promptly comply with the direction, but the Contract Manager must as soon as practicable confirm the direction in writing.
(e) Where the Prisons Act requires anything to be done on behalf of the State by the CEO, the Contract Manager's authority and agency under clause 6.1(b) will be deemed to exclude that thing, and the CEO will be the agent of the State, with the authority, as specified in clause 6.1(b) in respect of that thing.
The Contract Manager. 9.1 West Berkshire shall appoint the Contract Manager to be a principal contact in respect of West Berkshire’s rights and powers under this Agreement. This will not limit in any way either West Berkshire’s rights or obligations.
9.2 Details of the responsibilities of the Contract Manager are set out in Schedule 4 of this Agreement.
9.3 Details of the person West Berkshire has appointed to act as Contract Manager from the Commencement Date (his telephone number, fax number, e-mail address and postal address) are set out in Schedule 8.
9.4 The Contract Manager will also be entitled to appoint another other person or persons as the principal contact/s (each being known as a ‘Deputy Contract Manager’) but if he does so, he must give Wokingham at least five [5] Working Days written notice.
9.5 West Berkshire will be entitled to change the identity of the Contract Manager at any time (and the Contract Manager may change the identity of any deputy Contract Manager at any time) but if West Berkshire (or as the case may be, the Contract Manager) does, then West Berkshire (or Contract Manager) must give Wokingham at least five [5] Working Days written notice, unless for reasons beyond West Berkshire ‘s (or as the case may be the Contract Manager’s ) control, this is not possible. If this is the case, West Berkshire (or Contract Manager) will notify Wokingham by whatever means appear reasonable to West Berkshire (or Contract Manager) although West Berkshire (or Contract Manager) must then confirm any such notice in writing within five [5] Working Days. If the contact details of the Contract Manager or Deputy Contract Manager change West Berkshire must notify Wokingham and supply updated contact details in accordance with Clause 42 (Notices).
9.6 Any such notice referred to in this Clause 9 must contain the same details regarding the replacement Contract Manager or (replacement) deputy Contract Manager as are set out in Schedule 8 regarding the original Contract Manager.
9.7 Until West Berkshire has notified Wokingham of any change in the identity of the Contract Manager or the Contract Manager has notified Wokingham of any change in the identity of a deputy Contract Manager, Wokingham will be entitled to treat the last person notified to it as the Contract Manager or the deputy Contract Manager (as the case may be).
9.8 All notifications of changes under this Clause, (the Contract Manager) should be made in accordance with Clause 42 (Notices).
