THE YEAR 2000 Clause Samples
The "Year 2000" clause is designed to address potential issues arising from the transition to the year 2000, commonly known as the Y2K problem. It typically requires that all software, systems, and products provided under the contract are capable of accurately processing date and time data before, during, and after the year 2000. For example, it may obligate vendors to ensure their products will not malfunction or produce errors due to the change in century. The core function of this clause is to allocate responsibility for Y2K compliance, thereby reducing the risk of business disruptions caused by date-related software failures.
THE YEAR 2000. Except where the failure to do so would not reasonably -------------- be expected to result in a Material Adverse Effect, the Company has used (or is in the process of using) reasonable procedures to verify that any of its software licensed or otherwise provided to its customers and any software used in its business will recognize and process date fields after the turn of the century, and perform date-dependent calculations and operations (including sorting, comparing and reporting) after the turn of the century correctly, and has used (or is in the process of using) reasonable efforts to ensure that any such software will not produce invalid and incorrect results as a result of the change of century (all without human intervention, other than original data entry of valid dates), provided that such software receives correct and properly formatted date inputs from all software and hardware that exchanges data with or provides data to the software.
THE YEAR 2000. Each item of hardware, software, or processor based system and/or any combination thereof, developed, manufactured, distributed, licensed or delivered, by the Company (collectively, the "System"), shall in all material respects be able to correctly function, operate, process data or perform date related calculations, including, but not limited to, calculating, comparing and sequencing, from, into and between the years 1999 and 2000, accurately process, provide and/or receive date data, including leap year calculations, into and between the years 1999, 2000 and beyond, shall otherwise function as per the specifications thereof both before, during and following January 1, 2000. Neither performance nor functionality of the System shall be affected by dates prior to, during and after January 1, 2000. A System containing or calling on a calendar function including, without limitation, any function indexed to the CPU clock, and any function providing specific dates or days, or calculating spans of dates or days shall record, store, process, provide and, where appropriate, insert, true and accurate dates and calculations for dates and spans, before, during and following January 1, 2000. The System shall have no lesser functionality or operability with respect to records containing dates, before, during or after January 1, 2000 than heretofore with respect to dates prior to January 1, 2000.
THE YEAR 2000. Cellpoint Systems hereby undertakes to design and supply the GSM localisation System in such a manner that it can be used between now and the year 2000, at the date of changeover from the year 1999 to the year 2000, and beyond. Cellpoint Systems commits itself with respect to continuity of service at the dates corresponding to the changeover from 1999 to 2000 and beyond. Cellpoint Systems hereby guarantees FTM against any failure, irregularity, error, malfunction and, in general, everything which could affect before, during or after the changeover to the year 2000, FTM's information service, due to the taking into account of the changeover to the year 2000 in the services covered by the present contract. Cellpoint Systems hereby undertakes to carry out all requisite tests in order to ensure that the processing of dates, the calculation of dates and all references to dates, of whatever nature, are in accordance with transmillennium criteria, the characteristics of the year 2000 (a Leap Year, in particular) and all of the consequences arising therefrom. As Cellpoint Systems must connect up its system to other equipment by means of communications interfaces, it hereby undertakes that such connecting up shall not require any development of, changes to, transformation or arrangement of any kind whatsoever of all or part of said interfaces. Should it default on any of these obligations, Cellpoint Systems hereby undertakes to repair the prejudice incurred by FT.
THE YEAR 2000 dependent calculations and operations (including sorting, comparing and reporting) after the turn of the century correctly, and has used reasonable efforts to ensure that its software will not produce invalid and/or incorrect results as a result of the change of century (all without human intervention, other than original data entry of valid dates), provided that the software receives correct and properly formatted date inputs from all software and hardware that exchanges data with or provides data to the software.
THE YEAR 2000. Notwithstanding anything to the contrary contained herein or in the output from the Project Definition Study or in Unisys' original tender, it is understood and agreed by the Contractor and Unisys that, while any software supplied by the Contractor will be Year 2000 Compliant (as defined below), the Contractor will not be responsible for any third party software that is not Year 2000 Compliant, or for any information received by or in the Child Support system which is not Year 2000 Compliant. Without limiting the foregoing, if any information received by or on the Child Support System, by whatever means, is not year 2000 Compliant, Unisys acknowledges that the Contractor shall not be responsible for such failure is caused in any way by such non-compliant information. For the purposes of this provision, 'Year 2000 Compliant' means hardware or software which:
(a) will handle date information before, during and after 1 January 2000 including but not limited to accepting date input, providing date output and performing calculations on dates or portions of date;
(b) will function accurately and without interruption before, during and after 1 January 2000 without any change in operations associated with the event of the new century;
(c) will respond to two digit and cure date input in a way that resolves the ambiguity as to the century in a disclosed, defined and predetermined manner, and will store and provide output of date information in ways that are unambiguous as to the century.
