Toll PeriodIn the event Employee shall violate any provision of this Agreement as to which there is a specific time period during which Employee is prohibited from taking certain actions or from engaging in certain activities, as set forth in such provision, then such violation shall toll the running of such time period from the date of such violation until such violation shall cease and shall extend the time period set forth in this Agreement so long as Employee remains in violation.

Toll Period. The running of the Term shall be tolled during all time periods in which Sellers or any of their respective Affiliates are in violation of any provision of (all such periods collectively, the “Default Period”), and the Term shall be extended for a period of time equal in length to the Default Period.
Toll Period. In the event the License Agreement is terminated pursuant ----------- to Section 18.a.iv thereof, Fountain View shall have ninety (90) days after the effective date of termination to remove the attachment, execution of judgement or process resulting in such termination ("Toll Period"). As such, if the Executive violates any restriction stated in this Section 5, such restriction shall remain in full force and effect beyond the expiration of the Restricted Period, such that MiX Telematics receives the full benefit of its bargain.

  • Transition Period Due to the nature of our purchasing process, the District often requires an existing service provider to continue to provide goods and/or services while the District is in the process of advertising, evaluating, and awarding a contract for the provision of the same goods and/or services in the future. To accommodate this process, the Contractor shall agree to maintain the same terms and conditions set forth in this Agreement for a period up to ninety (90) days after the automatic termination of this Agreement at the end of its term, if requested by the District, as a transition period. In addition, if the Contractor is not the successful bidder for a future solicitation for the same or similar services, he or she shall agree to provide the same goods and/or services provided in this Agreement for a period up to ninety (90) days to allow for an orderly transition to the new provider.   • Hire Period 8.1 Hire charges shall commence from the time the Equipment is collected by the Client from the Supplier’s premises and will continue until the return of the Equipment to the Supplier’s premises, or as specified in the specified Hire Period as follows: (a) Half Day – four (4) hours or overnight providing the Equipment is collected after 4pm and returned by 8.30am the following day with a maximum usage time of four (4) hours. (b) Daily – twenty four (24) hours with a maximum usage time of 8 hours. Should the current Weekly rate be lesser than the accumulated daily rate, then the Weekly hire rate will apply. (c) Weekly – shall mean five (5) consecutive days with a maximum usage time of fifty six (56) hours. (e) Weekend – shall be as agreed with the Supplier, otherwise daily hire rates will apply. 8.2 If the Supplier agrees with the Client to deliver and/or collect the Equipment, hire charges shall commence from the time the Equipment leaves the Supplier’s premises and continue until the Client notifies the Supplier that the Equipment is available for collection, and/or until the expiry of the Minimum Hire Period, whichever last occurs. 8.3 The date upon which the Client advises of termination shall in all cases be treated as a full day’s hire. 8.4 Late return will incur a minimum of four (4) hour additional fee. 8.5 If the Client wishes to de-hire the Equipment at an earlier date than was originally agreed, then the Supplier reserves the right to charge the Client at the applicable rate for the actual Hire Period used and any long term discount previously applied will be void. 8.6 No allowance whatsoever can be made for time during which the Equipment is not in use for any reason, unless the Supplier confirms special prior arrangements in writing. In the event of Equipment breakdown provided the Client notifies the Supplier immediately, hiring charges will not be payable during the time the Equipment is not working, unless the condition is due to negligence or misuse on the part of or attributable to the Client.

  • Transitional Period At the end of the transitional period as defined in Article 10(2) of the Directive, Jersey shall cease to apply the retention tax and revenue sharing provided for in this Agreement and shall apply in respect of the other contracting party the automatic exchange of information provisions in the same manner as is provided for in Chapter II of the Directive. If during the transitional period Jersey elects to apply the automatic exchange o information provisions in the same manner as is provided for in Chapter II of the Directive, it shall no longe apply the withholding/retention tax and the revenue sharing provided for in Article 9 of this Agreement.

  • Break Period All employees working in full time (7 or 7.5 hour) positions shall be permitted a fifteen (15) minute rest period both in the first half and the second half of a shift.
