Trustee's Compensation and Expenses. As compensation for its services hereunder, the Trustee shall be entitled to the Trustee Float. In the event that the Servicer fails to remit amounts that it is required to remit to the Certificate Account hereunder on the Business Day prior to each Distribution Date hereunder, it shall pay to the Trustee, from its own funds, an amount equal to the Trustee Float with respect to such Distribution Date, as certified in writing by the Trustee to the Servicer and agreed to by the Servicer. The Servicer shall also pay, from its own funds, the Trustee any additional amounts as may be agreed upon between the Trustee and the Servicer from time to time. Any payment hereunder made by the Servicer to the Trustee, other than any amount to be paid from the Certificate Account pursuant to this Section 9.05, shall be paid from the Servicer’s own funds, without reimbursement from the Trust Fund therefor. The Trustee and any director, officer, employee or agent of the Trustee shall be indemnified by the Servicer and held harmless against any loss, liability or expense (a) incurred in connection with any legal action relating to this Agreement or the Certificates, or the performance of any of the Trustee’s duties hereunder, other than any loss, liability or expense incurred by reason of willful misfeasance, bad faith or negligence in the performance of any of the Trustee’s duties hereunder or by reason of reckless disregard of the Trustee’s obligations and duties hereunder and (b) resulting from the exercise of any power of attorney granted by the Trustee in accordance with this Agreement. Such indemnity shall survive the termination of this Agreement or the resignation or removal of the Trustee hereunder.
Trustee's Compensation and Expenses. The Trustee shall be paid such reasonable compensation as provided in the Service Agreement. Employees of the Company or of any Affiliate or Subsidiary of the Company who are Co-Trustees shall not receive additional compensation for serving as a Co-Trustee. The compensation of the Trustee and any reasonable expenses, including reasonable attorneys' fees and the cost of any bond, surety or other security which may be required of the Trustee by ERISA, incurred by the Trustee in the performance of its duties, and all other proper charges and disbursements of the Trustee may be paid by the Company within thirty (30) days after so billed, and will automatically be deducted from the Trust if, upon the expiration of thirty (30) days, such fees are not separately paid by the Company. All expenses (including taxes pursuant to Section 23) of the Trust, other than those expenses which are paid by the Company, which are allocable to an Investment Fund established pursuant to Section 6 shall be charged to such Investment Fund. All such expenses which are not so allocable shall be charged against each of the Investment Funds in the same proportion as the value of the assets held in such Investment Fund bears to the value of the total assets held in all of the Investment Funds. Any account maintenance or administration fees applicable to any Plan Participant's account which are not paid hereunder by the Company shall be charged against the interest of the Plan Participant and, in the case of a loan of a Plan Participant, if applicable, all expenses (including taxes pursuant to Section 23) of the Trust, other than those expenses which are paid by the Company, which are allocable to such loan, shall be charged against the interest of such Plan Participant under the Plan.

(b) The Trustee and any director, officer, employee or agent of the Trustee shall be indemnified by the Master Servicer and held harmless against any loss, liability or expense (i) incurred in connection with any legal action relating to this Agreement or the Certificates, or the performance of any of the Trustee's duties hereunder, other than any loss, liability or expense incurred by reason of willful misfeasance, bad faith or negligence in the performance of any of the Trustee's duties hereunder or by reason of reckless disregard of the Trustee's obligations and duties hereunder and (ii) resulting from the exercise of any power of attorney granted by the Trustee to the Master Servicer in accordance with this Agreement. Such indemnity shall survive the termination of this Agreement or the resignation or removal of the Trustee hereunder.
Trustee's Compensation and Expenses. The Trustees shall receive in each year a reasonable fee for the services rendered by the Trustees hereunder during such year. The Trustees shall be reimbursed for their expenses that are reasonably necessary and incident to the administration of the Master Trust. The Trustees shall have the right to payment and reimbursement of such fees and expenses from DP&L and DPL Inc. unless the same are otherwise paid including from Trust Corpus.

If the Employer so elects in a manner satisfactory to the Trustee, the Employer shall (a) pay the Trustee compensation for its services under this Trust Agreement in accordance with the Trustee's fee schedule in effect and applicable at the time such compensation becomes payable, and (b) pay or reimburse the Trustee for all expenses incurred by the Trustee in connection with or relating to the performance of its duties under this Trust Agreement or its status as Trustee, including reasonable attorneys' fees. The Trustees shall not receive compensation from the Plan for their services as such, but all reasonable expenses of the Trustees, including those arising under Section 10.09 hereof may, at the election of the Company, be paid by the Company and unless or until so paid shall constitute a charge upon the Trust. Such expenses shall include any expenses incident to the functioning of the Plan, including but not limited to attorneys' fees and the compensation of other agents, accounting and clerical charges, the cost of obtaining any bonds required by ERISA, and other costs of administering the Plan or the Trust. To the extent that any expenses (including those arising under Section 10.09 hereof) which are paid out of the Trust are properly allocable to an Investment Medium or to the separate account of a Participant, they shall be so allocated and charged.

The Trustees shall be entitled to reimbursement for expenses incurred by the Trustees in the performance of their duties as the Trustees, including reasonable fees for legal counsel. The Trustees are authorized to withdraw such amounts from the Trust Fund, but not from the Corpus, if the Company fails to pay them within 60 days of presentation of a statement of the amounts due.

The Trustee's compensation for its services under this Trust Agreement in accordance with the Trustee's fee schedule in effect and applicable at the time such compensation becomes payable and all expenses incurred by the Trustee in connection with or relating to the performance of its duties under this Trust Agreement or its status as Trustee, including reasonable attorneys' fees, shall be the obligation of the Trust to the extent permitted by ERISA and other applicable law. Such compensation and expenses, however, may at the Employer's election in its sole discretion be paid by the Employer. The Trustee is authorized to charge the Trust Fund for and withdraw from the Trust Fund, without direction from the Named Administrative Fiduciary or other person, the amount of any such compensation or expenses which the Employer has not paid within 75 days of the date of receipt by the Employer of the Trustee's invoice. The Trustee shall provide an invoice of its compensation and expenses to the Employer. Any objection to the compensation and expenses charged by the Trustee shall be made by the Employer in writing presented to the Trustee within 75 days after the date of the invoice provided to the Employer. Unresolved objections shall be settled either by agreement of settlement between the Trustee and the Employer or by a judicial settlement. Xxxxxxx Xxxxx reserves the right to change the amount of or method of computing any such fees on 60 days prior written notice to the Employer. By signing this Trust Agreement, the Employer authorizes the Trustee and/or its affiliates to receive payments from certain mutual funds (and/or collective trusts) for which no affiliate of the Trustee acts as investment manager or adviser (or from the principal distributors and/or advisors of those funds or trusts), in connection with the performance of reasonable and necessary services (including recordkeeping, subaccounting, account maintenance, administrative and other shareholder services). Because different mutual funds (or collective trusts) may be subject to different fee arrangements, Trustee or its designee shall provide the Employer with further details on any specific fee arrangements (as soon as administratively practicable after entering into such arrangements) that may be applicable to investments under the Plan.
