Union and Employment Contracts and Other Employment Matters. (i) Except as set forth in Exhibit 3.14(c)(i) hereto, Seller is not a party to any collective bargaining agreement or any other written employment agreement with employees working in the Business, nor is Seller a party to any other written contract or understanding that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued and unused sick leave pay for employees working in the Business.
(ii) During the last three (3) years Seller has not experienced any work stoppages, walkouts or strikes or attempts by employees working the Business to organize a union.
(iii) Except as disclosed in Exhibit 3.14(c)(iii) hereto, in the past three (3) years no claims have been made against Seller by any former or present employee who worked in the Business based on employment discrimination, wrongful discharge, or unfair labor practices.
(iv) Seller has received no claim asserting (and has no knowledge of) any failure of Seller to comply with applicable federal and state laws and regulations relating to employment of labor, including laws and regulations relating to wages, hours, collective bargaining, withholding taxes, and employee health and benefits.
Union and Employment Contracts and Other Employment Matters. 3.16.1. Seller is not a party to any formal or informal collective bargaining agreement or any other written employment agreement, nor is Seller a party to any other contract or understanding (oral or written) that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued and unused sick leave pay. All of Seller's employee benefits are outlined in the employee handbook, a true and complete copy of which has been provided to Buyer.
3.16.2. Seller has no, and on the Closing Date will not have, any obligations to Seller's directors, officers, employees or agents other than obligations arising in the ordinary course of business on account of wages, salaries and commissions for prior services performed or business produced.
3.16.3. During the last three (3) years Seller has experienced no work stoppages, walkouts or strikes or attempts by its employees to organize a union.
3.16.4. There have been no employee or ex-employee lawsuits or claims, or any claims of unfair labor practices or the like, in the past three (3) years.
Union and Employment Contracts and Other Employment Matters. (i) Seller is not a party to any collective bargaining agreement or any other written employment agreement, nor is Seller a party to any other contract or understanding (oral or written) that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued and unused sick leave pay.
(ii) During the last three (3) years Seller has experienced no work stoppages, walkouts or strikes or attempts by its employees to organize a union.
(iii) Except as disclosed in Schedule 4.12(b)(iii) hereto, there have been no employee or ex-employee lawsuits or claims, or any claims of unfair labor practices or the like, in the past three (3) years.

(i) No executive, key employee or group of employees has provided notice of termination of their employment or, to the Knowledge of Seller, has any plans to terminate employment with the Seller. GOE and GOECA will disclose any such notice to Purchaser within three (3) business days of receiving such notice.
(ii) Seller is not a party to any collective bargaining agreement or any other written employment agreement with its employees, nor is Seller a party to any other written contract or understanding that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued, unused sick leave pay for its employees.
(iii) During the last three (3) years Seller has not experienced any work stoppages, walkouts, or strikes or attempts by its employees to organize a union.
(iv) In the past three (3) years no claims have been made against Seller by any former or present employee based on employment discrimination, age discrimination, equal employment opportunity, sexual harassment, human rights Laws violations, wrongful discharge, or unfair labor practices, and Seller has no Knowledge of any facts or circumstances upon which any such claim could be made.
(v) Seller has not received any claim asserting and have no Knowledge of any failure of Seller to comply with applicable federal and state Laws and regulations relating to employment of labor, including Laws and regulations relating to wages, hours, collective bargaining, withholding taxes, and employee health and benefits.
(vi) Seller is in compliance with the Immigration Reform & Control Act of 1986.
(vii) Seller is in compliance with ERISA.
(viii) Seller is in compliance with the Occupational Safety and Health Act.
Union and Employment Contracts and Other Employment Matters. (i) Except as set forth on Exhibit 3.18(c), Benchmark is not a party to any collective bargaining agreement or any other written employment agreement, nor is Benchmark a party to any other contract or understanding (oral or written) that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued and unused sick leave pay. Except as set forth on Exhibit 3.18(b), all of Benchmark's employee benefits are outlined in the employee manual attached as Exhibit 3.18(b).
(ii) Except as disclosed in Exhibit 3.18(c) hereto, during the last three (3) years Benchmark has experienced no work stoppages, walkouts or strikes or attempts by its employees to organize a union.
(iii) Except as disclosed in Exhibit 3.18(c) hereto, there have been no employee or ex-employee lawsuits or claims, or any claims of unfair labor practices or the like, in the past three (3) years.

(i) Except as set forth in Schedule 3.10(c)(i)(A), Company is not a party to any collective bargaining agreement or any other written employment agreement, nor is Company a party to any other contract or understanding (oral or written) that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued and unused sick leave pay. Written descriptions of Company's employee benefits are attached as Schedule 3.10(c)(i)(B).
(ii) Except as set forth in Schedule 3.10(c)(ii), Company has no obligations to Company's directors, officers, employees or agents other than obligations arising in the ordinary course of business on account of wages, salaries, benefits and commissions for prior services performed or business produced.
(iii) During the last three (3) years Company has experienced no work stoppages, walkouts or strikes or, to Seller's knowledge, attempts by its employees to organize a union.
(iv) Except as set forth in Schedule 3.10(c)(iv) hereto, there have been no employee or ex-employee lawsuits or claims, or any claims of unfair labor practices or the like, filed against Company in the past three (3) years.
Union and Employment Contracts and Other Employment Matters. With respect to PDI or the SE Business, and except as set forth on Section 3.24 of the Disclosure Schedule:
(a) No executive, key employee or group of employees has provided notice of termination of their employment or, to the knowledge of Sellers, has any plans to terminate employment.
(b) Neither PDI nor Current with respect to the SE Business is a party to any collective bargaining agreement or any other written employment agreement with its employees, nor are PDI nor any of the Sellers with respect to the SE Business a party to any other written contract or understanding that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued, unused sick leave pay for its employees.
(c) During the last three (3) years, neither PDI nor the SE Business has experienced any work stoppages, walkouts, or strikes or attempts by their employees to organize a union.
(d) In the past three (3) years no claims have been made against PDI or the SE Business by any former or present employee based on employment discrimination, age discrimination, equal employment opportunity, sexual harassment, human rights laws violations, wrongful discharge, or unfair labor practices, and Sellers have no knowledge of any facts or circumstances upon which any such claim could be made.
(e) None of the Sellers have received any claim asserting and have no knowledge of any failure of PDI or the SE Business to comply with applicable federal and state laws and regulations relating to employment of labor, including laws and regulations relating to wages, hours, collective bargaining, withholding taxes, and employee health and benefits.
(f) There are no material controversies pending, or to the knowledge of the Sellers threatened, between PDI or the SE Business and any of their employees.
(g) PDI and the SE Business are in compliance with the Immigration Reform & Control Act of 1986.
(h) PDI and the SE Business are in compliance with the Employment Retirement Income Security Act of 1974.
(i) PDI and the SE Business are in compliance with the Occupational Safety and Health Act.
Union and Employment Contracts and Other Employment Matters. Seller is not a party to any collective bargaining agreement or any other written employment agreement, nor is Seller a party to any other contract or understanding (oral or written) that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued and unused sick leave pay. All of Seller's employee benefits are outlined in the employee manual attached as Exhibit 4.19(e).
Union and Employment Contracts and Other Employment Matters. Except as set forth on Section 7.1(u) of the Disclosure Schedule:
(i) No executive, key employee or group of employees of the Company has provided, nor to the Company’s Knowledge, intends to provide, notice of termination of his, her or their employment; provided, however, that Xxxxx intends to retire upon the consummation of the Contemplated Transactions.
(ii) The Company is not a party to any collective bargaining agreement or any other written employment agreement with its employees, nor is it a party to any other written contract or understanding that contains any severance pay Liabilities or obligations, except for accrued, unused vacation pay or accrued, unused sick leave pay for its employees.
(iii) During the last three (3) years the Company has not experienced any work stoppages, walkouts, or strikes or attempts by their respective employees to organize a union.
(iv) In the past three (3) years no claims have been made against the Company by any former or present employee based on employment discrimination, age discrimination, equal employment opportunity, sexual harassment, human rights Laws violations, wrongful discharge, or unfair labor practices, which has not been satisfactorily and finally resolved, and, to the Company’s Knowledge, there are no facts or circumstances upon which any such claim could be made.
(v) In the past three (3) years, neither the Company nor any Seller has received any claim asserting, nor is there or has there been, any failure of a Seller or the Company to comply with applicable federal and state Laws and regulations relating to employment of labor, including Laws and regulations relating to wages, hours, collective bargaining, withholding taxes, employee health and benefits, immigration and appropriate documentation to work.
(vi) There are no controversies pending, or to the Company’s Knowledge threatened, between the Company and any of their respective employees.
(vii) The Company is in compliance with the Occupational Safety and Health Act.
Union and Employment Contracts and Other Employment Matters. (i) Except as set forth in Exhibit 4.10(b) hereto, NOW is not a party to any collective bargaining agreement or any other written employment agreement, nor is NOW a party to any other contract or understanding (oral or written) that contains any severance pay liabilities or obligations, except for accrued, unused vacation pay or accrued and unused sick leave pay. Exhibit 4.10
