Unpatented Mining Claims. With respect to the Property, Lessor covenants, represents and warrants, which covenants, representations and warranties shall survive termination of this Agreement, that: (a) Lessor holds the entire and undivided legal and equitable interests in the Property, subject to the paramount title of the United States and other matters of title disclosed in this Agreement; (b) Lessor has good, right and full power to lease and to convey the interests described in this Agreement; (c) the Property is free and clear of all liens, claims and encumbrances except as otherwise provided in this Agreement; (d) Lessor shall not commit any act or acts which will encumber or cause a lien to be placed on the Property.

Unpatented Mining Claims. Regarding the unpatented mining claims which constitute all or a portion of the Property, Owner covenants, represents and warrants, which covenants, representations and warranties shall survive termination of this Agreement, that: (a) the claims were properly located in accordance with applicable federal and state laws and regulations; (b) all assessment work requirements for the claims have been performed and all filings and recordings of proof of performance have been made properly and all federal annual unpatented mining claim maintenance and rental fees have been paid properly and timely; (c) the claims are in good standing and Owner has good title to and owns the entire undivided legal and equitable interest in the claims, subject to the paramount title of the United States and other matters of title disclosed in this Agreement; (d) Owner has good right and full power to lease and to convey the interests described in this Agreement; (e) the claims are free and clear of all liens, claims and encumbrances except as otherwise provided in this Agreement (and the Exhibits attached to this Agreement); (f) Owner shall not commit any act or acts which will encumber or cause a lien to be placed on the claims; and (g) Owner will defend title to the claims consistent with these representations and warranties. Owner makes no representation or warranty concerning the discovery or presence of valuable minerals on the unpatented mining claims which comprise all or a portion of the Property.
Unpatented Mining Claims the Unpatented Mining Claims are the only mining claims with respect to the Project; and
Unpatented Mining Claims. Seller is the owner of the Unpatented Mining Claims, and except for Permitted Liens and subject to the paramount title of the United States: (i) such unpatented mining claims were properly laid out and monumented; (ii) all required location and validation work was properly performed; (iii) location notices and certificates were properly recorded and filed with appropriate governmental agencies; (iv) all assessment work or maintenance fees required to hold the unpatented mining claims has been performed or paid in a manner consistent with that required of the Seller in order to maintain those claims through the assessment year ending August 31, 2012; (v) all affidavits of assessment work, evidence of payment of governmental fees, and other filings required to maintain the claims in good standing have been properly and timely recorded or filed with appropriate governmental agencies; (vi) the claims are free and clear of all material liens or defects in title; and (vii) to Seller’s knowledge and after due inquiry, there are no material conflicting mining claims. Other than the foregoing, BUYER HAS EXAMINED THE ASSETS AND DOCUMENTATION RELATED THERETO AND SELLER EXPRESSLY DISCLAIMS AND MAKES NO REPRESENTATIONS OR WARRANTIES WHATSOEVER AS TO THE VALIDITY OF THE UNPATENTED MINING CLAIMS UNDER THE GENERAL MINING LAW OF THE UNITED STATES OR THE LAWS OF THE STATE OF WYOMING.
Unpatented Mining Claims. Any Governmental Agency of the United States (including, in the case of the Fort Xxxx Mine, the State of Alaska) shall challenge any unpatented mining claim of any Principal Subsidiary relating to the Principal Mine in which it has an interest and such challenge shall, in the opinion of the Documentation and Technical Agent or the Administrative Agent, be reasonably likely to have a Materially Adverse Effect.

Unpatented Mining Claims. All required fees and filings, including without limitation, maintenance fees, location fees, filing fees, bonus payments, bonus bids, rentals, minimum royalties, production royalties, location notices, location certificates, affidavits of assessment, notices of intent to hold, proofs, extension requests, notices, bonds, sureties, registrations, and other similar items, in respect of the unpatented mining claims forming the Xxxxxx Project have been paid and filed in the manner required by Applicable Laws since each claim’s respective location date to maintain in good standing the unpatented mining claims forming the Xxxxxx Project.

Unpatented Mining Claims. With respect to the unpatented mining claims that are included within the Properties, except as noted on Exhibit A and subject to the paramount title of the United States: (i) the unpatented mining claims were properly laid out and monumented; (ii) all required location and validation work was properly performed; (iii) location notices and certificates were properly recorded and filed with appropriate governmental agencies; (iv) all assessment work required to hold the unpatented mining claims has been performed and all governmental fees have been paid to maintain the claims in good standing through the assessment year ending September 1, 2008; (v) all affidavits of assessment work, evidence of payment of governmental fees, and other filings required to maintain the claims in good standing have been properly and timely recorded or filed with appropriate governmental agencies; (vi) to Sellers’ Knowledge, the claims are free and clear of encumbrances or defects in title; and (vii) to Sellers’ Knowledge, there are no conflicting mining claims. Nothing in this Subsection, however, shall be deemed to be a representation or a warranty that any of the Properties contains a valuable mineral deposit.
