Waived Charges. In the event the Anaheim Police Department errs in impounding a vehicle, or for any other reason in the APD’s sole discretion concludes a vehicle should be released without charges, upon request by the APD it shall be released immediately by the tow service operator with charges waived accordingly. The tow service provider must honor all “no charge” or “reduced charge” towing fee waiver requests made by an authorized Anaheim Police Department Watch Commander, Traffic Sergeant (or higher rank) or Detective Sergeant (or higher rank).

Waived Charges. Supplier shall waive the following expedite and installation charges (collectively, “One Time Charges”): (1) all expedite charges for New Customers, and for Services or Deliverables for Existing Customers not ordered as of the Effective Date, unless otherwise set forth in an SOW or WA or which are not Expedited Service Requests; and (2) all installation charges for New Customers, and for Services or Deliverables for Existing Customers not ordered as of the Effective Date, unless otherwise set forth in an SOW or WA provided that the Service is not disconnected within the shorter of (i) the first six (6) months following installation or (ii) the number of months between the installation and the expiration or termination of the SOW, WA or Agreement. The parties acknowledge and agree that Buyer and its Customers, from time to time, will require Service on an expedited basis to meet business requirements. Such service requests may include (i) the ordering of new circuits, (ii) increases in committed data rates, or (iii) other requests required on an expedited basis ("Expedited Service Requests"). Such requests will be processed by Supplier within twenty-four (24) hours following Supplier's receipt of the Expedited Service Request. Supplier and Buyer will cooperate in developing procedures for handling such Expedited Service Requests. The parties acknowledge that Expedited Service Requests require case by case consideration. Generally, Supplier will not charge any surcharge or additional expenses for Expedited Service Requests, but may do so if Supplier notifies Buyer promptly upon receipt of such Expedited Service Request that Supplier will incur additional out of pocket or third party expenses, or unreasonable Supplier expenses, to comply with such Expedited Service Request, and obtains Buyer’s written agreement to pay Supplier the designated amount for such actual and reasonable additional expenses.

HOWEVER, IF THE AMOUNT AS TO WHICH SUCH WRITTEN EXCEPTION IS TAKEN, OR ANY PART THEREOF, IS ULTIMATELY DETERMINED NOT TO BE A REASONABLE COST INCURRED BY CVR OR ITS AFFILIATES IN CONNECTION WITH ITS PROVIDING THE SERVICES HEREUNDER, SUCH AMOUNT OR PORTION THEREOF (AS THE CASE MAY BE) SHALL BE REFUNDED BY CVR TO THE SERVICES RECIPIENTS TOGETHER WITH INTEREST THEREON AT THE DEFAULT RATE DURING THE PERIOD FROM THE DATE OF PAYMENT BY THE SERVICES RECIPIENTS TO THE DATE OF REFUND BY CVR.

  • Loan Charges If any applicable law limiting the amount of interest or other charges permitted to be collected from Borrower is interpreted so that any charge provided for in any Loan Document, whether considered separately or together with other charges levied in connection with any other Loan Document, violates that law, and Borrower is entitled to the benefit of that law, that charge is hereby reduced to the extent necessary to eliminate that violation. The amounts, if any, previously paid to Lender in excess of the permitted amounts shall be applied by Lender to reduce the principal of the Indebtedness. For the purpose of determining whether any applicable law limiting the amount of interest or other charges permitted to be collected from Borrower has been violated, all Indebtedness which constitutes interest, as well as all other charges levied in connection with the Indebtedness which constitute interest, shall be deemed to be allocated and spread over the stated term of the Note. Unless otherwise required by applicable law, such allocation and spreading shall be effected in such a manner that the rate of interest so computed is uniform throughout the stated term of the Note.

  • TRANSACTION CHARGES will be charged for each transaction recorded on the shareholder accounting system, including, but not limited to, the following transactions: · Share purchases; · Share redemptions; · Fund liquidations; · Dividends; · Wire order purchases and redemptions (placement and confirmations); · Exchanges; · Account maintenance such as address changes; · Transfers; and · Account opening. For transactions within the 529 portfolios, FTIS will allocate the transaction fee on a pro-rata basis to the underlying Funds based on the 529 portfolio's holdings in such Funds.

  • Bank Charges Borrowers shall pay to Agent, on demand, any and all fees, costs or expenses which Agent or any Lender pays to a bank or other similar institution arising out of or in connection with (i) the forwarding to any Borrower or any other Person on behalf of any Borrower, by Agent or any Lender, of proceeds of Loans made to Borrowers pursuant to this Agreement and (ii) the depositing for collection by Agent or any Lender of any check or item of payment received or delivered to Agent or any Lender on account of the Obligations.

  • INTEREST AND CHARGES 7.1 If we do not receive your full payment of the current balance specified in the statement of account on or before the payment due date, you must pay daily interest at the rate of (i) S$3.00 per month or (ii) at the retail interest rate or cash interest rate (where applicable) as set out in the statement of account, whichever is the greater, on:- (a) the amount of each unpaid card transaction, or part thereof, listed in the current statement of account, from the date each such card transaction was effected until the date of the current statement of account; and (b) the current balance specified in the statement of account, from the date of the statement of account until the day before the date when we receive payment of the current balance (entirely or partly); and (c) the current balance specified in the statement of account less any partial payment, from the date of such partial payment to the date of the next statement of account or the date when we receive full payment of the current balance, whichever is the earlier; and (d) the amount of each card transaction debited to the card account after the date of the statement of account, from the date each such card transaction was effected until the date of the next statement of account or the date when we receive full payment of the current balance, whichever is the earlier.

  • Service Charges No service charge shall be made for any exchange or registration of transfer of Warrants.

In consideration of the Supplier’s performance of its obligations under this Contract and in consideration of the specific services that are set out in an applicable SOW, the Customer shall pay the undisputed Contract Charges in accordance with the relevant SOW for the Release and the payment provisions set out at Clause 14 (Payment and VAT). The Customer shall, in addition to the Contract Charges and following delivery by the Supplier of an Invoice, pay the Supplier a sum equal to the VAT chargeable on the value of the Services supplied in accordance with this Contract. If at any time during this Contract Period the Supplier reduces its framework Prices for any Services which are provided under the framework Agreement (whether or not such Services are offered in a catalogue (if any) which is provided under the framework Agreement) in accordance with the terms of the framework Agreement, the Supplier shall immediately reduce the Contract Charges for such Services under this Contract by the same amount. The Supplier shall in any event ensure that the Contract Charges are at all times compliant and consistent with the charging structure set out in framework Schedule 8 (Charging Structure) and do not exceed the prices set out therein. Contract Charges:

  • Fixed Charges the sum of (i) interest expense (other than payment-in-kind or amortization of fees and costs), (ii) all scheduled principal payments (as such may have been reduced by prior prepayments) and all voluntary prepayments made on Borrowed Money (other than any Refinancing Debt in respect thereof), and (iii) cash Distributions made by the Company.
