Auf Verlangen hat der LIEFERANT der Steyr Automotive einen Terminplan vorzulegen, aus welchem zumindest die wichtigsten Meilensteine der wesentlichen Engineering-, Fertigungs-, Montage- und Prüfschritte für den Lieferumfang ersichtlich sind, wobei sich der LIEFERANT zur gewissenhaften Einhaltung der Meilensteintermine verpflichtet. Der vereinbarte Liefertermin - Eintreffen des Vertragsgegenstandes an jeweiliger Lieferanschrift/Abladestelle - ist pünktlich einzuhalten; anderenfalls ist Steyr Automotive ohne Nachweis eines Schadens berechtigt, für jeden angefangenen Kalendertag einer Überschreitung des Liefertermins eine Verzugsstrafe von 3 % des Wertes der Gesamtbestellung an den LIEFERANTEN zu verrechnen. Darüber hinaus kann Xxxxx Automotive entweder Nachlieferung und Schadenersatz wegen verspäteter Lieferung oder Schadenersatz wegen Nichterfüllung verlangen und vom Vertrag zurücktreten. Kunden der Steyr Automotive oder seinen Beauftragten ist das Recht einzuräumen beim LIEFERANTEN zu prüfen, dass ein beauftragtes Produkt die festgelegte Qualitätsforderung erfüllt. Bei Lieferung vor dem vereinbarten Liefertermin, die nur mit Zustimmung von Steyr Automotive erfolgen darf, beginnen die daran geknüpften Fristen erst mit dem ursprünglich vereinbarten (späteren) Termin. Transport-, Aus- und Einbaukosten, Administrativkosten, (Händler-) Handlingcharges (auf Steyr Automotive’s-, OEM’s- und/oder OEM’s Händlerebene) sowie sonstige im Zusammenhang mit der Mängelbeseitigung entstehende Kosten zu tragen. Insbesondere hat der LIEFERANT auch solche Kosten zu übernehmen, die dadurch entstehen, dass Steyr Automotive an "Mängelbeseitigungsprogrammen" wie "Contained Shipping Level" und "Executive Champion Programms" oder ähnlichen Programmen seiner Abnehmer, insbesondere von Automobilherstellern teilnehmen muss. The delivery deadline agreed – arrival of the object of the contract at the place of delivery/ unloading point – has to be complied with unconditionally; otherwise Steyr Automotive shall be entitled to charge the SUPPLIER a penalty of 3 % of the value of the entire order for each started calender-day commenced, without having to prove a loss. Moreover, Steyr Automotive can claim either an additional delivery and damages on grounds of a delayed delivery or damages on grounds of failure of performance of the contract and cancel the contract. This includes also covering purchases, as well as losses from an interruption or a failure of manufacture. Steyr Automotive shall remain entitled to claim damages exceeding the amount of the penalty. Kunden der Steyr Automotive oder seinen Beauftragten ist das Recht einzuräumen beim LIEFERANTEN zu prüfen, dass ein beauftragtes Produkt die festgelegte Qualitätsforderung erfüllt. Bei Lieferung vor dem vereinbarten Liefertermin, die nur mit Zustimmung von Steyr Automotive erfolgen darf, beginnen die daran geknüpften Fristen erst mit dem ursprünglich vereinbarten (späteren) Termin. Xxxxx Steyr Automotive ist nicht verpflichtet, den LIEFERANTEN auf möglichen Verzug aufmerksam zu machen. Die Verzugsstrafe und/oder der Schadenersatz gelten nicht als er- lassen, wenn die Lieferung entweder ganz oder teilweise ohne Vorbehalt angenommen und/oder bezahlt wurde. Lieferverzug ist auch gegeben, wenn die erforderlichen Lieferpapiere, Zeugnisse, oder Zertifikate nicht oder nicht vollständig zum vereinbarten Termin geliefert werden. Jeder zu erwartende Lieferengpass, der Termin- oder Mengenauswirkungen zur Folge hat, ist unverzüglich unter Angabe von Gegensteuerungsmaßnahmen der zuständigen Steyr Automotive Fachstelle schriftlich mitzuteilen. The delay penalty and/or damages shall not be considered as remitted if the entire delivery, or part of, has been accepted without reserve and/or been paid. Undue delay in delivery also exists if the required delivery papers or certificates have not been delivered or have not been delivered completely by the date agreed upon. The SUPPLIER has to inform Xxxxx Steyr Automotive immediately in written and with indication of countermeasures about potential supply bottlenecks with effects on date or quantity. Insoweit verzichtet der LIEFERANT auf den Einwand der verspäteten Mängelrüge gemäß § 377 UGB. Haben LIEFERANT und Steyr Automotive jedoch eine JIT ("Just-In-Time") oder JIS ("Just-In-Sequence") Belieferung vereinbart, so beschränkt sich die Mängeluntersuchungs- und Mängelrügepflicht auf die Übereinstimmung der quantitativen Angaben des betreffenden Lieferscheins und auf während der Verarbeitung der Liefergegenstände visuell erkennbare Schäden („Sichtschäden“). Zahlungen von Xxxxx Steyr Automotive stellen keine Anerkennung der Mangelfreiheit dar. 8 Notice of Defects Steyr Automotive shall notify the SUPPLIER of defects of the delivered products within 5 (in words: five) working days after such defects have been detected within the proper course of business. To this extent, the SUPPLIER shall forfeit any rights that the notification of the defects according to § 377 UGB is delayed. However, in case Steyr Automotive and the SUPPLIER agreed on JIT (“Just-In-Time”) or JIS (“Just-In- In-Sequence”) delivery Steyr Automotive’s obligation to examine the delivered products and to notify the SUPPLIER of defects of the delivered products shall be limited to the compliance of the delivered products with the quantitative data of the respective delivery note and to damages which are visual visible during the processing of delivered products. Payment of the price shall not be considered as the acceptance by Steyr Automotive of the defective products..
