Restrictions. Customer may not copy, modify, or create a derivative work, collective work, or compilation of the Software, and many not reverse engineer, decompile or otherwise attempt to extract the code of the Software or any part thereof. Customer may not license, sell, assign, sublicense, or otherwise transfer or encumber the Software; may not use the Software in a managed-services arrangement; and may not use the Software in excess of the authorized number of licensed seats for concurrent users, sites, or other criteria specified in the applicable Service Documents. In addition, Customer may not access the Software to monitor its availability, performance, or functionality, or for any other benchmarking or competitive purpose.
Restrictions. Except as expressly set forth in the Agreement and to the extent permitted by Applicable Laws, Customer agrees not to (i) modify, translate or create any derivative works based on the Software Product ; (ii) remove or alter any copyright notices, trademarks or other proprietary rights notices; (iii) use the Software Product other than for its own business operations and permitted use defined in Section 4.1; (iv) provide access to the Software Product to any person that is not an Authorized User; (v) use or knowingly permit the use of any tools in order to probe, scan or attempt to penetrate or ascertain the security of the Software Product, for instance to control License Units and Quantities or circumvent software usage restrictions, or access Confidential Information; (vi) infringe or violate any Intellectual Property Rights under Applicable Laws; (vii) impose an unreasonable or disproportionately large load on Nextlane’s infrastructure or those of its hosting providers; (viii) facilitate any viruses, trojan horses, worms or other computer programming routines that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information.
Restrictions. Except as otherwise permitted under this Agreement, Customer shall not (i) license, sublicense, sell, resell, transfer, rent, lease, assign (except as provided in Section 11.4 (Assignment)), distribute, disclose, or otherwise commercially exploit the Hosted Applications; (ii) copy, modify or make derivative works based upon the Hosted Applications; (iii) “frame” or “mirror” the Hosted Applications on any other server or device; (iv) access the Hosted Applications for competitive purposes or use the Hosted Applications for application service provider, timesharing or service bureau purposes, or any purpose other than its own internal use, (v) decompile, disassemble, reverse engineer or attempt to discover any source code or underlying ideas or algorithms of the Hosted Applications, (vi) remove, obscure or modify a copyright or other proprietary rights notice in the Hosted Applications; (vii) use the Hosted Applications to send or store infringing, obscene, threatening, libelous, or otherwise unlawful material; (viii) use the Hosted Applications to create, use, send, store, or run material containing software viruses, worms, Trojan horses or otherwise engage in any malicious act or disrupt the security, integrity or operation of the Hosted Applications or the Coupa Platform; (ix) attempt to gain or permit unauthorized access to the Hosted Applications or its related systems or networks; or (x) permit or assist any other party (including any User) to do any of the foregoing. Restrictions. You shall not (i) permit any third party to access the Cloud Services except as permitted herein, (ii) modify or copy the Cloud Services or create derivate works based on the Cloud Services, (iii) frame or mirror any part or content of the Cloud Services, other than copying or framing on Your own intranets or otherwise for Your own internal business purposes in accordance with the Agreement, (iv) reverse engineer the Cloud Services, or
Restrictions. You may not edit or modify the FrontPage Web components in any manner whatsoever. You may not display any of the trademarks that appear in the FrontPage Web components in any manner that implies sponsorship, endorsement, or license of Your Web Site by the owners of such trademarks. If the FrontPage Web components contain any active links to other sites, you agree to maintain such active links and not redirect or modify them. You may not market, distribute, sublicense, lease or rent the FrontPage Web components on a stand-alone basis. You may not use the FrontPage Web components in connection with any site that is likely to (i) mislead viewers as to the relationship between the site, or the site's owner, and Microsoft, MSN, MSNBC, or Expedia, or their products or services, (ii) infringe any intellectual property or other rights of these parties, (iii) violate any applicable law, or (iv) promote racism, hatred, or pornography. You shall not convert the news headlines in the MSNBC component into an audio format for redistribution to audio users. You agree to immediately remove the FrontPage Web components from Your Web Site if you do not abide by any of these restrictions after notice.
Restrictions. User will not, directly or indirectly: (a) sublicense, resell, rent, lease, distribute, market, commercialize or otherwise transfer rights or usage to: (i) the Software, (ii) any modified version or derivative work of the Software created by the User or for the User, or (iii) Community Versions; (b) remove or alter any copyright, trademark or proprietary notice in the Software; (c) transfer, use or export the Software in violation of any laws or regulations of any government; (d) combine, call, link to, or otherwise use the Software in conjunction with any Community Version, or use any Support for Community Versions or for unlicensed Cores or Named Users; or (e) reverse engineer, decompile or modify any encrypted or encoded portion of the Software.
Restrictions. (a) Certain purchase or selling restrictions may apply to Bondholders under applicable local laws and regulations from time to time. Neither the Issuer nor the Bond Trustee shall be responsible for ensuring compliance with such laws and regulations and each Bond- holder is responsible for ensuring compliance with the relevant laws and regulations at its own cost and expense.
(b) A Bondholder who has purchased Bonds in breach of applicable restrictions may, not- withstanding such breach, benefit from the rights attached to the Bonds pursuant to these Bond Terms (including, but not limited to, voting rights), provided that the Issuer shall not incur any additional liability by complying with its obligations to such Bondholder.
Restrictions. Except as otherwise stated in this Agreement, you may not make or distribute copies of the APPLICATION to others or electronically transfer the APPLICATION from one device to another over a network. The APPLICATION contains trade secrets, and in order to protect them, you may not decompile, reverse engineer, disassemble or otherwise reduce the APPLICATION to a human-perceivable form, except as may be permitted by law. YOU MAY NOT ALTER OR REMOVE ANY COPYRIGHT, TRADEMARK OR OTHER PROTECTIVE NOTICES CONTAINED IN THE APPLICATION. YOU MAY NOT ASSIGN OR OTHERWISE DISPOSE OF, MODIFY, ADAPT, TRANSLATE, RENT, LEASE, LOAN, RESELL, DISTRIBUTE, NETWORK, OR CREATE OR HAVE CREATED DERIVATIVE WORKS BASED UPON THE APPLICATION OR ANY PART THEREOF.

You may not sell, loan, distribute, cede, sublicense, rent or lease or otherwise transfer or assign the right to use the Software, nor transfer or provide access to it by network for commercial use, either in whole or in part without the prior written consent of GRAPHISOFT. * You are expressly prohibited from decompiling, disassembling, reverse engineering, or reducing the Software for any purpose whatsoever. * You may not unlock or otherwise attempt to discover the source code or underlying algorithms of the Software or attempt to do any of the foregoing in relation to the object code of the Software. * You may not use the Software for development, compilation, debugging and similar design-time purposes. * You are expressly prohibited from adapting, modifying, translating or creating any derivative works based in whole or in part on the Software, and from merging the Software into any other software. * You may not copy any written materials accompanying the Software. * You are expressly prohibited from dividing the Software and reselling part(s) of it; * You may use all elements of the Software as integral components thereof exclusively for the purposes of performing the Software's functionalities set forth by GRAPHISOFT. * Unless You have a separate Service Provider License Agreement in force, You are expressly prohibited from providing 'Software as a Service' (e.g.: 'ARCHICAD as a Service') for third parties or other similar services which involve the reassignment of our software licenses to third parties e.g.: remarketing, reselling services or cloud services. * You are prohibited from circumventing or supplying a system in order to circumvent the TPM of the Software and using the Software in any other unauthorized manner. In case of infringement of any provisions of this chapter, you expressly acknowledge that it constitutes material breach of this Agreement giving the right to GRAPHISOFT to immediately terminate this Agreement, and GRAPHISOFT will take the necessary measures in order that the infringement be terminated and to enforce your compliance with the above provisions.
